9、交單。100%發(fā) 票金額的全套貨運單據(jù)隨附于托收項下，于買方付清發(fā)票的全部金額后交單。 如買方?jīng)]有付清全部發(fā)票金額，則貨運單據(jù)須由開證行掌握憑買方指示處理。 10. 付款單據(jù)： 為了議付貨款，賣方應(yīng)向付款銀行呈交下列單據(jù)： （1）全套清潔無疵、注明“運費預(yù)付” 、空白抬頭、空白背書和通知目的 港的已裝船海運提單； （2）發(fā)票一式五份，注明合同號和嘜頭； （3）裝箱單一式五份； （4）由制造商出具的品質(zhì)和數(shù)量證明書一式兩份，如 14 條第（1）項中的 規(guī)定； （5）保險單一份； （6）通知買方已裝船的傳真或信件的抄件一份。 賣方還需要將上述（1） （2） （3）項單據(jù)副本各一份隨船帶交目的港。開

10、船 后，賣方應(yīng)立即將上述單據(jù)副本各一份（本款第 5 項除外）分別航空郵寄買方 和目的港。 11. 裝船條件： CIF 交貨條件： （1）賣方在裝船期內(nèi)將貨物運至港口，不允許轉(zhuǎn)換船只。本合同貨物的運 輸船只不得不懸掛買方不能接受的國家旗幟。 （2）賣方在發(fā)貨后立即用傳真或書信告訴買方合同號、商品名稱、數(shù)量、 發(fā)票金額和發(fā)運日期，以便買方及時投保其他險別。 12. 裝船通知： 賣方應(yīng)于裝運完畢后，立即以傳真或書信通知買方：合同號、貨物品名、 數(shù)量、毛重、發(fā)票金額、船名和啟航日期。若由于賣方未能及時以傳真通知買 國際貿(mào)易英文契約模擬寫作 5 方，或通知內(nèi)容不全，而使買方不能及時辦理保險時，由此產(chǎn)生的

11、一切損失均 應(yīng)由賣方承擔(dān)。 13. 質(zhì)量保證： 賣方應(yīng)保證貨物是全新的餓，其質(zhì)量、規(guī)格、和性能與本合同規(guī)定相符。 保證期為貨物抵達目的地港卸船后 6 個月。 14. 檢驗和索賠： （1）發(fā)貨前，制造廠應(yīng)對貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量做精密全 面的檢驗，出具檢驗證明書，并說明檢驗的技術(shù)數(shù)據(jù)和結(jié)論。 （2）貨到目的港后，買方將申請中國商品檢驗局（以下簡稱商檢局）對貨 物的規(guī)格和數(shù)量、重量進行復(fù)檢，如發(fā)現(xiàn)貨物殘損或規(guī)格和數(shù)量與合同不符， 除保險公司或輪船公司責(zé)任外，買方應(yīng)在貨物到達目的港后 30 天內(nèi)憑商檢局出 具的檢驗證明書向賣方索賠或拒收貨物。 （3）在保證期限內(nèi)，如貨物由于設(shè)計或制造上的

12、缺陷而發(fā)生損壞和品質(zhì)、 性能與合同規(guī)定不符時，買方將委托中國商檢局進行檢驗，并憑其檢驗證書向 賣方提出索賠（包括換貨） 。由此產(chǎn)生的全部費用應(yīng)由賣方承擔(dān)。 （4）若賣方收到上述索賠后 30 天內(nèi)未予答復(fù)，則視為賣方已接受上述索 賠。 15. 人力不可抗拒： 合同一方對由于下列原因而導(dǎo)致不能或暫時不能履行全部或部分合同義務(wù) 的，不承擔(dān)責(zé)任：水災(zāi)、火災(zāi)、地震、旱災(zāi)、戰(zhàn)爭或其他任何在簽約時該方不 能預(yù)料、無法控制且不能避免和克服的事件。但該方應(yīng)盡快將所發(fā)生的事件通 知對方，并應(yīng)在事件發(fā)生 15 天內(nèi)將有關(guān)機構(gòu)出具的不可抗力事件的證明寄交對 方。如果不可抗力事件影響超過 120 天，雙方應(yīng)協(xié)商合同繼續(xù)

13、履行或終止履行 的事宜。 16. 遲交貨罰款： 除本合同第 15 條規(guī)定的人力不可抗拒原因外，如賣方不能按合同規(guī)定的時 間交貨，買方應(yīng)同意在賣方付罰款的條件下延期交貨。罰款可由支付銀行在議 付貨款時扣除。罰款率按每七天收 0.5%，不足七天時以七天計算。但罰款不得 超過遲交貨物總價的 5%。如賣方延期交貨超過合同規(guī)定的十周時，買方有權(quán)撤 銷本合同。此時，賣方仍應(yīng)不遲延地按上述規(guī)定向買方支付罰款。 國際貿(mào)易英文契約模擬寫作 6 17. 仲裁： 凡執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議，雙方應(yīng)通過友好協(xié)商 解決。如果協(xié)商不能解決，應(yīng)提交中國國際貿(mào)易仲裁委員會根據(jù)該會仲裁規(guī)則 在北京進行仲裁。仲

The Seller shall be liable for any damage to the goods due to improper packing and for any damage attributable to inadequate or improper pro

18、tective measures taken by the Seller. In such case all losses and / or expenses incurred shall be borne by the Seller. 4. PAYMENT FOR/BY: By L/C: The Buyer shall open through a bank acceptable to the Seller an Irrevocable Sight Letter of Credit to the Seller 45 days before the shipment, stipulating that 50% of the invoice value shall be paid against clean draft at sight while the re

21、maining 50% shall be paid against Documents against Payment at sight. The full set of the shipping documents of 100% invoice value shall accompany the collection item and shall only be released after full payment of the invoice value. If the Buyer fails to pay for invoice value, the shipping documen

22、ts shall be held by the issuing bank at the Sellers disposal. 10. DOCUMENTS: The Seller shall present the following documents to the paying bank for negotiation: （1）One full set of Clean on Board Ocean Bills of Landing marked “FREIGHT PREPAID” and made out to order, blank endorsed, and notifying at

23、the port of destination; （2）Five copies of Invoice, indicating contract number and shipping marks(in case of more than one shipping marks, the Invoices shall be issued separately)； （3）Five copies of Packing List； （4）Five copies of Certificate of Quality and Quantity issued by the manufacturer as spe

The Seller shall deliver together with the shipment one copy of each of the documents of the above mentioned items (1) (2) and (3)

When sailing starts, the Seller shall immediately send one copy of each of the above mentioned documents, with the exception of item (6) of this clause, to the Buyer and Dalian Port at the port of destination by separate air mail. 11. TERMS OF SHIPMENT: FOB CIF

26、 DELIVERY TERM: （1）The Seller shall ship the goods within the shipment time from the port of shipment to the port of destination. Transshipment is not allowed. The contracted goods shall not be carried by a vessel flying the country which the Buyer cannot accept. （2）The Seller shall immediately afte

27、r dispatch of the goods, advise the Buyer by fax / letter of contract No., commodity quantity, invoice value and date of dispatch for the Buyer to arrange additional insurance in time. 12. SHIPPING ADVICE: The Seller shall, immediately upon the completion of the loading of the commodity, notify by f

28、ax or letter the Buyer of the Contract number, name of commodity, quantity, gross weight, invoice value, name of carrying vessel and date of sailing. In case the Buyer fail to arrange insurance on time due to the fax or letter not been given in time by the Seller, or notification incomplete, all los

29、ses shall be borne by the Seller. 13. GUARANTEE OF QUALITY: The Seller shall guarantee that the commodity is completely new and in conformity to all respects with the quality, specifications and performances stipulated in this Contract. The guarantee period shall be 6 months counting from the date o

30、n which the commodity arrives and is unloaded at the port of destination. 14. INSPECTION AND CLAIM: （1）The manufacturer shall, before delivery, make a precise and comprehensive inspection of the goods in regard to the quality, specifications, 國際貿(mào)易英文契約模擬寫作 10 performance and quantity / weight, and is

31、sue inspection certificates certifying the technical data and conclusion of the inspection. （2）After arrival of the goods at the port of destination the Buyers shall apply to the China Commodity Inspection Bureau (hereinafter referred to as CCIB) for a further inspection in respect of the specificat

32、ions and / or quantity are not in conformity with the stipulations of the Contract, except when the responsibilities lie with insurance company or shipping company, the Buyer shall, within 30 days after arrival of the goods at the port of destination, claim against the Seller, or reject the goods ac

33、cording to the inspection certificates issued by CCIB. （3）In case of damages of the goods incurred due to the design or manufacture defects and/or the quality and performance are not in conformity with the Contract, the Buyer shall, during the guarantee period, request CCIB to make a survey and shal

34、l make a claim against the Seller (including replacement of the goods) and all the expenses incurred therefrom shall be borne by the Seller. （4）The claims mentioned above shall be regarded as being accepted if the Sellers fail to reply within 30 days after the Sellers receive the Buyers claim. 15. F

35、ORCE MAJUERE: Either party shall not be held responsible for failure or delay to perform all or any part of the contract due to flood, fire, earthquake, drought, war or any other events which could not be predicted at the time of the conclusion of the contract, and could not be controlled, avoided o

36、r overcome by the parties. However, the party effected by the event of Force Majeure shall inform the other party of its occurrence in written form as soon as possible, and thereafter send a certificate of the event issued by the relevant authority to the other party but no later than 15 days after

37、its occurrence. In case the event of Force Majeure lasts for 120 days, both parties shall negotiate the performance or the termination of the contract. 16. LATE DELIVERY AND PENALTY: Should the Seller fail to make delivery on time as stipulated in the Contact, with exception of Force Majeure causes

38、specified in Clause 15 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under 國際貿(mào)易英文契約模擬寫作 11 negotiation.
