3、0）包裝： PACKING:須用堅(jiān)固的新木箱/ 紙箱包裝，適合長(zhǎng)途海運(yùn)，防濕、防潮、防震、防銹，而粗暴搬運(yùn)。由于包裝不良所發(fā)生的損失，由于采用不充分或不妥善的防護(hù)措施而造成的任何銹損，賣方應(yīng)負(fù)擔(dān)由此而產(chǎn)生的一切費(fèi)用和/ 或損失。To be packed in new strong woden case（ s） / carton（s） suitable for longdistance ocean transportation and well protected against dampenss， moisture，shock ， rust and rough handling. 6、 followingshiping mark shall be stenciled legibly in fadeless paint:（ 12）付款條件： TERMS OF PAYMENT：A、信用證付款貨物裝運(yùn)前一個(gè)月，買方應(yīng)由上海中國(guó)銀行開立以賣方為受益人的不可撤銷的信用證，憑本合同第13 條甲項(xiàng)規(guī)定的裝運(yùn)單據(jù)交到上海（銀行）后付款。B、托收付款：貨物裝運(yùn)后，賣方應(yīng)將以買方為付款人的匯票連同本合同第13 條甲項(xiàng)所列各種裝運(yùn)單據(jù)，通過(guò)賣方銀行寄交買方銀行即上海中國(guó)銀行轉(zhuǎn)交買方，并托收貨款。丙、信匯付款：買方收到本合同第13 條甲項(xiàng)所列單據(jù)后，應(yīng)于天內(nèi)信匯祭款。A. 18、 ，the Sellers shall air-mailto the Buyers two completesets of the technical documents mentioned in points 1， 2， 3， 4，5and 6 underitems of this Clause.（ 15）裝運(yùn)條款： TERMS OF SHIPMENT：A、每次發(fā)貨如毛重超過(guò)兩公噸，賣方應(yīng)于本合同第8 條規(guī)定的裝運(yùn)期六十天前，將合同編號(hào)、商品名稱、數(shù)量、價(jià)值、件數(shù)、毛重、尺碼以及及貨物在裝貨口岸備舀日期函/ 電告買方，以便買方訂艙。如毛重不超過(guò)兩公噸，則賣方應(yīng)與裝貨口岸的買方超前享受運(yùn)代理人

19、直接聯(lián)系裝運(yùn)事宜。a. For each shipment exceeding two metric tons in gross weight， the Sellersshall， 60days before thedateof shipmentstipulated in Clause 8 hereof ， advisethebuyersby cable/letterofthecontractnumber nameof commodity ， quantity，value ， numberof packages， grossweightand measurements and date of

20、readinessat the portofshipment inorderforthe buyers to book shippingspace. TheSeller

22、s shallkeep inclosecontactwithZHONGZUS shipping agentat the loadingport.C、北京中國(guó)租船公司或其港口代理人于估計(jì)承運(yùn)船到達(dá)裝貨口岸日期十天以前，將船名、預(yù)計(jì)裝船日期、合同編號(hào)初步通知賣方，以便賣方安排裝運(yùn)。事先指定的承運(yùn)船如有變更，或其估計(jì)到達(dá)日期提前或延期時(shí)，買方或其裝運(yùn)代理人應(yīng)及時(shí)通知賣方，如果該船未能于買方或其裝運(yùn)代理人所通知的到達(dá)日期后三十天內(nèi)到達(dá)裝運(yùn)口岸，則從第三十一天起貨物的倉(cāng)租和火災(zāi)保險(xiǎn)費(fèi)用應(yīng)由買方負(fù)擔(dān)。c. 24、carrying vesselpreviously designated is to be replaced by another vessel or in case theestimateddate of arrivalofthecarryingvesselisto be advanced orpostponed ，the Buyers or their shipping agent shall advise the Sellers to that effect intime. Should the vessel fail to arrive at the port of loading w

28、。如單件貨物的重量超過(guò)9 公噸或闊度3400 超過(guò)毫米，或兩旁調(diào)試2350 超過(guò)毫米，則賣方應(yīng)將該件重量和尺碼告知買方。如由于賣方未及時(shí)將裝運(yùn)通知電告買方，以致貨物未及時(shí)保險(xiǎn)而發(fā)生的一切損失應(yīng)由賣方負(fù)擔(dān)。如貨物系屬危險(xiǎn)品，賣方應(yīng)將其性質(zhì)及處理辦法電告買方和到貨口岸中國(guó)對(duì)外貿(mào)易運(yùn)輸公司。Immediatelythe goods are completelyloaded ， the SellersShallcable to notifythe Buyers OF the contractnumber ， name of commodity ，quantity， gross weight ，invo

31、handlingthen.（ 17）質(zhì)量保證： CUARANTEE OF QUALITY：賣方保證訂貨系用最上等的材料和頭等工藝制成，全新，未曾用過(guò)，并完全符合本合同規(guī)定的質(zhì)量、規(guī)格和性能。賣方并保證本合同訂貨在正確安裝、正常使用和維修的情況下，自化物到達(dá)到貨口岸之日起十二個(gè)月內(nèi)運(yùn)轉(zhuǎn)良好。The Sellersshallguaranteethatthe goods are made of best materials， with firstclass workmanship，brand now ， unused and correspond in all respects with thequ

33、tion.（ 18）檢驗(yàn)和索賠： INSPECTION AND CLAIMS：A、在交貨以前， 制造廠就訂貨的質(zhì)量、規(guī)格、性能、數(shù)量 / 重量作出準(zhǔn)確和全面的檢驗(yàn)、并出具貨物和本合同規(guī)定相符的證明書，該證書為議付/ 托收貨款而應(yīng)上交銀行的單據(jù)第10頁(yè)共16頁(yè)的組成部分，但不得為貨物的質(zhì)量、規(guī)格、性能和數(shù)量/ 重量的最后依據(jù)。制造廠應(yīng)將記載試驗(yàn)細(xì)節(jié)和結(jié)果的書面報(bào)告附在質(zhì)量證明書內(nèi)。a.The manufacturers shall before making delivery，make a precise andcomprehensive inspection of the goods as r

34、egards their quality，specifications， performance and quantity/weight，and issue certificatescertifying that the godds are in conformity with the stipulations of thisContract.The certificates shall from an integral part of the documents to bepresented to the paying bank for negotiation/collection of p

35、ayment but shallnot be considered as final in respect of quality， specifications， performanceand quatity/weight.Particulars and results of the test carried ou by themanufacturers must be shown in a statement to be attached to the said QualityCertificate.B、貨物到達(dá)到貨口岸后，買方應(yīng)申請(qǐng)中國(guó)商品檢驗(yàn)局（以下稱商檢局）就貨物的質(zhì)量、規(guī)格和數(shù)量 /

36、 重量進(jìn)行初步檢驗(yàn)。 如發(fā)現(xiàn)到貨的規(guī)格或數(shù)量/ 重量與合同不符， 除應(yīng)由保險(xiǎn)公司或船公司負(fù)責(zé)者外， 買方于貨物在到貨口岸缺貨后120 天內(nèi)憑商檢局出具之檢驗(yàn)證書有權(quán)拒收貨物或向賣方索賠。b.After arrivalof thegoods at the portof destination ，the Buyers shallapplyto the China Commodity inspection Bureau（ hereinafter called the Bureau） fora preliminaryinspectionof the goods inrespectof their qu

37、ality ，specificationsand quantity/weight.Ifany discrepanciesarefoundby the Bureau regarding thespecifications or the quantity/weight or both，except those for which eitherthe insurancecompany or the shipping company is responsible ， the Buyersshall ，within 120 days after discharge of the goods at the

40、ed out by the Bureau and have the rightto claim against the Sellers on the strength of the inspection cer-tificateissued by the Bureau.D、賣方收到買方索賠通知后，如果在三十天內(nèi)不答復(fù)，應(yīng)視為賣方同意買方提出的一切索賠。d. Any and allclaimsshallbe regarded as accepted ifthe Sellersfailto replywithin 30 days after receipt of the Buyers claim.

41、（ 19）索賠解決方法： SETTLEMENT OF CLAIMS：如貨物不符合本合同規(guī)定應(yīng)由賣方者。同時(shí)買方按照本合同第17 條和第 18 條的規(guī)定在索賠期限或質(zhì)量保證期限內(nèi)提出索賠，賣方在取得買方同意后，應(yīng)按下列方式理賠：In case the Sellers are liable forthe discrepanciesand a claimismade by theBuyers within the period of claim or quality guaran-tee period as stipulatedin Clauses 17 and 18 of thisContract

42、.the Sellers shall settle the claim uponthe agreement of the Buyers in the following ways:A、同意買方退貨，并將通貨金額以成交原幣償還買方，并負(fù)擔(dān)因退貨而發(fā)生的一切直第12頁(yè)共16頁(yè)接損失和費(fèi)用，包括利息，銀行費(fèi)用，運(yùn)費(fèi)，保險(xiǎn)費(fèi)，商檢費(fèi)，倉(cāng)租，碼頭裝卸費(fèi)以及為保管退貨而發(fā)生的一切其它必要費(fèi)用。a.Agree to the rejection of the goods and refund to the Buy-ers the value ofthe goods so rejected in the sam

43、e currency as contracted herein，and to bearall direct losses and expenses in connection there with including interestaccrued，banking charges， freight， insurance premium， inapection charges，storage ，stevedore charges and all other necessary expenses required for hecustody and protection of the reject

44、ed goods.b、按照貨物的疵劣程度，損壞的范圍和買方所遭受的損失，將貨物貶值。b.Devaluatethe goods accordingto the degree of inferiority， extentof damageand amount of losses sustained by the Buyers.C、調(diào)換有瑕疵的貨物，換貨必須全新并符合本合同規(guī)定的規(guī)格、質(zhì)量和性能。賣方并負(fù)擔(dān)因此而發(fā)生的一切費(fèi)用和買方遭受的一切直接損失。對(duì)換貨的質(zhì)量， 賣方仍應(yīng)按本合同第 17 條的決定，保證十二個(gè)月。c.Replace the defective goods with new one

45、s which conform to thespecifications， quality and performanceas stipulated in this Contract， andbear all expenses incurred to and direct losses sustained by the Buyers.TheSellersshall，at the same time ，guarantee thequalityof the replacementgoodsfor a further period of 12 months as specified in Claus

46、e 17 of this Contract.（ 20）人力不可抗拒事故： FORCE MAJEURE:由于人力不可抗拒事故，而賣方交貨遲延或不能交貨時(shí)，責(zé)任不在賣方。但賣方應(yīng)立即將事故通知買方， 并于事故發(fā)生后十四天內(nèi)將事故發(fā)生地政府主管機(jī)關(guān)出給的事故證明書用空郵寄交買方為證，并取得買方認(rèn)可。在上述情況下，賣方仍負(fù)有采取一切必要措第13頁(yè)共16頁(yè)施從速交貨的責(zé)任。如果事故持續(xù)超過(guò)十個(gè)星期，買方有權(quán)撤銷本合同。The Sellers shall not be held responsible for any delay in delivery ornondeliveryof the goods

47、due to Force Majeure.However ，the Sellersshalladvisethe Buyers immediatelyof such occurrenceand withinfourteendays thereafter，shall send by airmail to the Buyers for their acceptance a certifi-cate issuedby the competent government authorities of the place where theaccident occursas evidence thereof

Unden such circumstancesthe Seellers， however， are stillunder the obligation to take all necessary measures to hasten the de-livery ofthe goods.In case the accident lasts for morethan ten weeks， the Buyers shallhave the right to cancel this contract.（ 21）遲交和罰款： LATE DELIVERY AND PENALTY：如延遲貨除人力不可抗拒事故者外，賣方應(yīng)會(huì)給買方每一星期按遲交貨物總值的0.5%的遲交罰款， 不足一星期的遲交日數(shù)作為一星期計(jì)算，此項(xiàng)罰款總額不超過(guò)全部遲交貨物總值的 5%，在議付貨款時(shí)由銀行代為扣除，或由買方在付款時(shí)進(jìn)行扣除。如遲延交貨超過(guò)原定期限十星期時(shí)，買方有權(quán)終止本合同。但賣方仍應(yīng)向買方繳付以上規(guī)定
