3、r for 110%of invoice value covering。(11)商品檢驗(yàn)：inspection：(12)付款條件：買(mǎi)方應(yīng)通過(guò)買(mǎi)賣(mài)雙方同意的銀行，開(kāi)立以賣(mài)方為受益人的、不可撤銷(xiāo)的、不可轉(zhuǎn)讓和不可分割的、允許分批裝運(yùn)和轉(zhuǎn)船的即期信用證。該信用證憑裝運(yùn)單據(jù)在中國(guó)的中國(guó)銀行見(jiàn)單議付。該信用證必須在_年_月_日前開(kāi)到賣(mài)方。信用證有效期為裝船后_天在中國(guó)到期。terms of payment :the buyer shall open， with a bank to be accepted by both the buyer and the seller， an irrevocable，i

5、re and to remain valid inn china until the _day(inclusive) from the date of shipment。(13)單據(jù)：賣(mài)方應(yīng)向議付銀行提供已裝船清潔提單(或集裝箱運(yùn)輸?shù)募貉b船提單)、發(fā)票、品質(zhì)證明、數(shù)量/重量鑒定書(shū);如果本合同按cif條件，應(yīng)再提供可轉(zhuǎn)讓的保險(xiǎn)單或保險(xiǎn)憑證。documents： the seller shall present to the negotiating bank， clean on board bill of lading (or clean on board bill of lading for c

6、ontainer transportation)， invoice， quality certificate， survey report on quantity/weight， and transferable insurance policy or insurance certificate when this contract is made on cif basis。(14)裝運(yùn)條件： (cif/cfr)1.載運(yùn)船只由賣(mài)方安排，允許分批裝運(yùn)，允許轉(zhuǎn)船、允許集裝箱運(yùn)輸。2.賣(mài)方于貨物裝船后，應(yīng)將合同號(hào)碼、品名、數(shù)量、船名、裝船日期以電報(bào)通知買(mǎi)方。terms of shipment ： (

8、 and date of shipment。(15)品質(zhì)與數(shù)量、重量的異議與索賠：貨到目的口岸后，買(mǎi)方如發(fā)現(xiàn)貨物品質(zhì)及/或數(shù)量/重量與合同規(guī)定不符，除屬于保險(xiǎn)公司及/或船公司的責(zé)任外，買(mǎi)方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明向賣(mài)方提出異議，品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日15天內(nèi)提出。賣(mài)方應(yīng)于收到異議后30天內(nèi)答復(fù)買(mǎi)方。quality/quantity/weight discrepancy and claim ：in case the quality and/or quantity/weight are found by the buyer to

11、t of destination . the seller shall within 30 days after receipt of the claim， send reply to the buyer.(16)不可抗力：由于人力不可抗拒的事故，使賣(mài)方不能在本合同規(guī)定期限內(nèi)交貨或者不能交貸，賣(mài)方不負(fù)責(zé)任。但賣(mài)方必須立即以電報(bào)通知買(mǎi)方，如買(mǎi)方提出要求，賣(mài)方應(yīng)以掛號(hào)函向買(mǎi)方提供由中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的發(fā)生事故的證明文件。force majeure ： in case of force majelure， the seller shall not be held responsib

12、le for late delivery or non-delivery of the goods but shall notify the buyer by cable，the seller shall deliver to the buyer by registered mail ， if so requested by the buyer， a certificate issued by the china council for the promotion of international trade or any competent authorities。(17)仲裁: 凡因執(zhí)行本

13、合同或與本合同有關(guān)事項(xiàng)發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)由雙方以友好方式協(xié)商解決，如果不能取得協(xié)議時(shí)，則在被告國(guó)家根據(jù)被告國(guó)仲裁機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁，仲裁決定是終局的，對(duì)雙方具有同等約束力。仲裁費(fèi)用除非仲裁機(jī)構(gòu)另有決定外，均由敗訴一方負(fù)擔(dān)。arbitration ： all disputes in connection with this contract or the execution thereof shall be settled through friendly negotiations between two parties if no settlement can be reached . the case in dispute shall then be submitted for arbitration in the country of defendant in accordance with the arbitration regulations of the arbitration organization of the defendant country， the decision made by the arbitration organization shal
