The Seller shall be liable for any damage of the commodity and expenses in

4、curred on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the sellers in regard to the packing.包裝：須用堅(jiān)固的新木箱包裝，適合長(zhǎng)途海運(yùn)，防濕、防潮、防震、防銹，防粗暴搬運(yùn)。由于包裝不良所發(fā)生的損失，或采用不妥 善的防護(hù)措施而造成的任何銹損，賣方應(yīng)負(fù)擔(dān)由此而產(chǎn)生的一切費(fèi)用和損失。5. SHIPPING MARK:The Seller shall mark on

5、 each package with faceless paint the package number, gross weight, net weight, measurement and the wordings: "RIGHT SIDE UP", "HANDLE WITH CARE", "KEEP AWAY FROM MOISTUE", and the shipping mark.賣方應(yīng)在每件包裝箱上用不褪色的油漆刷上箱號(hào)、毛重、凈重、尺碼和“勿倒置”，“小心輕放”，“防潮”等字樣。6. TIME OF TRANSPORTATI

INSURANCE:To be covered by the Seller for 110% （one hundred and ten percent） of total contract value against ALL Risks.保險(xiǎn)：由賣方按合同價(jià)的110%投保一切險(xiǎn)。10. PAYMENT:By T/T. The payment shall be effected after recei

DOCUMENT FOR PAYMENT:The seller shall present following documents to Buyer to effect the payment.1）Two copies of Commercial Invoice,2）Two copies of Packing List,3）Three copies of Certificates of Quality issued by manufactur

8、er4）One copy of certificate of origin5）One copy of Health Certificate6）A filling certificate from factory7）Fumigation Certificate or Non-wood Packing Material Certificate8）The relevant insurance policy which be covered 110% of the total contract value against ALL Risks.9）Five copies of labels （front

10、采用海運(yùn)，賣方在裝船的同時(shí)將如上單據(jù)各一份寄送給目的港的xxx公司。12. DATE OF SHIPPING:The date of Bill of Lading shall be regarded as the actual date of shipment.裝運(yùn)日期：提單上的日期將被視為裝運(yùn)日期。13. GUARANTEE OF QUALITY:The Seller guarantee that complies in all respects with the quality and specifications stipulated in this Contract.The selle

11、r guarantees that choose the right means of transportation will be the goods arrived at the port of destination.1）質(zhì)量保證：賣方保證貨物的質(zhì)量和規(guī)格與本合同的規(guī)定相符。賣方保證選用合適的運(yùn)輸方式將貨物運(yùn)抵目的港。14. INSPECTION:(1) Such as the quality of the goods in conformity with the contract and specification, the buyer of the commodity inspect

12、ion bureau should be invited for inspection, and shall have the right to claim against the seller according to a report issued by the commodity inspection bureau inspection.(1) 如貨物的質(zhì)量與規(guī)格與合同不符，買方應(yīng)請(qǐng)商檢局進(jìn)行檢驗(yàn)，并有權(quán)根據(jù)商檢局出具的檢驗(yàn)報(bào)告向賣方索賠。15. CLAIMS:In case that the Seller are liable for the discrepancies and a c

13、laim is made by Buyer within the time-limit of inspection and quality guarantee period as stipulated in Clause 14 of this Contract, the Seller shall settle the claim upon the agreement of the Buyers in one or the combination of the following ways:(1) Agree to the rejection of the goods and refund to

14、 the Buyers the value of the goods so rejected in the same currency as contracted herein , and to bear all direct losses and expenses in connection therewith including interest accrued, banking charges, freight, insurance premium, inspection charges, storage, stevedore charges and all other necessar

15、y expenses required for the custody and protection of the rejected goods.(2) Devalue the goods according to the degree of inferiority, extent of damage and amount of losses suffered by the Buyers.The claims mentioned above shall be regarded as being accepted if the Sellers fail to reply within 30 da

16、ys after receiving the Buyers' claim. 索賠： 買方按照本合同 14 條的規(guī)定， 在檢驗(yàn)或質(zhì)量保證期內(nèi)提出的索賠， 其問(wèn)題應(yīng)由賣方負(fù)責(zé)時(shí)， 賣方在取得買方同意后應(yīng)按下列 之一或混合的方式處理索賠。(1)同意買方退貨，并將退貨金額以成交原幣償還買方，并負(fù)擔(dān)因退貨而發(fā)生的一切直接損失和費(fèi)用，包括利息、銀行費(fèi)用、運(yùn)費(fèi)、 保險(xiǎn)費(fèi)用、商檢費(fèi)、倉(cāng)儲(chǔ)費(fèi)和裝卸費(fèi)。(2)按照貨物的疵劣程度，損壞的范圍和買方所遭受的損失將貨物貶值。 賣方在收到買方的索賠 30 天內(nèi)沒(méi)有答復(fù)將被認(rèn)為接受上述索賠。16. FORCE MAJEURE:The seller shall not

17、 be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure , such as war , serious fire , flood , typhoon and earthquake , or other events agreed upon between both parties , which might occur during the process of manufacturing or in the course of loading or tra

18、nsit . The Seller shall advise the Buyer by cable/telex immediately of the occurrence mentioned above and within fourteen days thereafter, shall send by airmail to the Buyer for their acceptance a certificate of the accident issued by the Competent Government Authorities, where the accident occurs a

19、s evidence thereof. Under such circumstances the Seller, however , are still under the obligation to take all necessary measures to hasten the delivery of the goods . 不可抗力：由于嚴(yán)重的火災(zāi)、水災(zāi)、臺(tái)風(fēng)、地震以及雙方同意的其它不可抗力事故，致使賣方交貨延遲或不能交貨時(shí)，賣方可不負(fù) 責(zé)任，但發(fā)生上述事故時(shí)， 賣方應(yīng)立即以電傳或電報(bào)通知買方， 并于事故發(fā)生后 14 天內(nèi)將事故發(fā)生地主管當(dāng)局出具的事故證明書用 航空寄交買方 ,依不可抗

20、力事件之輕重 , 一部或全部免除合同責(zé)任。17. ARBITRATION:All disputes in connection with this Contract or the execution there of shall be stetted friendly through negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to China International Economic and Trade Arbitration Comm

21、ission in accordance with the Rules of Arbitration promulgated by the said Arbitration Commission. The Arbitration shall take place in Dalian and the decision of the Arbitration Commission shall be final and binding upon both parties; neither party shall seek recourse to a law court nor other authorities to appeal for revision of the decision.
