4、Agreement, the Company and the Employee shall be collectively referred to as the Parties and individually as a Party.為本合同目的,公司和員工合稱為“雙方”,單獨(dú)稱為“一方”。1. TERM OF THE AGREEMENT合同期限1.1 The initial term of this Agreement shall be months commencing from . 本合同初始期限為 個(gè)月,自 年 月 日起算。1.2 This Agreement shall be aut

JOB DESCRIPTION工作內(nèi)容2.1 Subject to the business needs of the Company, the Employee shall work at the Company as _.在公司經(jīng)營需要的前提下,員工應(yīng)在公司擔(dān)任_職務(wù)。2.2 Detail Job de
7、scription 具體工作內(nèi)容和職責(zé)(以中文表述為準(zhǔn))2.3 The Company may change the Employees position based on its business needs and the Employees professional abilities, skills, and work performance. 公司可根據(jù)其業(yè)務(wù)需要以及員工的專業(yè)技能和工作表現(xiàn)等調(diào)整員工的工作崗位。3. WORKING HOURS,HOLIDAYS, AND LEAVE工作時(shí)間、節(jié)日、和假期3.1 Based on the nature of the Employees
8、 position, the Employees working hours are stipulated according to item _ below: 基于員工工作崗位的性質(zhì),員工的工作時(shí)間如下文第項(xiàng)所述:(i)Standard working hours: The Employee shall work 8 hours a day and 40 hours per week; or標(biāo)準(zhǔn)工作時(shí)間:員工應(yīng)每日工作八小時(shí),每周工作四十小時(shí);或(ii)Flexible working hours: The Employee shall perform his/her duties at t
9、he Company flexibly and in a timely manner, pursuant to the business needs of the Company and based on the requirements of the Employees position. As the Employee has flexible working hours, the Employee hereby explicitly acknowledges that he/she shall not be entitled to overtime payment as other em
10、ployees who have standard working hours may be for their work after normal working hours at the Company or during holidays. 不定時(shí)工作時(shí)間:根據(jù)公司的業(yè)務(wù)需要和員工工作崗位的要求,員工應(yīng)靈活和及時(shí)地履行其在公司的職責(zé)。因?yàn)閱T工的不定時(shí)工作時(shí)間,員工特此確認(rèn):與其他實(shí)行標(biāo)準(zhǔn)工作時(shí)間的員工不同,該員工不因?yàn)樵跇?biāo)準(zhǔn)工作時(shí)間之外的時(shí)間和節(jié)假日工作而享受加班費(fèi)的待遇。3.2 The Employee shall be entitled to _ working days of an
11、nual paid leave during the first calendar year of service. For each subsequent calendar year, the days of the annual paid leave of the Employee shall increase by one (1) day, provided that, the maximum days of annual paid leave is fifteen (15) working days. For any calendar year that the Employee do
12、es not work for the Company for a full year, the days of annual paid leave for the Employee shall be calculated pro-rata on the basis of the actual months that the Employee has worked for the Company in that year.員工在第一個(gè)日歷年的服務(wù)期間享受個(gè)工作日的帶薪年假。在隨后的日歷年度里,員工的帶薪年假天數(shù)將每年增加一(1)天,但最多不超過十五(15)個(gè)工作日。在任何日歷年度中,如果員工在
13、公司沒有工作滿一整年,則員工的帶薪年假天數(shù)將按員工該年度在公司實(shí)際工作的月數(shù)按比例計(jì)算。The Employee shall take annual paid leave based on the business needs of the Company and shall follow relevant corporate approval procedures for taking annual paid leave so as to ensure that the business of the Company will not be adversely affected owing
14、to the absence of the Employee. 員工應(yīng)根據(jù)公司的業(yè)務(wù)需要并應(yīng)依照公司的有關(guān)批準(zhǔn)程序安排帶薪年假,以保證公司的業(yè)務(wù)不會(huì)因員工休假而受到不利影響。3.3 The Employee shall enjoy the Chinese public holidays, statutory leave applicable to the concerned Employee, and all other holidays that are granted in accordance with the rules and regulations of the Company.員
15、工應(yīng)享受中國的公共節(jié)假日、適用于該員工的法定假期、以及按照公司的規(guī)章制度確定的其他全部假期。4. LABOUR PROTECTION AND WORKING CONDITIONS勞動(dòng)保護(hù)和勞動(dòng)條件The Company shall provide the Employee with the necessary working conditions and facilities/equipment. The Company shall also establish and maintain a labor security and sanitary systemthat comply with
16、applicable laws and regulations on workplace health and safety.公司應(yīng)為員工提供必要的勞動(dòng)條件和設(shè)施/設(shè)備。公司亦應(yīng)建立和保持一個(gè)符合工作場(chǎng)所健康和安全法規(guī)規(guī)定的勞動(dòng)安全和衛(wèi)生體系。5. REMUNERATION勞動(dòng)報(bào)酬5.1 The Company shall provide the following remuneration to the Employee: 公司應(yīng)向員工提供下列待遇:(i) A base salary of RMB _ Yuan per month; Notwithstanding the forgoing,
17、 during the probationary period as set forth in Section 1.3 above, the base salary shall be at the amount of RMB Yuan per month; The monthly salary shall be paid on 10 in each month.月基本工資為人民幣 元(盡管有上述規(guī)定,在上文第1.3條規(guī)定的試用期內(nèi),月基本工資為人民幣_(tái)元);月薪應(yīng)于每月10日支付。(ii) A year end bonus, based on the Employees performance
18、, at the Companys discretion (notwithstanding the forgoing, for the first calendar year at the Company, the year end bonus of the Employee will be paid pro-rata on the basis of actual months that the Employee has worked for the Company in that calendar year); 年終獎(jiǎng)應(yīng)由公司根據(jù)員工的表現(xiàn)自行決定(盡管有上述規(guī)定,對(duì)于員工在公司工作的第一個(gè)
19、日歷年度,員工的年終獎(jiǎng)將按員工該年度在公司實(shí)際工作的月數(shù)按比例支付);(iii) Standard employee benefits of the Company, including particularly annual paid holidays and medical insurance, as specified in this Agreementand the Companys employee handbook.公司的標(biāo)準(zhǔn)員工福利,特別包括在本合同中和公司員工手冊(cè)中規(guī)定的帶薪年假和醫(yī)療保險(xiǎn)。The Employee hereby agrees that the Company
20、may at its sole discretion and from time to time adjust the remuneration of the Employee after discussion and consultation with the Employee according to the Companys relevant compensation and benefits policy. 員工特此同意:經(jīng)與員工討論和協(xié)商,公司可自行酌處,根據(jù)其相關(guān)薪酬福利政策不時(shí)地調(diào)整員工的待遇。5.2 The Company shall make a mandatory soci
21、al insurance contribution (including the portion that the Employee is obligated to contribute) to the relevant social insurance agencies for the Employee at the Companys own cost. 公司應(yīng)向相關(guān)的社保機(jī)構(gòu)自費(fèi)為員工繳納法定的社會(huì)保險(xiǎn)(包括員工個(gè)人應(yīng)承擔(dān)的部分)。5.3 The Company shall deduct and withhold from the Employees monthly salary the
22、corresponding amount of individual income tax that the Employee is obligated to pay according to law.公司應(yīng)從員工的月工資中依法代為扣繳員工應(yīng)繳納的相應(yīng)個(gè)人所得稅。5.4 If the Employee follows the system of standard working hours as stipulated in item (i) of Section 3.1 above, the Company shall make overtime payments to the Employe
23、e for his/her overtime work for the Company in accordance with Chinese law. Notwithstanding the foregoing, any overtime work must be approved in advance by the relevant management of the Company according to the relevant rules and regulations of the Company.如果員工按照上文第3.1條第()項(xiàng)規(guī)定的“標(biāo)準(zhǔn)工作時(shí)間”工作,公司應(yīng)根據(jù)中國法律的規(guī)
24、定就員工的加班工作向員工支付加班費(fèi)。盡管有上述規(guī)定,任何加班需經(jīng)公司相關(guān)管理層按照公司的有關(guān)規(guī)章制度事先批準(zhǔn)。6. LABOR DISCIPLINE, RULES, AND REGULATIONS OF THE COMPANY勞動(dòng)紀(jì)律和公司的規(guī)章制度6.1 The Company shall be entitled, in its sole discretion, to formulate and revise its labor discipline and its corporate rules and regulations from time to time, provided the
25、 Company notifies the Employee of any new or revised labor discipline, or corporate rules or regulations before they take effect.公司有權(quán)自行酌處,不時(shí)地制訂和修訂其勞動(dòng)紀(jì)律和公司規(guī)章制度;但是,在任何新制訂或修訂的勞動(dòng)紀(jì)律或公司規(guī)章制度生效前,公司應(yīng)通知員工。6.2 The Employee shall carefully read and fully understand all labor discipline, rules, and regulations o
26、f the Company; and, the Employee shall strictly comply with and abide by the same. 員工應(yīng)仔細(xì)閱讀、充分理解、并嚴(yán)格執(zhí)行公司的全部勞動(dòng)紀(jì)律和規(guī)章制度。Any violation of the labor discipline, rules, or regulations of the Company shall be deemed a serious violation of the Agreement.任何對(duì)公司的勞動(dòng)紀(jì)律或規(guī)章制度的違反均應(yīng)被視為本合同項(xiàng)下的重大違約。6.3 As a condition of
27、 employment, Employee shall sign and agree to abide by the Confidentiality, Non-Competition and Intellectual Property Rights Agreement, which is attached as Exhibit A hereto.作為本合同的條件,員工應(yīng)簽署并同意遵守保密,競(jìng)業(yè)禁止及知識(shí)產(chǎn)權(quán)保護(hù)協(xié)議(見本合同附件A)。7. AMENDMENT, NULLIFICATION, AND TERMINATION OF THIS AGREEMENT合同的變更、解除和終止7.1 Exce
28、pt as otherwise specified herein, any amendment to this Agreement shall be made jointly by the Parties in writing.除本合同另有約定之外,本合同的任何修訂均應(yīng)由雙方共同書面做出。7.2 This Agreement may be nullified and then deemed null and voidif mutually agreed to in writing by both Parties.經(jīng)雙方書面協(xié)商一致,可解除本合同。7.3 Termination of the A
29、greement合同終止7.3.1 This Agreement shall be terminated in any of the following circumstances:有下列情形之一的,本合同終止:(i) the Agreement expires and is not renewed according to Section 1.2 above;合同期滿并且未依照上文第1.2條續(xù)延;(ii) the Employee has lost the relevant professional qualification required for performance of his/
30、her working duties as agreed herein (e.g., drivers license, accountants qualification);員工不再具有為履行其在本合同項(xiàng)下的工作職責(zé)所要求的相關(guān)專業(yè)資質(zhì),例如,駕駛執(zhí)照,會(huì)計(jì)師資格;(iii) the Employee retires in accordance with applicable Chinese law, dies, or is declared dead or disappeared by a court;員工根據(jù)中國法律退休,死亡,或被法院宣告死亡或失蹤;(iv) the Company go
31、es into bankruptcy, dissolution, or revocation;公司破產(chǎn)、解散、或者被撤銷;(v) the Employee has been confirmed by aqualified examination agency as having partially lost the capacity to work owing to an occupational disease or an on-duty injury; and, the Company has paid relevant disability subsidy according to la
32、w;員工患職業(yè)病或因工負(fù)傷,已被合格的鑒定機(jī)構(gòu)確認(rèn)為部分喪失勞動(dòng)能力,并且公司已依法支付傷殘就業(yè)補(bǔ)助金;(vi) the Employee has been confirmed by a qualified examination agency as having completely or materially lost the capacity to work owing to an occupational disease or an on-duty injury; the Company has paid relevant disability subsidy according to
33、 law; and, the Company and the Employee have consulted and reached agreement to terminate this Agreement; or員工患職業(yè)病或因工負(fù)傷,已被合格的鑒定機(jī)構(gòu)確認(rèn)為完全或大部分喪失勞動(dòng)能力,公司已依法支付傷殘就業(yè)補(bǔ)助金;并且,公司和員工協(xié)商一致終止本合同;或(vii) any other circumstances as provided for in law or any other termination events that the Company and the Employee ha
34、ve agreed herein.法律規(guī)定的任何其他情形、或公司和員工在本合同中約定的任何其他終止情形。7.3.2 Notwithstanding anything to the contrary in Section 7.3.1 hereof, in the case of any of the following circumstances, this Agreement shall not be terminated in accordance with Section 7.3.1 above until the following circumstance disappears:不論上
35、文第7.3.1條有何不同規(guī)定,有下列情形之一的,本合同應(yīng)順延至下列情形消失時(shí)方可根據(jù)上文第7.3.1條被終止:(i) the Employee is undergoing a prescribed period of medical treatment for an illness or for an off-duty injury; 員工患病或者非因工負(fù)傷,在規(guī)定的醫(yī)療期內(nèi);(ii) the Employee (if the Employee is a female) is pregnant, in confinement or nursing; or員工(若是女員工)在孕期、產(chǎn)期、哺乳期內(nèi)
36、;或(iii) other circumstances under which the applicable law prohibits the termination of this Agreement.適用法律禁止本合同終止的其他情形。7.4 The Company may unilaterally and immediately nullify this Agreement in any of the following circumstances where:有下列情形之一的,公司可以單方面隨時(shí)解除本合同:(i) the Employee has failed to satisfy t
37、he specified recruitment requirements of the Company during the probationary period as set forth in Section 1.3 above;員工在上文第1.3條規(guī)定的試用期內(nèi)被證明不符合公司的有關(guān)錄用條件;(ii) the Employee has seriously violated the labor discipline or the rules or regulations of the Company;員工嚴(yán)重違反勞動(dòng)紀(jì)律或者公司的規(guī)章制度;(iii) the Employee has b
38、reached material agreements entered between the Company and the Employee, including but not limited to, the Confidentiality, Non-Competition and Intellectual Property Rights Agreement(See Exhibit A);員工違反和公司另行簽訂的重大協(xié)議,包括但不限于,保密,競(jìng)業(yè)禁止及知識(shí)產(chǎn)權(quán)保護(hù)協(xié)議(見附件A);(iv) the Employee has committed an action of serious d
39、ereliction of duty or corruption, and thereby caused substantial harm to the interests of the Company, for example, causing serious injury or death of another person;員工嚴(yán)重失職或營私舞弊,并因此造成對(duì)公司利益的重大損害,例如,致使他人重大傷亡;(v) the Employee provided false information in his/her application for the position (e.g., inf
40、ormation pertaining to his/her identity, education background, and employment history);員工在應(yīng)聘時(shí)提供虛假信息,例如,身份、教育背景、和工作經(jīng)歷;(vi) the Employee is subject to criminal penalty; or員工被依法追究刑事責(zé)任的;或(vii) Other circumstances as provided by applicable law.適用法律規(guī)定的其他情形。7.5 Unilateral Nullification by the Company 公司單方解
41、除合同7.5.1 The Company may unilaterally nullify this Agreement with thirty (30) days advance written notice in any of the following circumstances where:有下列情形之一的,公司可以單方解除本合同,但是應(yīng)當(dāng)提前三十(30)日書面形式通知員工:(i) the Employee has fallen ill or has sustained off-duty injury and cannot engage in the original work or
42、any other work assigned by the Company to him/her upon the conclusion of his/her medical treatment;員工患病或者非因工負(fù)傷,醫(yī)療期滿后不能從事原工作,亦不能從事公司安排的其他工作;(ii) the Employee has been incapable of doing his/her job and remains incapable of doing so after receiving training or being transferred to another post; or員工不勝
43、任工作,經(jīng)過培訓(xùn)或者調(diào)整工作崗位仍不能勝任工作;或(iii) there has occurred a major change to the objective circumstances under which this Agreement was consummated, which has rendered this Agreement incapable of being performed, and the Parties have failed to reach an agreement on the amendment to this Agreement after consu
44、ltation. 本合同訂立時(shí)所依據(jù)的客觀情況發(fā)生重大變化,致使本合同無法履行,經(jīng)雙方協(xié)商仍不能就變更合同達(dá)成一致。7.5.2 However, the Company shall not nullify this Agreement in accordance with Section 7.5.1 above in any of the following situations:但是有下列情形之一的,公司不得依據(jù)上文第7.5.1條的規(guī)定解除本合同:(i) the Employee has suffered from an occupational disease or has sustain
45、ed an on-duty injury, and it has been confirmed that the Employee has completely or partially lost the capacity to work;員工患職業(yè)病或因工負(fù)傷,并被確認(rèn)完全或者部分喪失勞動(dòng)能力;(ii) the Employee is undergoing a prescribed period of medical treatment for an illness or for an off-duty injury; 員工患病或者非因工負(fù)傷,在規(guī)定的醫(yī)療期內(nèi);(iii) the Emplo
46、yee (if the Employee is a female) is pregnant, in confinement or nursing; or員工(若是女員工)在孕期、產(chǎn)期、哺乳期內(nèi);或(iv) other circumstances under which the applicable law prohibits the Company from nullifying this Agreement.適用法律禁止公司解除本合同的其他情形。7.6 Unilateral Nullification by the Employee員工單方解除合同7.6.1 Generally, the E
47、mployee may unilaterally nullify this Agreement by serving ninety (90) days advance written notice to the Company. 通常情況下,員工經(jīng)提前九十(90)天書面通知公司,方可單方解除本合同。7.6.2 Notwithstanding the provision of Section 7.6.1 above, the Employee shall be entitled to unilaterally and immediately nullify this Agreement unde
48、r any of the following circumstances:盡管有上文第7.6.1條的規(guī)定,有下列情形之一的,員工可隨時(shí)通知公司并單方解除本合同:(i) during the probationary period as set forth in Section 1.3 above;在上文第1.3條規(guī)定的試用期內(nèi);(ii) the Company is unable to pay the salary in accordance with this Agreement; or公司未能按照本合同支付勞動(dòng)報(bào)酬;或(iii) the Company forces the Employe
49、e to work by means of violence, threat, and illegal restriction of the Employees personal freedoms.公司以暴力、威脅、或者非法限制人身自由的手段強(qiáng)迫勞動(dòng)。7.7 The Company may nullify this Agreement by means of laying off the Employee in accordance with the relevant statutory procedures if the Company experiences serious hardshi
50、p in its business operation and it is necessary to lay off its employees.若公司遭遇嚴(yán)重的經(jīng)營困難必須裁員時(shí),公司可以依據(jù)相關(guān)的法定程序通過裁員的方式解除本合同。7.8 If applicable, in the event that either Party nullifies this Agreement without serving advance written notice as stipulated in Sections 7.5.1 or 7.6.1 above, the Party shall indem
51、nify the losses of the other Party.在適用的情況下,若一方未按照上文第7.5.1條或第7.6.1條的規(guī)定以事先書面通知的形式解除本合同,該一方應(yīng)賠償另一方的損失。7.9 In case this Agreement is nullified or terminated pursuant to the terms and conditions of this Agreement and as stipulated above, the Company shall issue a written certificate to the Employee to evi
52、dence that the employment relationship between the Company and the Employee has ended.若本合同根據(jù)本合同的條款和上述規(guī)定被解除或終止,公司應(yīng)向員工出具書面證明,以證明公司和員工的勞動(dòng)關(guān)系結(jié)束。8. ECONOMIC COMPENSATION AND INDEMNITY經(jīng)濟(jì)補(bǔ)償和賠償8.1 If applicable, the Company shall make severance payment to the Employee in accordance with applicable Chinese la
53、w where this Agreement is nullified or terminated.如適用,在本合同被解除或終止時(shí),公司應(yīng)依照中國有關(guān)法律的規(guī)定給予員工經(jīng)濟(jì)補(bǔ)償。8.2 Where the Company recruits the Employee by means of headhunting, provides the Employee with training at the Companys expense, or provides any special preferential treatment to the Employee, if the Employee n
54、ullifies this Agreement in violation of the relevant agreement(s) between the Company and the Employee, then the Employee shall reimburse the Company the expenses in accordance with the specific agreement(s).在公司通過獵頭聘用員工、出資培訓(xùn)員工、或給予員工特殊待遇的情況下,若員工違反公司和員工間的有關(guān)協(xié)議解除本合同,則員工應(yīng)依據(jù)相應(yīng)協(xié)議補(bǔ)償公司的相應(yīng)費(fèi)用。8.3 If this Agree
55、ment is nullified due to the Employees breach of this Agreement or the Non-Competition and Intellectual Property Rights Agreementbetween the Company and the Employee, and the Employee has caused losses to the Company, the Employee shall compensate the losses of the Company.若因員工違反本合同或公司和員工間的保密,競(jìng)業(yè)禁止及知識(shí)產(chǎn)權(quán)保護(hù)協(xié)議導(dǎo)致本合同被解除,并且員工給公司造成損失的,則員工應(yīng)該補(bǔ)償公司的損失。9. LABOR DISPUTES勞動(dòng)爭(zhēng)議9.1 The formation of this Agreement, its validity, interpretation, execution and settlement of disputes shall be governed by the relevant laws and regulations of China.
