13、theConsultantinaccordancewiththeAgreementandcompriseNormalServices,AdditionalServicesandExceptionalServices.“Works”meansthepermanentworkstobeexecuted(includingthegoodsandequipmenttobesuppliedtotheClient)fortheachievementoftheProject.“Client”meansthepartynamedintheAgreement,whoemploystheConsultant,an

14、dlegalsuccessorstotheClientandpermittedassignees.“Consultant”meansthepartynamedintheAgreement,whoisemployedasanindependentprofessionalfirmbytheClienttoperformtheServices,andlegalsuccessorstotheConsultantandpermittedassignees.(vi)“party”and“parties”meanstheClientandtheConsultantand“thirdparty”meaothe

16、endixC(RemunerationandPayment),LetterofAcceptanceandFormalAgreementifcompleted,orotherwiseasspecifiedintheParticularConditions.“day”meanstheperiodbetweenanyonemidnightandthenext.“month”meansaperiodofonemonthaccordingtotheGregoriancalendarcommencingwithanydayofthemonth.“LocalCurrency”(LC)meansthecurr

20、rethosewhicharenotNormalorAdditionalServicesbutwhicharenecessarilyperformedbytheConsultantinaccordancewithClause28.DUTYOFCAREANDEXERCISEOFAUTHORITYTheConsultantshallexercisereasonableskill,careanddiligenceintheperformanceofhisobligationsundertheAgreement.WheretheServicesincludetheexerciseofpowersorp

21、erformanceofdutiesauthorizedorrequiredbythetermsofacontractbetweentheClientandanythirdparty,theConsultantshall:actinaccordancewiththecontractprovidedthatthedetailsofsuchpowersanddutiesareacceptabletohimwheretheyarenotdescribedinAppendixA.ifauthorizedtocertify,decideorexercisediscretion,dosofairlybet

22、weentheClientandthirdpartynotasanarbitratorbutasanindependentprofessionalactsbyhisskillandjudgment.ifsoauthorizedvarytheobligationsofanythirdparty,subjecttoobtainingthepriorapprovaloftheClienttoanyvariationwhichcanhaveanimportanteffectoncostsorqualityortime(exceptinanyemergencywhentheConsultantshall

23、informtheClientassoonaspracticable).CLIENTSPROPERTYAnythingsuppliedbyorpaidforbytheClientfortheuseoftheConsultantshallbethepropertyoftheClientandwherepracticableshallbesomarked.WhentheServicesarecompletedorterminated,theConsultantshallfurnishinventoriestotheClientofwhathasnotbeenconsumedintheperform

24、anceoftheServicesandshalldeliveritasdirectedbytheClient.SuchdeliveryshallberegardedasanAdditionalService.6OBLIGATIONSOFTHECLIENTINFORMATIONTheClientshallsoasnottodelaytheServicesandwithinareasonabletimegivetotheConsultantfreeofcostallinformationinhispowertoobtainwhichmaypertaintotheServices.DECISION

25、SOnallmattersproperlyreferredtohiminwritingbytheConsultanttheClientshallgivehisdecisioninwritingsoasnottodelaytheServicesandwithinareasonabletime.ASSISTANCEInthecountryoftheProjectandinrespectoftheConsultant,hispersonnelanddependents,asthecasemaybe,theClientshalldoallinhispowertoassistin:theprovisio

26、nofdocumentsnecessaryforentry,residence,workandexit;providingunobstructedaccesswhereveritisrequiredfortheServices;import,exportandcustomclearanceofpersonaleffectsandofgoodsrequiredfortheServices;theirrepatriationinemergencies;theprovisionoftheauthoritiesnecessarytopermittheimportofforeigncurrencybyt

27、heConsultantfortheServicesandbyhispersonnelfortheirpersonaluseandtopermittheexportofmoneyearnedintheperformanceoftheServices;providingaccesstootherorganizationsforcollectionofinformationwhichistobeobtainedbytheConsultant.EQUIPMENTANDFACILITIESTheClientshallmakeavailable,freeofcost,totheConsultantfor

28、thepurposeoftheServicestheequipmentandfacilitiesdescribedinAppendixB.CLIENTSPERSONNELInconsultationwiththeConsultant,theClientshallathiscostarrangefortheselectionandprovisionofpersonnelinhisemploymenttotheConsultantinaccordancewithAppendixB.InconnectionwiththeServicessuchpersonnelshalltakeinstructio

29、nsonlyfromtheConsultant.SERVICESOFOTHERSTheClientshallathiscostarrangefortheprovisionofservicesfromothersasdescribedinAppendixB,andtheConsultantshallco-operatewiththesuppliersofsuchservicesbutshallnotberesponsibleforthemortheirperformance.7PERSONNELSUPPLYOFPERSONNELThepersonnelwhoaresentbytheConsult

30、anttoworkinthecountryoftheProjectshallhavebeenphysicallyexaminedandfoundfitfortheirassignments,andtheirqualificationsshallbeacceptabletotheClient.ThepersonneltobesuppliedbytheClientinaccordancewithClause11shallbeacceptabletotheConsultant.IftheClientcannotsupplyClientspersonnelorservicesofothersforwh

31、ichheisresponsibleanditisagreedtobenecessaryforthesatisfactoryperformanceoftheServices,theConsultantshallarrangeforitssupplyasanAdditionalService.REPRESENTATIVESFortheadministrationoftheAgreement,eachpartyshalldesignatetheofficialorindividualtobehisrepresentative.IfrequiredbytheClient,theConsultants

32、halldesignateanindividualtoliaisewiththeClientrepresentativeinthecountryoftheProject.CHANGESINPERSONNELIfitisnecessarytoreplaceanyperson,thepartyresponsiblefortheappointmentshallimmediatelyarrangeforreplacementbyapersonofcomparablecompetence.Thecostofsuchreplacementshallbebornebythepartyresponsiblef

33、ortheappointmentexceptthatifthereplacementisrequestedbytheotherparty,suchrequestshallbeinwritingstatingthereasonforit,andthepartymakingtherequestshallbearthecostofreplacementunlessmisconductorinabilitytoperformsatisfactorilyisestablishedasthereason.LIABILITYANDINSURANCELIABILITYBETWEENTHEPARTIES16.1

34、LiabilityoftheConsultant.TheConsultantshallonlybeliabletopaycompensationtotheClientarisingoutoforinconnectionwiththeAgreementifabreachofArticle5.1isestablishedagainsthim.16.2LiabilityoftheClient.TheClientshallbeliabletotheConsultantifabreachofhisdutytotheConsultantisestablishedagainsttheClient.16.3C

35、ompensation.Ifitisestablishedthateitherpartyisliabletotheother,compensationshallbepayableonlyonthefollowingterms:8Suchcompensationshallbelimitedtotheamountofreasonablyforeseeablelossanddamagesufferedasaresultofsuchbreaches,butnototherwise.Inanyevent,theamountofsuchcompensationwillbelimitedtotheamoun

36、tspecifiedinClause18.1.Ifeitherpartyisconsideredtobeliablejointlywiththirdpartiestotheother,theproportionofcompensationpayablebyhimshallbelimitedtothatproportionofliabilitywhichisattributabletohisbreach.DURATIONOFLIABILITYNeithertheClientnortheConsultantshallbeconsideredliableforanylossordamageresul

37、tingfromanyoccurrenceunlessaclaimisformallymadeonhimbeforetheexpiryoftherelevantperiodstatedintheParticularConditions,orsuchearlierdateasmaybeprescribedbylaw.LIMITOFCOMPENSATIONANDINDEMNITY18.1LimitofCompensation.ThemaximumamountofcompensationpayablebyeitherpartytotheotherinrespectofliabilityunderCl

38、ause16islimitedtotheamountstatedintheParticularConditions.ThislimitiswithoutprejudicetoanyAgreedCompensationspecifiedunderClause31(ii)orotherwiseimposedbytheAgreement.Eachpartyagreestowaiveallclaimsagainsttheotherinsofarastheaggregateofcompensationwhichmightotherwisebepayableexceedsthemaximumamountp

39、ayable.Ifeitherpartymakesaclaimforcompensationagainsttheotherpartyandthisisnotestablishedtheclaimantshallentirelyreimbursetheotherforhiscostsincurredasaresultoftheclaim.18.2Indemnity.Sofarastheapplicablelawpermits,theClientshallindemnifytheConsultantagainsttheadverseeffectsofallclaimsincludingsuchcl

41、,orotherwisethaninconnectionwiththeperformanceofobligationundertheAgreement.INSURANCEFORLIABILITYANDINDEMNITYTheClientcanrequestinwritingthattheConsultantinsuresagainsthisliabilityunderClause16.1,9increaseshisinsuranceagainstliabilityunderClause16.1overthatforwhichhewasinsuredatthedateoftheClientsfi

42、rstinvitationtohimforaproposaloftheservices,insuresagainstpublic/thirdpartyliability,increaseshisinsuranceagainstpublic/thirdpartyliabilityoverthatforwhichhewasinsuredatthedateoftheClientsfirstinvitationtohimforaproposalfortheservices,effectsotherinsurances.Ifsorequested,theConsultantshallmakeallrea

43、sonableeffortstoeffectsuchinsuranceorincreaseininsurancewithaninsurerandontermsacceptabletotheClient.ThecostofsuchinsuranceorincreaseininsuranceshallbeattheexpenseoftheClient.INSURANCEOFCLIENTSPROPERTYUnlessotherwiserequestedbytheClientinwritingtheConsultantshallmakeallreasonableeffortstoinsureonter

44、msacceptabletotheClient:againstlossordamagetothepropertyoftheClientsuppliedorpaidforunderClause6.againstliabilitiesarisingoutoftheuseofsuchproperty.ThecostofsuchinsuranceshallbeattheexpenseoftheClient.COMMENCEMENT.COMPLETION.ALTERATIONANDTERMINATIONOFTHEAGREEMENT21.AGREEMENTEFFECTIVETheAgreementisef

45、fectiveasofthedateofreceiptbytheConsultantoftheClientsLetterAcceptanceoftheConsultantsproposalorofthelatestsignaturenecessarytocompletetheFormalAgreement,ifany,whicheveristhelater.COMMENCEMENTANDCOMPLETIONTheServicesshallbecommencedandcompletedatthetimesorwithintheperiodsstatedintheParticularConditi

46、onssubjecttoextensionsinaccordancewiththeAgreement.VARIATIONSTheAgreementcanbevariedonapplicationbyeitherpartybywrittenagreementoftheparties.FURTHERPROPOSALSIfrequestedbytheClientinwriting,theConsultantshallsubmitproposalsforalteringtheServices.ThepreparationandsubmissionofsuchproposalsshallbeanAddi

47、tionalService.DELAYSIftheServicesareimpededordelayedbytheClientorhiscontractorssoastoincreasetheamountordurationoftheServices:10TheConsultantshallinformtheClientofthecircumstancesandprobableeffects.TheincreaseshallberegardedasAdditionalServices.ThetimeforcompletionoftheServicesshallbeincreasedaccord

48、ingly.CHANGEDCIRCUMSTANCESIfcircumstancesariseforwhichtheConsultantisnotresponsibleandwhichmakeitirresponsibleforhimtoperforminwholeorinparttheServicesinaccordancewiththeAgreementheshallpromptlydispatchanoticetotheClient.InthesecircumstancesifcertainServiceshavetobesuspended,thetimefortheircompletio

49、nshallbeextendeduntilthecircumstancesnolongerapplyplusareasonableperiodnotexceeding42daysforresumptionofthem.IfthespeedofperformingcertainServiceshastobereduced,thetimefortheircompletionshallbeextendedasmaybemadenecessarybythecircumstances.ABANDONMENT,SUSPENSIONORTERMINATION27.1ByNoticeoftheClientTh

50、eClientmaysuspendallorpartoftheServicesorterminatetheAgreementbynoticeofatleastfifty-six(56)daystotheConsultantwhoshallimmediatelymakearrangementstostoptheServicesandminimizeexpenditure.IftheClientconsidersthattheConsultantiswithoutgoodreasonnotdischarginghisobligationshecaninformtheConsultantbynoti

51、cestatingthegroundsforthenotice.Ifasatisfactoryreplyisnotreceivedwithintwenty-onedaystheClientcanbyafurthernoticeterminatetheAgreementprovidedthatsuchfurthernoticeisgivenwithinthirty35daysoftheClientsformernotice.27.2ByNoticeoftheConsultantAftergivingatleast14daysenoticeClient,totheConsultantcanbyfu

52、rthernoticeofatleast42daysterminatetheAgreement,orathisdiscretionwithoutprejudicetotherighttoterminatecansuspendorcontinuesuspensionofperformanceofthewholeorpartoftheServices.when28daysaftertheduedateforpaymentofaninvoicehehasnotreceivedpaymentofthatportofitwhichhasnotbythattimebeencontestedinwritin

53、g,orwhenServiceshavebeensuspendedundereitherClause26orClause27.1andtheperiodofsuspensionhasexceeded182days.EXCEPTIONALSERVICESUpontheoccurrenceofcircumstancesdescribedinClause26orabandonmentorsuspensionorresumptionofServicesoruponterminationoftheAgreementotherwisethanundertheprovisionsofClause27.1(i

54、i)anynecessaryworkorexpensebytheConsultantextratotheNormalandAdditionalServicesshallberegardedasExceptionalServices.TheperformanceofExceptionalServicesshallentitletheConsultanttoextratimenecessaryfortheirperformanceandtopaymentforperformingthem.11RIGHTSANDLIABILITIESOFPARTIESTerminationoftheAgreemen

55、tshallnotprejudiceoraffecttheaccruedrightsorclaimsandliabilitiesoftheparties.AfterterminationoftheAgreement,theprovisionsofArticle15shallremaininforce.PAYMENTPAYMENTTOTHECONSULTANTTheClientshallpaytheConsultantforNormalServicesinaccordancewiththeConditionsandwiththedetailsstatedinAppendixC,andshallp

56、ayforAdditionalServicesatratesandpriceswhicharegiveninorbasedonthoseinAppendixCsofarastheyareapplicable,butotherwiseasareagreedinaccordancewithClause23.UnlessotherwiseagreedinwritingtheClientshallpaytheConsultantinrespectofExceptionalServices:asforAdditionalServicesforextratimespentbytheConsultantsp

57、ersonnelintheperformanceoftheServices,thenetcostofallextraexpenseincurredbytheConsultant.TIMEFORPAYMENTAmountsduetotheConsultantshallbepaidpromptly.IftheConsultantdoesnotreceivepaymentwithinthetimestatedintheParticularConditionsheshallbepaidAgreedCompensationattheratedefinedintheParticularConditions

58、compoundedmonthlyonthesumoverdueandinitscurrencyreckonedfromtheduedateforpaymentoftheinvoice.SuchAgreedCompensationshallnotaffecttherightsoftheConsultantstatedinClause27.2CURRENCYOFPAYMENTThecurrencyapplicabletotheAgreementisthatstatedinParticularConditions.Wherepaymentistobemadeinothercurrenciesits

59、hallbecomputedatratesofexchangeasdefinedintheParticularConditionsandpaidnetwithoutdeductions.UnlessotherwisespecifiedinAppendixC,theClientwarrantsthattheConsultantcantransferabroadpromptlyallLocalandForeignCurrencyamountsinconnectionwithperformanceoftheServiceswhicharereceivedbyhimintheClientscountr
