3、材料的提供辦法及規(guī)格、數(shù)量、質(zhì)量Article Three Provision, Specification, Amount and Quality of Raw Material1. 用甲方原料履行工作的。甲方必須依照協(xié)議規(guī)定選用原材料，并接受乙方檢驗(yàn)。甲方隱瞞原材料的缺陷或者用不符合協(xié)議規(guī)定的原材料而影響定做質(zhì)量時(shí)，乙方有權(quán)要求重作、修理、減少價(jià)款或退貨。Where manufacture by party As provision of raw material, party A should, in accordance with the stipulation of this con

5、very of product.2. 用乙方原材料履行工作的。各方應(yīng)當(dāng)明確規(guī)定原材料的消耗定額。乙方應(yīng)按協(xié)議規(guī)定的時(shí)間、數(shù)量、質(zhì)量、規(guī)格提供原材料，甲方對乙方提供的原材料要按協(xié)議規(guī)定及時(shí)檢驗(yàn)，不符合要求的，應(yīng)立即通知乙方調(diào)換或補(bǔ)齊。甲方對乙方提供的原材料不得擅自更換，對修理的物品不得偷換零部件。Where manufacture by party Bs provision of raw material, the consumption of the same should be specifically agreed or stipulated by parties hereto. 6、y B should, pursuant to the time limited, amount, quality and specification stipulated herein, provide raw material to party A and party A should, without any undue delay, make check and inspection to the raw material provided by party B, if, find any nonconformance of material, inform forthwith par

7、ty B to make replacement or complement thereof. Party A shall not any way change or replace the raw material which provided by party B without authorization, not shall surreptitiously change the components and parts of the repaired article.3. 交(提)原材料等物品日期計(jì)算，參照第七條規(guī)定執(zhí)行。The calculation of date and peri

8、od of provision of raw material shall be by reference to the stipulations of Article Seven.第四條 技術(shù)資料文件資料、圖紙?zhí)峁┺k法 Article Four Provision of Technical Data and Drawing1.甲方在依照乙方的要求進(jìn)行工作期間，發(fā)現(xiàn)提供的圖紙或技術(shù)要求不合理，應(yīng)當(dāng)及時(shí)通知乙方；乙方應(yīng)當(dāng)在規(guī)定的時(shí)間內(nèi)回復(fù)，提出修改建議或意見。甲方在規(guī)定的時(shí)間內(nèi)未得到答復(fù)，有權(quán)停止工作，并及時(shí)通知乙方，因此造成的損失，由乙方賠償。Provided that party A, in

9、 the period of working pursuant to the requirement of party B, find drawing or technical requirement submitted by party B are unreasonable, should in time inform party B with the same and party B should reply within the prescribed time and propose amendments thereon. Where fail to reply by party B,

10、party A has right to suspend its work and notify party B in reasonable time, any loss arising out of or relation to the failure of reply shall be born by party B.2. 甲方對于委托的工作應(yīng)當(dāng)嚴(yán)格遵守保密商定，未經(jīng)乙方許可不得留存技術(shù)資料文件資料的復(fù)制品。Party A should keep the commission confidential in strict by the Nondisclosure Agreement, sh

11、all not hold copy of technical material without party Bs prior consent.3.乙方應(yīng)當(dāng)按規(guī)定日期提供技術(shù)資料文件資料、圖紙等。Party B should, within the prescribed day provide technical material, drawings and so on.第五條 價(jià)款或報(bào)酬Article Five Price or Remuneration價(jià)款或報(bào)酬，依照國家或主管部門的規(guī)定執(zhí)行，沒有規(guī)定的由當(dāng)事人各方商定。Price or remuneration shall be imple

12、mented on the reference of state or competent authority, if, without such price, shall be decided by negotiation of parties hereto.第六條 驗(yàn)收標(biāo)準(zhǔn)和方法 Article Six Standard and Ways of Acceptance1.依照協(xié)議規(guī)定的質(zhì)量要求、圖紙和樣品作為驗(yàn)收標(biāo)準(zhǔn)。The acceptance standard shall subject to the technical requirement, drawing and sample s

13、tipulated herein.2.乙方應(yīng)當(dāng)按協(xié)議規(guī)定的期限驗(yàn)收甲方所履行的工作。驗(yàn)收前甲方應(yīng)當(dāng)向乙方提交必需的技術(shù)資料文件資料和關(guān)于質(zhì)量證明。對短期檢驗(yàn)難以發(fā)現(xiàn)質(zhì)量缺陷的定做物或項(xiàng)目，應(yīng)當(dāng)由各方協(xié)商，在協(xié)議中規(guī)定保證期限。保證期限內(nèi)發(fā)生問題，除乙方使用、保管不當(dāng)?shù)仍蚨斐少|(zhì)量問題的以外，由甲方負(fù)責(zé)修復(fù)或退換。Party B should within the time limited pursuant to this contract make check or acceptance of the commissioned work which accomplished by party

14、 A and party A should, prior to the check or acceptance, submit party B with necessary technical material or concerned quality certificate. In respect to the ordered article or item which being difficult to find its defects within the short times check or test, should be under negotiation by parties

15、 hereto and stipulate the warranty period in contract. Where any problem or trouble occurred within warranty period except to the quality problem arising out of or relation to the improper use or storage of party B, party A shall be responsible for repairing or exchange the ordered purchase.3.當(dāng)事人各方對

16、委托的定做物和項(xiàng)目質(zhì)量在檢驗(yàn)中發(fā)生爭議時(shí)，可由法定質(zhì)量監(jiān)督檢驗(yàn)機(jī)構(gòu)提供檢驗(yàn)證明。Provided that if any dispute between parties hereto on the quality check of ordered article or item, inspection certificate shall be submitted by competent quality supervision inspection authority.第七條 交貨的時(shí)間和地點(diǎn) Article Seven Time and Place of Delivery1.交(提)定做物期

17、限應(yīng)當(dāng)依照協(xié)議規(guī)定履行。任何一方要求提前或延期交(提)定做物，應(yīng)當(dāng)在事先與對方達(dá)成協(xié)議，并按協(xié)議執(zhí)行。The time limited of delivery / acceptance of ordered articles should subject to the conditions of this contract. Where any party require to effect delivery / acceptance in advance or postpone, should reach prior agreement with other party and implem

18、ent thereby.2.交(提)定做物日期計(jì)算：甲方自備運(yùn)輸工具送交定做物的, 以乙方接收的戳記日期為準(zhǔn)；委托運(yùn)輸部門運(yùn)輸?shù)?，以發(fā)運(yùn)定做物時(shí)承運(yùn)部門簽發(fā)戳記日期為準(zhǔn)；自提定做物的，以甲方通知的提取日期為準(zhǔn)，但甲方在發(fā)出提取定做物通知中，必須留給乙方以必要的途中時(shí)間；各方另有商定的，按商定的方法計(jì)算。Respect to the calculation of time of delivery/acceptance, where party A deliver the ordered articles by its own conveyance, time calculation shall

21、條 其他商定 Article Eleven Miscellaneous第十二條 甲方的違約責(zé)任 Article Twelve Responsibility of Party As Default一、未按協(xié)議規(guī)定的質(zhì)量交付定做物或履行工作，乙方同意利用的，應(yīng)當(dāng)按質(zhì)論價(jià)，酌減報(bào)酬或價(jià)款；不同意利用的，應(yīng)當(dāng)負(fù)責(zé)修整或調(diào)換，并承擔(dān)逾期交付的責(zé)任；經(jīng)過修整或調(diào)換后，仍不符合協(xié)議規(guī)定的，乙方有權(quán)拒收，由此造成的損失由甲方賠償。Should party A fail, in accordance with the quality stipulations of contract, to effect del

22、ivery of ordered articles or implement the commission to party B, where party B agree to accept and utilize, the price concerned shall be subject to the quality and reduce in correspondence remuneration or price therewith, where party B refuse to accept, party A shall be liable for repair or replace

23、ment in addition to take the liability of overdue delivery. Provided that if though repair or replacement the delivery or commission of party A is still not conformity with contract stipulation, party B is entitle to accept and any loss shall be liable on party A.二、交付定做物或履行工作的數(shù)量少于協(xié)議規(guī)定，乙方仍然需要的，應(yīng)當(dāng)照數(shù)補(bǔ)齊

24、，補(bǔ)交部分按逾期交付處理；少交、遲交部分乙方不再需要的，甲方應(yīng)賠償乙方因此造成的損失。Provided that the amount of ordered articles or commissions are less than the same stipulated in contract, where still need by party B, the shortfall should be compensated as original schedule, for the compensation part applied to the provision of overdue d

25、elivery herein; where no need by party B for shortfall or overdue part, party A should make compensation for the loss consequent thereon or incidental thereto.三、未按協(xié)議規(guī)定包裝定做物，需返修或重新包裝的，應(yīng)當(dāng)負(fù)責(zé)返修或重新包裝，并承擔(dān)因此而支付的費(fèi)用。乙方不要求返修或重新包裝而要求賠償損失的，甲方應(yīng)當(dāng)償付乙方該不合格包裝物低于合格包裝物的價(jià)值部分。因包裝不符協(xié)議規(guī)定造成定做物毀損、滅失的，由甲方賠償損失。Where the failu

26、re to make package of the ordered articles pursuant to contract, need to return for repair or re-package, party A should be liable for repair or re-package and bear all expense thus occurred. Should party B require to effect compensation for loss in lieu of returned repair or re-package, party A sho

27、uld make reimbursement to party B for the value part which equal to the difference price between non-conforming package and qualified package. Party A should make compensation for the loss and damage of the ordered articles resulting from non-conforming the term of contract.四、逾期交付定做物(包括返修、更換、補(bǔ)交等)，應(yīng)當(dāng)

28、向乙方償付違約金_ 元；協(xié)議中無具體規(guī)定的，應(yīng)當(dāng)比照中國人民銀行關(guān)于延期付款的規(guī)定。違約金依照逾期交付部分的價(jià)款總額計(jì)算。向乙方償付違約金以報(bào)酬計(jì)算的，每逾期一天，按逾期交付部分的報(bào)酬總額的千分之一償付違約金。未經(jīng)乙方同意，提前交付定做物，乙方有權(quán)拒收。Provided that if overdue delivery of the ordered articles including return for repair, replace and compensation for shortfall, party A should pay the penalty of , if, withou

29、t specific stipulation therewith, reference should be made to the provision of deferred payment of China Peoples Bank. The penalty amount shall be calculated on the basis of total price of overdue delivery part. Should the penalty be calculated on the basis of remuneration, The penalty should be cha

30、rged 1 of total value of overdue delivery for every day the delivery is delayed.Party B is entitle to refuse to accept the advance delivery without prior written consent of party B.五、未能交付定做物或未能履行工作的，應(yīng)當(dāng)償付未能交付定做物或未能履行工作部分價(jià)款總值的_%或報(bào)酬總額的_%的違約金。Provided that party A fail to effect delivery of the ordered

31、articles or accomplish the commission should make reimbursement of liquidated damages which equal to the price value of % of non-delivery part or unaccomplished part, or % of total remuneration value.六、異地交付的定做物不符合協(xié)議規(guī)定，暫由乙方代保管時(shí)，應(yīng)當(dāng)償付乙方實(shí)際支付的保管、保養(yǎng)費(fèi)。The ordered delivered at different place, if, fail to s

32、atisfy the terms of contract, may be under temporary custody and safekeeping by party B, the fees arising out or relating to thereof shall be born by party B.七、實(shí)行代運(yùn)或送貨的定做物，錯(cuò)發(fā)到達(dá)地點(diǎn)或接收單位(人)，除按協(xié)議規(guī)定負(fù)責(zé)運(yùn)到指派地點(diǎn)或接收單位(人)外，并承擔(dān)因此多付的運(yùn)雜費(fèi)和逾期交付定做物的責(zé)任。Provided that the ordered article , through the transportation of

33、carrier agency or delivery, is sent to wrong place or wrong receiving company / person, party A should take the responsibility of the overpaid transport fees and overdue delivery in addition to transport the designed place or deliver to the receiving company / person.八、由于保管不善致使乙方提供的原材料、設(shè)備、包裝物及其他物品毀損

34、、滅失的，應(yīng)當(dāng)償付乙方因此造成的損失。Party A should make compensation to party B for its loss and damage, which arising out of or relating to party As improper care, of raw material, equipment, packing article and other items provided by party B九、未按協(xié)議規(guī)定的辦法和期限對乙方提供的原材料進(jìn)行檢驗(yàn)，或經(jīng)檢驗(yàn)發(fā)現(xiàn)原材料不符合要求而未按協(xié)議規(guī)定的期限通知乙方調(diào)換、補(bǔ)齊的，由甲方對工作質(zhì)量、數(shù)

35、量承擔(dān)責(zé)任。Where party As failure of , by the means and time limit of contract, making inspection of raw material provided by party B and /or requirement of replacement or shortfall compensation within the time limit of contract, for which party A should be liable for the quality and quantity of the comm

36、ission.十、擅自調(diào)換乙方提供的原材料或修理物的零部件，乙方有權(quán)拒收，甲方應(yīng)賠償乙方因此造成的損失。如乙方要求重作或重新修理，應(yīng)當(dāng)按乙方要求辦理，并承擔(dān)逾期交付的責(zé)任。Where party A, at its own initiative, replace or change the raw material or parts of repaired article from party B, party B has right to reject delivery and claim party A for compensation the loss consequent thereo

37、n or incidental thereto. Provided that party B require party A to redo or re-pairing for which party B should do under such requirement and bear the responsibility of overdue delivery.第十三條 乙方的違約責(zé)任 Articles Thirteen Responsibility of Party Bs Breach一、中途變更定做物的數(shù)量、規(guī)格、質(zhì)量或設(shè)計(jì)等，應(yīng)當(dāng)賠償甲方因此造成的損失。Provided that p

38、arty B change, at midway of production, the amount, specification, quality or design of the ordered articles, party B should make compensation of party As loss occurred therein.二、中途廢止協(xié)議，屬甲方提供原村料的，償付甲方的未履行部分價(jià)款總值的_%的違約金；不屬甲方提供原材料的，償付甲方以未履行部分報(bào)酬總額的_%違約金。Where party B, in half way of performance, propose

39、 to cancel contract, if, the raw material provided by party A, party B should make reimbursement which equal to _% of total value of non-performing part , to party A, as liquidated damages. Should the raw material not be provided by party A, party B should make reimbursement which equal to _% of tot

40、al value of non-performing part , to party A, as liquidated damages.二、未按協(xié)議規(guī)定的時(shí)間和要求向甲方提供原材料、技術(shù)資料文件資料、包裝物等或未履行必要的輔助工作和籌備工作，甲方有權(quán)解除協(xié)議，乙方應(yīng)當(dāng)賠償甲方因此而造成的損失；甲方不要求解除協(xié)議的，除交付定做物的日期得以順延外，乙方應(yīng)當(dāng)償付甲方停工待料的損失。Where party B fail to provide, by the requirement within the period stipulated in contract, raw materials, tech

41、nical date, packaging and/or complete the necessary auxiliary work or preparation, party A has right to terminate contract and party B should indemnify party As loss occurred therein. Provided that party A dont require to terminate contract, party B should reimburse to party A for the loss of shutdo

42、wn for raw materials in addition to extension or postponement of delivery time.三、超過協(xié)議規(guī)定時(shí)限領(lǐng)取定做物的，除按本條第五款規(guī)定償付違約金外，還應(yīng)當(dāng)承擔(dān)甲方實(shí)際支付的保管、保養(yǎng)費(fèi)。乙方超過領(lǐng)取期限6個(gè)月不領(lǐng)取定做物的，甲方有權(quán)將定做物變賣，所得價(jià)款在扣除報(bào)酬、保管、保養(yǎng)費(fèi)后，退還給乙方；變賣定做物所得少于報(bào)酬、保管、保養(yǎng)費(fèi)時(shí)，乙方還應(yīng)補(bǔ)償不足部分；如定做物未能變賣，應(yīng)當(dāng)賠償甲方的損失。Should party B accept the ordered articles over the period ruled

43、by contract, should undertake the cost of storage, maintenance actually paid by party A in addition to pay liquidated damages stipulated in paragraph 5 of this article, if, failure of acceptance by party B overdue more than six months, party A is entitle to sell off the ordered articles and the bala

44、nce of proceeds therefrom, after deduction of remuneration and fees of storage, maintenance, shall be returned to party B. Where the proceeds of sold ordered articles is less the sum of remuneration and fees of storage, maintenance, party B should make compensation of shortfall money, if, unable to

45、sell, party B should indemnify party A against loss and damage thereto.五、超過協(xié)議規(guī)定日期付款，應(yīng)當(dāng)比照中國人民銀行關(guān)于延期付款的規(guī)定向甲方償付違約金；以報(bào)酬計(jì)算的，每逾期一天，按報(bào)酬總額的千分之一償付違約金。In case that party B fail to make payment overdue the date limited of contract, party B should pay party A breach penalty by reference to the rule of deferred

46、payment of China Peoples Bank, where the penalty calculated on the remuneration, for each delay day, penalty should be charged at rate of 1 of the total value of remuneration.六、無故拒絕接收定做物，應(yīng)當(dāng)賠償甲方因此造成的損失及運(yùn)輸部門的罰款。Should party B refuse without reason to make acceptance of the ordered article, party B should indemnify party A for loss and damage consequent thereon or incident thereto as well as the penalty by carrier authority.七、變更交付定做物地點(diǎn)或接收單位(人)，承擔(dān)因此而多支出的費(fèi)
