Normalworkinghoursshallbetheofficialworkinghourswhicharegenerally8Hrs.perdayx5days.UnlessotherwisestatedinthisAgreement,anyandallovertimeworkingshallbepriorwrittennotifiedbytheCLIENTandapprovedbytheDNVGL.TheovertimeworkingshallnotbeperformeduntilmutualagreedandwrittenapprovedbytheCLIENTandDNVGL.PricesquotedareexclusiveofThisAgreementshallconsistof:SectionI-CoverLetter,SectionII-GeneralTermsandConditionsandtheapplicableattaents,whichtogetherconstitutetheintegratedentireAgreementbetweentheparties,supersedingandreplacingallprioragreements,understandingsorrepresentationsrelatingtothesubjectmatterTheabove sintheAgreementshallbeinterpretedasoneagreementandincaseofanyambiguitiesorcontradictionsbetweenthes,the sshalltakeprecedenceintheorderlistedhere:GeneralTermsandConditions,theCoverLetter,andanyatta ents.Noamendmentand/orvariationtotheAgreementshallbeconsideredbindingorvalidunlesssetoutinwritinganddulysignedbytheauthorisedrepresentativesofbothparties.AnytermsandconditionsincludedinanyofCustomer’spurchaseordersshallbedisregardedunlessexplicitlyagreedtoanddulysignedbytheauthorisedrepresentativesofbothpartiesasamendingspecifictermsofthisAgreement.ShouldanyprovisionofthisAgreementbeheldtobeinvalidorunenforceable,suchshallnotaffectthevalidityorenforceabilityofanyotherpartorprovisionofthisAgreement.Suchprovisionshallbeamendedtotheextentnecessarytomaketheprovisionvalidandenforceable,whilekee asstrictlyandcloselyaspossibletotheoriginalwordingandpurposeoftheprovision.ThisAgreementismadeinduplicate,oneoriginalforeachpartyhereto.ThisAgreementshallbedulysignedbytheCustomer'sauthorisedrepresentativepriortoanycommencementoftheWork,failingwhich,heCustomeracknowledgesthatDNVGLisentitledtopostponeorcanceltheperformanceoftheWork.for

forDNVPlace:ShanghaiDate:2015-03---------------------------------------- ---------------------------------------CaiXiuNameandTitleincapital HeadofEMCCSection,DNVGLChinaOil&Section2-GeneralTermsandTheScopeofWorkandExcecutionofDNVGLshallexecutetheworkasdescribedintheScopeofWorkinaccordancewiththeprovisionsofthisAgreement,thecriteriaoftherelevantCertificationSchemeandanyagreedapplicablerulesandstandards(the“Work”).TheextentoftheWorktobeperformedshallbesetoutexclusivelyintheCoverLetter’ssecionScopeofWork,whichincaseofambiguityor pletenessshallbedeterminedinlightofanyproposalorbidmadebyDNVGLtotheCustomer.DNVGLwillprovidesuitablyqualified neltocarryouttheWork.Unlessotherwiseagreed,DNVGLmayatanytimesubstitute assignedtotheWork,providedthatanyreplacement nelaresuitable.CustomermaysetforthanyreasonableandreasonedobjectionagainstanyofDNVGL’s nelassignedtotheWorkbywrittennotice.WithoutunduedelayafterDNVGL’sreceiptofsuchnotice,thepariesshallmeetanddiscusstheobjectionsandanymeasuresorreassignment,pendingwhichDNVGLmaywithoutanyliabilityorpenaltiessuspendanyperformanceoftheWorkotherwisetobecarriedoutbytherelevant GeneralThepartiesagreethattheproperandtimelyperformanceoftheWorkunderthisAgreementreliesontheparties’effectivecommunicationandexchangeofrelevantinformation.TothispurposethepartiesagreetousetheirreasonableeffortstocooperateinallnecessarywaysandtodevelopandmaintainopencommunicationandcommonunderstandingoftheScopeofWorkunderheAgreement.CustomeragreesthatDNVGL’sperformanceoftheWorkrequiresDNVGLtobegrantedaccessandrighttoinspectallrelevantsitesandfacilitiesandprovisionofallrelevant,correctandcomplete andinformation.Forthispurpose,CustomershallinatimelymannermakeallnecessaryarrangementsandprovideDNVGLwithallreasonablynecessaryaccesstotheabovementionedinformationandsites.UnlessitisexplicitlyagreedaspartoftheWorktoidenifydiscrepancies,errors,inconsistenciesoromissionsintheinformationprovidedbyheCustomer,CustomershallberesponsibleforthecorrectnessoftheinformationitprovidesandDNVGLisentitledtorelyontheaccuracyandcompletenessofsuchinformationfortheperformanceoftheWork.CustomershallpromptlyinformDNVGLofanyactualorlikelydelayinnecessaryaccesstorelevantsitesorfacilities,ordelayinprovidingorchangestoheinformaionnecessaryforDNVGL’sperformanceoftheWork.ShouldCustomerfailtoprovideDNVGLwiththerequiredtimelyaccessornecessaryinformation,DNVGLmayinformCustomerofthelackofaccessorinsufficientinformationandmaywithoutanyliabilityorpenaltiessuspendtheperformanceoftheWorkpendingreceiptoftheCustomer’sinstructionsforaccessand/ornecessaryinformation.CustomeracknowledgesandagreesthatithasreadandunderstoodtheCertificationSchemerequirementsapplicableatthedateofthisAgreementandagreestoabidebythem.Health,SafetyandEnvironmentBothpartiesshallemployreasonablestandardsforpromotingsafety,healthandenvironmentalprotectionandforensuringsafeworkingenvironmentsfortheir CustomershallinformDNVGLwithoutunduedelayof:(i)anyactualorpotentialHSEriskwhichCustomerisawareofandwhichisreasonablyrelevanttotheperformanceoftheWork;and(ii)anyofCustomer’simplementedorplannedmeasuresagainstsuchrisksthatCustomerrequiresDNVGL’s neltoadhereto.WheneverDNVGL’sperformanceoftheWorkinvolvesvisitstoorworkonCustomercontrolledfacilitiesorsites,Customerisresponsiblefortheadequacy,stability,safetyandlegalcomplianceoftheworkingenvironment,includingreasonablemeasurestomitigateorcontrolrelevantrisks.WheneverDNVGL’s nelarepresentonCustomer’sfacilitiesorsites,DNVGL’s nelshalladheretoCustomer’sHSEinstructionsprovidedaccordingtothisHSEclause.DNVGLoritsnelmayrefusetocarryoutanyactivity,orvisitanyareaorsite,ifDNVGLorits nelintheirsolediscretionconsiderthatrelevantrisksareunacceptableornotadequayaddressed,containedorotherwisemitigated.Anysuchdecisionshallsuspendbothparties’obligationsunderthisAgreementwithoutanyliabilityorpenaltiesuntiltheparieshaveagreedonhowtoproceed.ForWorkwhereCustomerrequiresDNVGL’s neltomakeuseofairtransportinareaswithoutlocalDNVGLoffices,Customershallprovidetotherelevant nelsafetransportationtoandfromairportsandthevarioussitesbyproviding:(i)transportationwithcarsfulfillingreasonableEU/UStechnicalsafetystandards(e.g.reasonablynewandintactcars,equippedwithallrelevantsafetymeasures,suchassafetybeltsfrontandback);and(ii)professionaldrivers,underwritteninstructionswithregardtosafedriving,compliancewithspeedlimitsandothertrafficregulationsanduseofsafetystandards(safetybelts,lights,restingtime,etc.).

ation,DNVGLshall,uponcompletionofthecertificaionprocessandtheWorkandbasedonthefindingsfromitsassessment,issuethedeliverable(s)agreedaspartoftheScopeofWork(a“Deliverable”),providedthatDNVGLinitsprofessionaldiscretionfindsthattheapplicablerequirementsarefulfilled.DNVGLwillissuetheinaccordancewiththerelevantCertificationScheme,providedthatDNVGLconcludethattheobject(s)ofthecertificationprocessiscomplyingwiththeassessmentcriteria.AllDeliverablesprovidedbyDNVGLarebasedontheinformationmadeavailablebyCustomertoDNVGLuptothedateofissuanceoftheDeliverableandCustomeracknowledgesandagreesthatanystatementmadebyDNVGLintheDeliverableisastatementatthetimeofissuanceDNVGLmayatanytimerecall,suspend,withhold,withdrawand/orreissueanyDeliverablewithimmediateeffectifinDNVGL’sopinion:(i)Customerfailstoprovideanynecessaryinformationor ationinaccordancewithsection2(GeneralObligations)forthepurposeofmaintainingthe ofConformity,or(ii)Customerfailstopayanyundisputedduefees;(iii)anyrelevantdiscrepancies,errorsoromissionsinthebasisfortheDeliverableisdetected;or(iv)CustomermisrepresentsDNVGL’sbusinessname,trademarkorDeliverableonwhichsuchnameortrademarkisused.Ifthe iswithdrawn,CustomershallreturntheoriginaltoDNVGLwithinfourteen(14)daysfromthedateCustomermayinwritingrequestDNVGLtoperformadditionalreasonablysimilarworkunderthisAgreement(a“Variation”).ShouldtheCustomerrequestaVariation,orifDNVGLdeemsanyinstructionbytheCustomertoconstituteaVariation,DNVGLshallsetoutanoverviewoftheVariation,includingtheimpactonthetimescheduleandremunerationforsuchintheformofaVariationorder(a“VariationOrder”),andshallissuetheVariationOrdertoCustomer.UnlesstheCustomerobjectstotheVariationOrderwithinfive(5)businessdays,theVariationOrdershallbedeemedasacceptedasanintegralpartofthisAgreement.ShouldtheCustomerobjecttotheVariationOrder,thepartiesshalldiscusstheimpactoftheVariationonthetimescheduleandremunerationandagreeanamendedVariationRe-Shouldeitherpartydetectanydiscrepancies,errorsoromissionsinanyDeliverablesorWorkwithintwelve(12)monthsafterdeliveryorcompletionoftheWork,whicheveroccursfirst,itshallnotifytheotherpartywithoutunduedelayandspecifythenatureandextentoftheoccurrence.TotheextentsuchoccurrenceisnotattributabletoCustomerorCustomer’saffiliatesorsubcontractors,DNVGLmayinitsowndiscretionrectifysaiddiscrepancies,errorsoromissionsorre-performtherelevantpartoftheDeliverableorWorkwithinareasonableperiodoftime.ProvidedthatDNVGL’srectificationorre-performanceissuccessfulthereshallbenofurtherrecourseforCustomerunderthissecion.ShouldthenotifiedoccurrencebeattributabletoCustomeroritsaffiliatesorsubcontractors,DNVGLmayoffertore-performtherelevantpartoftheWorkasaVariation.TaxesandEachpartyissolelyresponsibleforpayinganyandalltaxestoanypublicauthoritywhereversuchtaxesareleviedonheactivitiesofsuchparty.ForthepurposeofthisAgreement,anyandallprices,fees,ratesorremunerationareagreedasstatedexclusiveofanyformofsalestaxes,valueaddedtax,and/oranyothersimilartaxeswhi aybeapplicable.CustomershalleffectpaymentasagreedinheCoverLettertoDNVGLfortheWork,includinganyVariations,toDNVGL’sbankaccountstatedonthe withinthirty(30)daysofthedateofthe Incaseoflatepayments,DNVGLisentitledtochargealatepaymentpenaltyinterestsaccordingtotheapplicablelawofthisAgreement,or3%abovethethirty(30)daysLIBORrate,whicheveristhehigher.Allpaymentsshallbemadeinclearedfunds,withoutanydeductionorset-offandfreeandclearofandwithoutdeductionfororonaccountofanytaxes,levies,imports,duties,charges,feesandwithholdingsofanynaturenoworhereafterimposedbyany ernmental,fiscalorotherauthoritysaveasrequiredbylaw.IfandtotheextentCustomerhastowithholdtaxesorotherpaymentsaccordingtoapplicablelaws,CustomershalldeductandwithholdsuchamountsfrompaymentstoDNVGLandpaytheamounttothecompetenttaxauthorityoranyotherrelevant ernmentalbody.CustomershallinformDNVGLaboutsuchwithholdingpriortomakingthepaymentandshallusereasonableeffortstocooperatewithDNVGLinseekingdoubletaxtreatyreliefand/orotherexempionsandreliefsavailable,hereunderseekingexemptionsfromanygeneralwithholdingobligationsCustomermayhave.CustomershallprovideDNVGLwitha ortaxreceiptissuedinthenameofDNVGLinaccordancewithapplicablelaws.ThepartiesagreetokeepconfidenialanyinformationtheyreceivefromtheotherpartyinthecourseoftheAgreementwhichbydenotationorreasonablecircumstancesisconsidered tothedisclosingparty,andasrecipientshalltreatsuchreceivedinformationwithreasonablecareanddiligence,notdisseminatingordisclosingittothirdparieswithouttheotherparty’spriorwrittenconsent,providedhoweverthateachpartymaysharesuchinformationwithitsofficers,employees,affiliatesorsubcontractorswhoaresubjectto ityobligationsreflecingtheprinciplesherein.Theobligationsaboveshallnotapplytoanyinformationwhich:(i)isoresknowntotherecipientfromathirdpartywithoutanyityobligationtothedisclosingparty;(ii)isor generallyavailableinthepublic throughnoactorfailuretoactonthepartoftherecipient;or(iii)isrequiredtobedisclosedbyanycompetentcourt, ernmentalagency,flagstateadministration,orotherrelevantpublicauthorityinaccordancewithapplicablelaw,courtorderorotherpublicregulation.Notwithstandingtheabove,unlessotherwiseexplicitlyagreed,DNVGLshallhavetherightsto:(i)useforstatistical, yticalandtrainingpurposeswithintheDNVGLGroupofcompanies,anyinformationgeneratedinthecourseoftheWork,providedthatsuchinformationiskeptinternallywithintheDNVGLGroupofcompaniesorpublishedonlyinaggregatedanonymousforms;and(ii)makereferencetoCustomerand/ortheWorkunderthisAgreementinanyeffortstosecureotherbusiness,unlessCustomerexpresslyprohibitssuchreference.TheobligationsinthissectionshallsurvivethecompletionoftheWorkorterminationofthisAgreementandshallcontinueforaslongastherelevantinformationremains PostponementoftheCustomermaypostponecommencementofpartsoftheWorkasagreedinthetimescheduleuponreasonablepriorwrittennoticetoDNVGL(a"NoticeofPostponement").Subjectonlytothesection(ForceMajeureandRestrictionsonTrade)clause,intheeventofsuchpostponement,DNVGLshallbeentitledtocompensationasfollows:(i)iftheNoticeofPostponementisreceivedlessthanfourteen(14)dayspriortotheagreedcommencementdateoftheWork,acompensationoftwenty-five-percent(25%)oftheagreedfeeortheplannedactivity;or(ii)iftheNoticeofPostponementisreceivedlaterthanseven(7)dayspriortotheagreedcommencementdateoftheWorkacompensationofseventy-five-percent(75%)oftheagreedfeefortheplannedactivity.AssignmentandThisAgreement,includingany issuedasaresulthereof,isspecificallyrelatedtoCustomerandnorights,obligaionsorDeliverablesmaybeassignedtoanyotherpartywithoutthepriorwrittenconsentofDNVGL.Customerisnotentitledtogranttoanythirdpartyanyrightofuseinrespectofany withouthepriorwrittenconsentofDNVDNVGLmayatitsdiscretionsubcontractpartsoforthewholeoftheWorktoanyothercompanywithintheDNVGLGroup.InlectualPropertyForthepurposeofthisAgreement,eachpartyshallremainthesoleownerofanyofitsinlectualpropertyandrightstheretoexisingpriortothedateofthisAgreementand,exceptasexplicitlysetoutinhisAgreement,nothinghereinshallimplyanytransferorgrantofrightstoanysuchinlectualpropertyorrightsthereto.ToheextentnecessarytofacilitateDNVGL’sperformanceoftheWork,CustomershallgranttoDNVGLanon-exclusiveroyalty-freerighttouseitsanditsaffiliates'andsubcontractors’relevantinlectualpropertyandrightstheretofortheperformanceoftheWorkandpreparationofanyDeliverable.AsDNVGL’sworkisperformedonthebasisofDNVGL’sexperienceandexistinginlectualpropertyandrightsthereto,DNVGLshallgranttoCustomertheownershiptothephysicalorelectronicexampleofheDeliverableandaworldwiderighttousetheDeliverableortheresultsoftheWorkforitsagreedorordinarypurpose,butotherwiseshallretainallotherinlectualpropertyrightstotheDeliverablesandanyotherinformationcreatedinanyformcreatedduringthecourseoftheAgreement.ShouldthepartiesexpresslyagreeintheCoverLettersectiononDeliverablesthatDNVGLshalldevelopasaDeliverableinitselfnewinlectualpropertyandrightstheretoforandtotheCustomer,DNVGLshallaspartofthedeliverytransferallsuchinlectualpropertyrightstotheCustomer.SuchtransferisstrictlycontingentontheDeliverablenotcarryinganytrademark,tradename,logoorotherreferencetoDNVGL.ForanyDeliverablewhereitisagreedthatCustomermaymakesuchavailable,whollyorpartially,tothirdparties,CustomershallmakesuchDeliverableorpartthereof,availabletoherelevantthirdpartywithoutalteringthecontent,contextororiginallanguageoftheDeliverable.UndernocircumstancesmayanyDeliverablecarryingorimplyinganyreferencetoDNVGLbemisrepresented.ForceMajeureandRestrictionsonNeitherpartyshallbeinbreachofthisAgreement,norliableforanyfailureordelayinperformancehereunderifthecauseofsuchfailureordelayisattributabletoevents thereasonablecontroloftheaffectedparty,includingbutnotlimitedtoarmed ,terroristattack,civilwar,riots,toxichazards,epidemics,naturaldisasters,extremeweather,fire,explosion,failureofutilityservice,labourdisputes,

breakdownofinfrastructure,sanctions,oranypublicrestrictionsfollowinganyoftheincidentsabove,oranyotherforcemajeureoccurrence.Intheeventofaforcemajeureoccurrence,theaffectedpartyshallnotifytheotherpartywithoutunduedelayoftheparicularsofthesituation.EitherpartyshallbeentitledtoterminatetheAgreementwithimmediateeffectshouldtheforcemajeureoccurrenceendureformorethanthirty(30)DNVGLmayterminatethisAgreement,subjecttothirty(30)dayswrittennoticetoCustomer,withoutanyliabilityorpenalties,ifDNVGL,itsultimateparentcompanyoritsultimateparentcompany’ssubsidiariesoraffiliatesaresubjecttosanctionsorpenaltiesimposedbyanationalernment,theUnitedNations,theEuropeanUnionorsimilarorganisationsrelatedtotheWorkwhichisprovidedhereunder,oriftheWorkwouldbeconsideredtobeillegalorin withapplicablelawforDNVGL,itssubcontractorsand/oritssubcontractor’s’parentEachpartyshallindemnifyandholdharmless(astheindemnifyingparty)theotherpartyandtheotherparty’saffiliatesandsubcontractors,anditsandtheiremployeesandotherrepresentatives(asheindemnifiedparty),fromandagainstallclaims,damages,lossesandexpensesinrespectof:(i)bodilyinjury,sickness,disease,ordeathofanyoftheindemnifyingparty’soritsaffiliates’orsubcontractors’employeesorotherrepresentatives;and(ii)lossofordamagetotheindemnifyingparty’soritsaffiliates’orsubcontractors’property.CustomershallindemnifyandholdharmlessDNVGLfromandagainstallclaims,damages,lossesandexpensesinrespectof:(i)Customer’sbreachofsection2(GeneralObligations);(ii)claimsagainstDNVGLrelatingtothisAgreementbutoutsideorexceedingthelimitationsinsecion14(LimitationofLiability)madebytheCustomer’saffiliates,subsidiariesorjointventures;(iii)anyabuseofthe underhisAgreement.Theindemnitiessetoutaboveshallapplyhowsoeveranyrelevantclaims,damages,lossesorexpensesmayariseandregardlesswhetherundercontract,tort(includingnegligence)strictliabilityorotherwise,exceptifandtotheextentcausedbytheindemnifiedparty’s:(i)intentionalandwrongfulactoromissionwiththeintenttoinflictdamageorinjury;(ii)actoromissionindisregardofaknownorobviousriskwhi akesithighlyprobablethatharmwouldfollow;(iii)actoromissionwithconsciousindifferencetohe e;(iv)anycircumstancesforwhichapartymaynotlawfullylimititsliabilityunderthisAgreement’sapplicablelaw.EachpartyshallnotifytheotherpartywithoutunduedelayingawareofanyincidentlikelytogiverisetoaclaimagainsttheoherpartyinrelationtothisAgreement.LimitationofEachpartyshallberesponsibleforandacceptfullliabilityforitsownactsoromissionsleadingtothelossofordamagetoanythirdparty.NeitherpartyexcludesanyliabilityarisingfromitsownfraudorfraudulentNeitherpartyshallinanywaybeheldliabletowardstheotherpartyforanyoftheotherparty’soritsaffiliates’consequentialorindirectloss,includingbutnotlimitedtointerruptionorlossofbusiness,contractorrevenue,lossofgoodwill,lossofprofit,lossofproduction,wastedoverhead,costofsubstituteequipment,downtimecostsorotherspecial,punitiveorotherformsofindirectlosses,howsoeversu ayarise,whetherundercontract,tort(includingnegligence),strictliabilityoroExceptincasesoffraudorfraudulentmisrepresentationorothersimilarcircumstanceforwhichapartymaynotlawfullylimititsliabilityunderthisAgreement’sapplicablelawandexceptfortheobligationsundersections6.1and13.1,DNVGL’stotal umliabilityinrelationtothisAgreementshallbelimitedtoasumequaltotentimestheremunerai
