⑸監(jiān)理人在報(bào)價(jià)時(shí)確定的的擬派現(xiàn)場(chǎng)監(jiān)理人員名單和現(xiàn)場(chǎng)監(jiān)理人員進(jìn)場(chǎng)安排作為本合同附件。

iv.inconsiderationofthepaymenttobemadebytheclienttothesupervisorashereinaftermentioned,thesupervisorherebycovenantswiththeclienttoperformsupervisionservicesinthescopeasstatedintheconditionsofparticularapplicationinconformitywiththeprovisionsofthecontract.

考慮到以下提到的托付人向監(jiān)理人的付款，監(jiān)理人向托付人承諾,依據(jù)本合同的規(guī)定,擔(dān)當(dāng)本合同專(zhuān)用條件中議定范圍內(nèi)的監(jiān)理業(yè)務(wù).

v.theclientherebycovenantstopaythesupervisor,inconsiderationoftheperformanceofthesupervisionservices,suchamountasmaybeepayableundertheprovisionsofthecontractatthetimesandinthemannerandcurrencytypeprescribedbythecontract.

考慮到監(jiān)理人供應(yīng)的監(jiān)理服務(wù)，托付人向監(jiān)理人承諾依據(jù)本合同注明的期限,方式,幣種,向監(jiān)理人支付酬勞.

inwitnesswhereofthepartiesheretohavecausedthisagreementtobeexecutedfromapril,XXtooctober,XX.ifforanyreasonstheprojectstopsformorethanonemonthuninterrupted,theendingdatewillbepostponedwithsameperiods.

本合同自施工單位進(jìn)場(chǎng)時(shí)起先,至整個(gè)工程竣工驗(yàn)收止完成.假如項(xiàng)目進(jìn)行中，被停止連續(xù)時(shí)間超過(guò)一個(gè)月，完成時(shí)間應(yīng)當(dāng)被順延。

article1thefollowingwordsandexpressionsshallhavethemeaningsassignedtothemexceptwherethecontextotherwiserequires:

條下列名詞和用語(yǔ)，除上下文另有規(guī)定外，具有如下所給予的含義:

(1)"project"meanstheprojectforwhichthesupervisionservicesaretobeprovided.

"工程"是指實(shí)施托付人托付監(jiān)理人監(jiān)理的工程。

(2)"client"meansthepartywhoisresponsibleforthedirectinvestmentandwhoemploysthesupervisor,andlegalsuccessorstotheclient.

"托付人"是指擔(dān)當(dāng)干脆投資責(zé)任和托付監(jiān)理人的一方,以及其合法繼承人。

(3)"supervisor"meansthepartywhoisemployedbytheclienttoperformsupervisionservicesandassumesupervisionliabilities,andlegalsuccessorstothesupervisor.

"監(jiān)理人"是指受托付人托付擔(dān)當(dāng)監(jiān)理業(yè)務(wù)和監(jiān)理責(zé)任的一方,以及其合法繼承人.

(4)"supervisionteam"meansthegroupofstaffsentbythesupervisortocarryoutsupervisiononthesiteoftheproject.

"監(jiān)理機(jī)構(gòu)"是指監(jiān)理人派駐本工程現(xiàn)場(chǎng)實(shí)施監(jiān)理業(yè)務(wù)的組織.

(5)"chiefsupervisionengineer"meansthepersoncertificatedbythelocalauthorityaschiefsupervisionengineeranddesignatedbytheclientandsupervisortobefullyresponsibleforsupervisingtheexecutionofthecontract.

"總監(jiān)理工程師"是指經(jīng)當(dāng)?shù)卣块T(mén)認(rèn)證為的總監(jiān)理工程師并且由托付人及監(jiān)理人指定對(duì)監(jiān)督履行本合同全權(quán)負(fù)責(zé)的人.

(6)"contractor"meanstheperson(s)otherthanthesupervisorwithwhomtheclientsignscontractinrelationtotheconstructionoftheproject.

"承包人"是指除監(jiān)理人以外,托付人就本工程的建設(shè)有關(guān)事宜簽訂合同的當(dāng)事人.

(7)"normalservices"meansthescopeofsupervisionworkprescribedintheconditionsofparticularapplication.

"正常工作"是指雙方在專(zhuān)用條件中約定的監(jiān)理工作的范圍.

(8)"additionalservices"means:1)worksoutsideofthescopeofsupervisionwork,andaddedtothecontractbywrittenagreementoftheparties;2)additionalworksasaresultofadditiontothescopeofconstructionworkorprogramdelayonthepartoftheclientorthecontractor.

"附加工作"是指:1)監(jiān)理工作范圍以外,通過(guò)雙方書(shū)面協(xié)議另外增如本合同的工作;2)建設(shè)工作范圍的增加或者由于托付人或承包人緣由致使進(jìn)度的延誤,而造成的附加的工作.

(9)"exceptionalservices"meanstheworksotherthanthenormalservicesandtheadditionalservices,butwhicharenecessarilyperformedbythesupervisorinaccordancewitharticle33.

"額外工作"是指正常工作和附加工作以外，依據(jù)第三十三條規(guī)定監(jiān)理人須要完成的工作。

(10)"day"meanstheperiodbetweenanyone0:00andthenext.

"日"是指任何一個(gè)零時(shí)至其次天零時(shí)的時(shí)間段.

(11)"month"meansaperiodofonemonthaccordingtothegregoriancalendarmencingwithanydayofthemonth.

"月"是指依據(jù)公歷從一個(gè)月份中任何一天起先的一個(gè)月的時(shí)間段.

article2thissupervisioncontractshallbegovernedbychineselaws,statutes,administrativeregulations,anddepartmentalrules®ulations,locallaws,rules®ulationsspecifiedinthestandardconditionsandconditionsofparticularapplication.

其次條本建設(shè)工程托付監(jiān)理合同適用的法律是中國(guó)的法律，條例,行政法規(guī)，以及標(biāo)準(zhǔn)條件及專(zhuān)用條件中載明的部門(mén)規(guī)章或地方法規(guī)，地方規(guī)章。

article3thecontractshallbewritteninbothenglishandchinese,bothofwhichshallbeequallybinding.

第三條本合同應(yīng)以中文和英文記載，中英文應(yīng)具有同等效力。

obligationsofthesupervisor監(jiān)理人的義務(wù)

article4thesupervisorshalldesignatethesupervisionteamandsuperintendentsnecessaryforcarryingoutthesupervisingworks;providetotheclientaname-listofthechiefsupervisionengineer,mainstaffofthesupervisionteamandasupervisionplanandperformthesupervisionserviceswithinthescopeofworkasstatedintheconditionsofparticulartheexecutionofthecontract,thesupervisorshallsubmitsupervisionreporttotheclientatregularintervalasstatedinthecontract.

第四條監(jiān)理人應(yīng)派出監(jiān)理工作須要的監(jiān)理機(jī)構(gòu)及監(jiān)理人員，向托付人報(bào)送委派的總監(jiān)理工程師及其監(jiān)理機(jī)構(gòu)主要成員名單，監(jiān)理規(guī)劃，完成監(jiān)理合同專(zhuān)用條件中約定的監(jiān)理工程范圍內(nèi)的監(jiān)理業(yè)務(wù)。在履行本合同義務(wù)期間，應(yīng)按合同約定定期向托付人報(bào)告監(jiān)理工作。

article5thesupervisorshallexercisereasonablecareanddiligence,provideadviceatanappropriatelevelintheperformanceoftheobligationsunderthecontracttotheclientandindemnifythelawfulrightsandinterestsofvariousparties.

第五條監(jiān)理人應(yīng)仔細(xì)，勤奮地工作，在履行合同義務(wù)時(shí)為托付人供應(yīng)與其水平相應(yīng)的詢(xún)問(wèn)看法，公正維護(hù)各方的合法權(quán)益。

article6anyfacilitiesandarticlessuppliedbytheclientforusebythesupervisorshallbeproperlyusedandmaintainedandremainthepropertytotheclient.whentheservicesarepletedorterminatedthesupervisorshalldelivertotheclientsuchfacilitiesandunconsumedarticlesingoodworkingorder.

第六條監(jiān)理人運(yùn)用托付人供應(yīng)的設(shè)施和物品屬托付人的財(cái)產(chǎn)，應(yīng)恰當(dāng)運(yùn)用和維護(hù)。在監(jiān)理工作完成或中止時(shí)，應(yīng)將其設(shè)施和剩余的物品完好地移交給托付人。

article7duringthecontractperiodorafterthecontractisterminated,withouttheconsentoftheclient,thesupervisorshallnotdisclosetheconfidentialinformationinrelationtotheprojectandthecontract.

第七條合同期內(nèi)或本合同終止后，未征得托付人同意，不得泄露與本工程和本合同有關(guān)的保密信息。

article8theclientshallpayanadvancepaymenttothesupervisorpriortothemencementoftheservicesofthesupervisor,ifsuchadvancepaymentisstatedintheconditionsofparticularapplication.

第八條托付人在監(jiān)理人開(kāi)展監(jiān)理業(yè)務(wù)之前應(yīng)向監(jiān)理人支付預(yù)付款,假如該預(yù)付款在專(zhuān)用條件中陳述。

article9theclientshallberesponsibleforallcoordinationofexternalrelationshipsinrelationtotheconstructionoftheproject.iftheclientassignspartorallofsuchcoordinationworkstothesupervisorasisnecessary,thentheworktobeassignedandrelevanttermsofremunerationshallbespecifiedinthesupplementalclauses.

第九條托付人應(yīng)當(dāng)負(fù)責(zé)本工程建設(shè)的全部外部關(guān)系的協(xié)調(diào)。依據(jù)須要，如需將部分或全部協(xié)調(diào)工作托付監(jiān)理人擔(dān)當(dāng)，則需在補(bǔ)充條款中明確托付的工作和相應(yīng)的酬勞條款。

article10theclientshall,withintheagreedtime,providetothesupervisorfreeofchargeallinformationpertainingtotheprojectandnecessaryforthesupervisionservices.

第十條托付人應(yīng)當(dāng)在雙方約定的時(shí)間內(nèi)免費(fèi)向監(jiān)理人供應(yīng)與本工程有關(guān)的并為監(jiān)理工作須要的全部信息。

article11onallmattersproperlyreferredtohiminwritingbythesupervisor,theclientshallgivehisdecisioninwritingwithinthetimespecifiedintheconditionsofparticularapplicationofthecontract.

第十一條托付人應(yīng)當(dāng)在專(zhuān)用條件約定的時(shí)間內(nèi)就監(jiān)理人向托付人以恰當(dāng)?shù)臅?shū)面形式提交的一切事宜作出書(shū)面確定。

article12theclientshallappointaclient'srepresentative(tobespecifiedintheconditionsofparticularapplication)whoisfamiliarwiththeprojectandabletomakedecisionwithinspecifiedtimeforthepurposeofcontactingthesupervisor.shouldtheclient'srepresentativebereplaced,theclientshallnotifythesupervisorinadvance.

第十二條托付人應(yīng)當(dāng)授權(quán)一名熟識(shí)本工程狀況，能在規(guī)定時(shí)間內(nèi)作出確定的托付人的代表(將在專(zhuān)用條件中明確)負(fù)責(zé)與監(jiān)理人聯(lián)系，更換托付人代表要提前通知監(jiān)理人。

article13theclientshalltimelynotifytheawardedcontractor,inwriting,ofthepowerofthesupervisor,rolesandauthoritiesofmainstaffofthesupervisor.suchinformationshallbemadeclearinthecontractsignedbytheclientandanythirdparty.

第十三條托付人應(yīng)當(dāng)將授予監(jiān)理人的監(jiān)理權(quán)利，以及監(jiān)理人主要成員的職能分工及監(jiān)理權(quán)限剛好書(shū)面通知已選定的合同承包商，并在與任何第三方簽訂的合同中予以明確。

article14theclientshallnotifytocontractortoprovidethefollowinginformationtothesupervisorwithinsuchatimethatthesupervisor'sworkwillnotbehampered:

第十四條托付人應(yīng)通知承包人在不影響監(jiān)理人開(kāi)展監(jiān)理工作的時(shí)間內(nèi)向監(jiān)理人供應(yīng)如下資料：

(1)listofsuppliers&manufacturersoftherawmaterials,ponentsandparts,mechanicalequipmentetc.tobeusedintheproject;

與將用于本工程的原材料，構(gòu)配件，機(jī)械設(shè)備等的供應(yīng)和生產(chǎn)廠家名錄；

(2)listofcoordinators,cooperatorsinrelationtothedevelopmentoftheproject.

供應(yīng)與本工程有關(guān)的協(xié)作人，協(xié)作人的名錄。

article15theclientshallfurnishfreeofcharge(includingutilityfees)tothesupervisorthesiteoffice,telemunicationconnection,acmodationandotherfacilitiesspecifiedintheconditionsofparticularapplication.

第十五條托付人應(yīng)免費(fèi)向監(jiān)理人供應(yīng)辦公場(chǎng)所、通訊接口，網(wǎng)路接口住宿及合同專(zhuān)用條件約定的其他設(shè)施。

article16givencertaincircumstances,ifthetwopartiesagreethattheclientshallarrangeathisownexpensefortheprovisionofotherpersonneltothesupervisor,suchagreementshallbereflectedintheconditionsofparticularapplication.

第十六條依據(jù)狀況須要，如經(jīng)雙方同意托付人將可以自費(fèi)向監(jiān)理人供應(yīng)其他人員，應(yīng)在合同專(zhuān)用條件中予以反映。

監(jiān)理人的權(quán)利

article17thesupervisorshouldhavethefollowingrightswithinhisscopeofwork.itisherebyunderstoodthatanyandallofthefollowingactivitiesshallalsobeconsideredastheobligationofthesupervisor,whoshallperformthefollowingactivitieswheneveritisneededinordertoensurepletionoftheprojectinthebestpossiblemannerandaccordingtotherelevantcontractualdocumentsandapplicablelaws:

第十七條監(jiān)理人在托付的工程范圍內(nèi)應(yīng)具有以下權(quán)利，而且在此雙方確認(rèn)任何如下活動(dòng)也應(yīng)作為監(jiān)理人的義務(wù)，即其有義務(wù)在有必要的狀況下為了以最好的方式并以符合全部合同文件和適用的法律的方式完成本項(xiàng)目的目的而進(jìn)行如下活動(dòng)。

(1)therightandobligationtomakeremendationsontheselectionofthegeneralcontractor

(1)選擇工程總承包人的建議權(quán)和義務(wù)；

(2)therightandobligationtomakeremendationsontheselectionofthesub-contractor

(2)選擇工程分包人的建議權(quán)和義務(wù)；

(3)therightandobligationtomakeremendationstotheclientintherespectsoftheprojectincludingprojectsize,designstandard,planningdesign,technologicaldesignandperformancerequirements.

(3)對(duì)工程建設(shè)有關(guān)事項(xiàng)包括工程規(guī)模、設(shè)計(jì)標(biāo)準(zhǔn)、規(guī)劃設(shè)計(jì)、生產(chǎn)工藝設(shè)計(jì)和運(yùn)用功能要求，向托付人的建議權(quán)和義務(wù)；

(4)therightandobligationtoadvise,intheprinciplesofsafetyandoptimum,theclientonthetechnicalproblemsinthedesign.ifthedesignisfoundtobenotinconformitywiththequalitystandardspromulgatedbythestateorspecifiedinthedesigncontract,thesupervisorshallreporttotheclientinwriting.

(4)對(duì)工程設(shè)計(jì)中的技術(shù)問(wèn)題,依據(jù)平安和最優(yōu)化的原則,有權(quán)利和義務(wù)向托付人提出建議.當(dāng)發(fā)覺(jué)工程設(shè)計(jì)不符合國(guó)家頒布的建設(shè)工程質(zhì)量標(biāo)準(zhǔn)或設(shè)計(jì)合同約定的質(zhì)量標(biāo)準(zhǔn)時(shí),監(jiān)理人應(yīng)當(dāng)書(shū)面報(bào)告托付人.并供應(yīng)處理方案

(5)therightandobligationtoreviewtheconstructionmanagementplanandthetechnicalproposalandtomakeremendationtotheclientforchangesthatthecontractorcouldimplementtoensurequality,on-timepletionandcostreduction.

(5)對(duì)審查工程施工組織和技術(shù)方案,依據(jù)保質(zhì)量、保工期和降低成本的原則,并就承包人有可能實(shí)行的改變監(jiān)理人有權(quán)利和義務(wù)向托付人提出建議并供應(yīng)處理看法.

(6)conductappropriatearrangementandco-ordinationwithrelevantorganisations,whichcanexertbeneficialinfluencetothedevelopmentoftheproject.forallsuchmattersthesupervisorshallfirstreporttotheclientinadvanceandseektheauthorityoftheclienttomakesucharrangementsandco-ordination.

(6)主持工程建設(shè)有關(guān)協(xié)作單位的組織協(xié)調(diào),對(duì)于全部協(xié)調(diào)項(xiàng)應(yīng)當(dāng)事先向托付人報(bào)告,并要求托付人授權(quán)以進(jìn)行組織協(xié)調(diào)工作.

(7)havingobtainedtheconsentoftheclient,thesupervisorhastherighttogivemandwithregardstomencement,suspensionandresumptionoftheworks.butbeforedoingso,heshallreporttotheclient.theclient’srepresentativewillbeavailableforcontactinginphonetodiscussemergencyandothermatters.

(7)征得托付人同意,監(jiān)理人有權(quán)發(fā)布開(kāi)工令,停工令,復(fù)工令,但應(yīng)當(dāng)事先向托付人作出書(shū)面報(bào)告.托付人代表將可以隨時(shí)電話聯(lián)系到以就緊急狀況和其他事宜與監(jiān)理人進(jìn)行探討.

(8)rightandobligationtocheckandinspectthematerialstobeusedintheprojectandqualityofconstructionandtoadvisethecontractorimmediatelyofanynon-conformities.shouldthecontractorcontinuetousethematerialsafterthenon-conformityhasbeenidentified,thenthesupervisormustadvisetheclientthatthecontractorshouldstopusingthem.formaterials,ponentsandparts,equipmentthatarenotinconformitywiththedesignrequirements,provisionsoftheconstructioncontractandnationalqualitystandards,thesupervisorhastherighttonotifytheclientthatthecontractorshouldstopusingthem;forworkingsequence,divisionalandsub-divisionalworksthatarenotinconformitywithrelevantcodesandqualitystandards,andconstructionoperationsthatposesafetyconcerns,thesupervisorhastherighttonotifytheclientthatthecontractorshouldstopandmakecorrectionsorredothecontractorcanresumeconstructiononlyafterhehasreceivedtheworkresumptionmandfromthesupervisionteamviatheclient..

(8)工程上運(yùn)用的材料和施工質(zhì)量的檢驗(yàn)權(quán)和義務(wù).發(fā)覺(jué)不合格材料應(yīng)通知承包方，假如承包人在接到通知后仍接著運(yùn)用該不合格材料,監(jiān)理人必需剛好通知托付人,讓承包人不得接著運(yùn)用.對(duì)于不符合設(shè)計(jì)要求和合同約定及國(guó)家質(zhì)量標(biāo)準(zhǔn)的材料,構(gòu)配件,設(shè)備,監(jiān)理人有義務(wù)通知托付人讓承包人停止運(yùn)用;對(duì)于不符合規(guī)范和質(zhì)量標(biāo)準(zhǔn)的工序,分部分項(xiàng)工程和擔(dān)心全的施工作業(yè),監(jiān)理人有義務(wù)剛好通知托付人，監(jiān)理人有權(quán)讓承包人停工整改,返工.承包人只有通過(guò)托付人收到監(jiān)理機(jī)構(gòu)發(fā)出復(fù)工令后才能復(fù)工.

(9)rightsandobligationtocheck,supervisetheprogressoftheconstruction.righttoratifythattheactualpletionisaheadorbehindthepletiondatespecifiedintheconstructioncontract.

(9)工程施工進(jìn)度的檢查、監(jiān)督權(quán)和義務(wù)，以及工程實(shí)際竣工日期提前或超過(guò)工程施工合同規(guī)定的竣工期限的簽認(rèn)權(quán)和義務(wù)；

(10)rightandobligationtocheckandcertifybysignaturethatthepaymenttotheconstructioncontractoriswithinthescopeoftheconstructioncontract,torecheck,confirm,andnegatetothesettlementoftheaccounts.withoutthesignatureandconfirmationfromthechiefsupervisionengineer,theclientwillnotmakepaymenttotheconstructioncontractor.

(10)在工程施工合同約定的工程價(jià)格范圍內(nèi)，工程款支付的審核和簽認(rèn)權(quán)和義務(wù)，以及工程結(jié)算的復(fù)核確認(rèn)權(quán)與否定權(quán)。未經(jīng)總監(jiān)理工程師簽字確認(rèn)，托付人不支付工程款。

第十九條在托付的工程范圍內(nèi)，當(dāng)托付人和承包人對(duì)對(duì)方有任何看法和要求(包括索賠要求),雙方爭(zhēng)議由政府建設(shè)行政主管部門(mén)調(diào)解或仲裁機(jī)關(guān)仲裁時(shí)，監(jiān)理人應(yīng)當(dāng)供應(yīng)相關(guān)證明。

其次十一條托付人享有對(duì)工程規(guī)模、設(shè)計(jì)標(biāo)準(zhǔn)，規(guī)劃設(shè)計(jì)、生產(chǎn)工藝設(shè)計(jì)和設(shè)計(jì)運(yùn)用功能要求的認(rèn)定權(quán)，以及對(duì)工程造價(jià)、進(jìn)度安排和設(shè)計(jì)變更的審批權(quán)。
