agreestoperformtheworktosource,supplyandormanufacturethe___________issuedbyClient.Manufactureshallmeantoprocurecomponents,materials,equipmentandothersupplies,andtomanufacture,assemble,testanddeliverproductstodetailedwrittenspecifications,workmanshipstandardsandqualityrequirementsforeachsuchproductwhichareprovidedbyClientandacceptedbySupplier.SupplierwillselectapprovedmaterialsandmanufacturersandmanufacturetheproducttoaqualitystandardrequestedbyClientandagreedbySupplier.________同意為Client就壓鑄鋁盒所下訂單進(jìn)行資源搜集，供應(yīng)或制造，制造包括嚴(yán)格按照Client提供Supplier同意的詳細(xì)的、書面的規(guī)格要求、工藝標(biāo)準(zhǔn)和質(zhì)量要求規(guī)定進(jìn)行的零部件、材料、設(shè)備和其他原材料的獲取以及生產(chǎn)、組裝、試驗(yàn)、交付產(chǎn)品等。Supplier會(huì)選擇驗(yàn)證合格的材料與供應(yīng)商，按照Client所要求的且Supplier所同意的質(zhì)量標(biāo)準(zhǔn)來(lái)制造產(chǎn)品。SupplierisgrantedbyClientanon-exclusivelicenseduringthetermofthisContracttouseallofClientpatents,tradesecretsandotherintellectualpropertyintheProducts,solelyinconnectionwithandtotheextentrequiredtoperformSupplier’sobligationsunderthisContract.在合同履行期間，Client授予Supplier非獨(dú)占性許可，限于且僅限于許可Supplier為履行本合同使用Client的所有的專利技術(shù)、商業(yè)秘密和其它知識(shí)產(chǎn)權(quán)。2.1-ScopeofWork( ")astheOriginalEquipmentManufacturer(OEM)asperproductspecifications,quotationandannualvolumerequirements.合同標(biāo)的是生產(chǎn)壓鑄鋁盒（以下簡(jiǎn)稱壓鑄鋁盒）， Supplier 作為初始產(chǎn)品供應(yīng)商（OEM）,依據(jù)每件產(chǎn)品的規(guī)格、報(bào)價(jià)和月需求量，生產(chǎn)壓鑄鋁盒。Supplier agreestosourceappropriatesuppliersthatwillusethelatesttechnologyandmachinerytoperformthemanufacturingoftheProduct. Supplier demandssuppliersadheretostrictsupplyrulesandstandardsandensuremanufacturingmethodstoinsureworkmanshipandproductqualitymeetsorexceedsClient’requirements.Supplier 同意選擇合適的供應(yīng)商， 使用最新的技術(shù)與設(shè)備來(lái)制造壓鑄鋁盒。 Supplier 要求其供應(yīng)商嚴(yán)格供應(yīng)體系與標(biāo)準(zhǔn)，確保制造流程的合理性以致能夠生產(chǎn)滿足或超出 Client要求質(zhì)量的產(chǎn)品。-4- Initial:ManufacturingContractSupplier willprovide Client:Completeproductmanufacturedwiththelatestmanufacturingmachineryandknowhowaccordingto Client ’sspecificationsincluding:MaterialPurchasingNewDesignAssistanceandImplementationAssemblyTesting2. Completepackagingasper Client ’srequestsandspecifications.Containerconfigurationandstuffing.(ClientwillprovideconfigurationdetailsandsupportuntilSupplierunderstandsrequirements.)Providetechnicalsupport.CompleteQualityControl.WrittenReportsandCompleteDocumentationwhenrequested.ConstantCommunicationtoinsureproductmanufacturinganddeliverysatisfaction.Supplier會(huì)向Client提供以下：1. 根據(jù)Client的詳細(xì)要求使用最新的設(shè)備與技術(shù)所制造的產(chǎn)品，其中包括 :物料采購(gòu)新設(shè)計(jì)的援助與執(zhí)行組裝測(cè)試按照壓鑄鋁盒制造合同附屬報(bào)告的要求完成產(chǎn)品包裝。3. 集裝箱的空間計(jì)算與裝箱。（ Client會(huì)提供具體的計(jì)算方法與相關(guān)信息直到 Supplier 理解了詳細(xì)信息與要求為止）技術(shù)的支持與提供。完整的質(zhì)量檢驗(yàn)。Supplier須做出Client要求相應(yīng)書面的完整報(bào)告與文件。為確保產(chǎn)品制造與交付的順利性，雙方應(yīng)經(jīng)常對(duì)產(chǎn)品生產(chǎn)情況進(jìn)行溝通。2.2-QuantityIncreases&Changes (數(shù)量的增長(zhǎng)和變更):Client shallprovide Supplier purchaseorderswhenrequiredwithampleleadtimerequiredforSupplier toproducetheunits.TheMinimumOrderQuantity(MOQ)is_________unitsorassembliesunlessotherwiseagreedto.Client須給Supplier 下單且給予 Supplier 充足的制造時(shí)間來(lái)生產(chǎn)制造訂單項(xiàng)下的產(chǎn)品。最小訂貨量 ____套。Clientmayrequest,inwriting,thatSupplierincorporateengineeringchangesintotheProduct.SuchrequestwillincludeadescriptionoftheproposedengineeringchangesufficienttopermitSuppliertoevaluateitsfeasibilityandcost.SupplierevaluationshallbeinwritingandstatethecostsandtimeofimplementationandtheimpactonthedeliveryandpricingoftheProduct.Client也許會(huì)書面要求Supplier對(duì)產(chǎn)品進(jìn)行工藝改換，此要求將包括足以讓Supplier對(duì)其可行性和價(jià)格進(jìn)行評(píng)估的新工藝的描述。Supplier須對(duì)其在價(jià)格，執(zhí)行時(shí)間與其可能對(duì)產(chǎn)品價(jià)格和制造及交貨時(shí)間的評(píng)估做出書面的報(bào)告。2.3-LeadTimeComponents( 配件交貨期):SuppliermayberequiredtopurchaseLongLeadTimeComponentsinordertoachievetheschedulerequirementsforthepurposesofthisContract,"LongLeadTimeComponents"shallmeancomponents,subassemblies,materialsandsuppliesthatmayrequireimportingfromabroadorsomesortofcustommanufacturing.為完成本合同進(jìn)度，可能要求Supplier采購(gòu)預(yù)購(gòu)件。預(yù)購(gòu)件是指需要進(jìn)口或定制生產(chǎn)的零件、組件、原材料和其他材料。-5- Initial:ManufacturingContractSuppliermayreasonablypurchaseminimumlotsizesorgreaterfromsuppliers"MinimumOrderInventory"(MOI)tomeetthemanufacturingandshippingrequirementsofthiscontractuponconfirmationandagreementfrom Client.Client requireswrittenconfirmationfrom Supplier onallMOQ’spriorto Supplier purchasingsuchMOQ ’s.AfterClient hasapprovedMinimumOrderQuantities(MOQ)onmaterialrequiredtomanufacturer Client’sproductClient willacceptfullresponsibilityiftheresultisanexcessinventory.在獲得 Client 的確認(rèn)以及許可后， Supplier 可以合理地從供方處采購(gòu)最小批的或稍大數(shù)量的最小訂單庫(kù)存量的預(yù)購(gòu)件來(lái)滿足生產(chǎn)和運(yùn)輸需求。 Client 要求在所有 Supplier 預(yù)購(gòu)件最小訂單量請(qǐng)求之前作書面上的確認(rèn)。Client一旦對(duì)Supplier所提出的對(duì)做此產(chǎn)品的欲購(gòu)材料最小訂單量做出書面上的同意確認(rèn)后，將會(huì)對(duì)其負(fù)完全責(zé)任。3-ProductSpecifications (產(chǎn)品規(guī)格)Supplier agreesthatallProductsmanufacturedandsuppliedto Client underthisContractwillmeetthespecificationsbelow:ApprovedBillofMaterials(BOM)ApprovedComponentList(IntheBOM)3. Drawings&Schematics Client provides.ApprovedVendorsList(IntheBOM)5. AnyEngineeringChangeOrders(ECO ’s)orTemporaryDeviationNotices(TDN ’s)QualityStandardsdescribedSupplier 同意，所有生產(chǎn)并提供給 Client的產(chǎn)品必須滿足下述規(guī)格要求：被批準(zhǔn)的材料清單(BOM)被批準(zhǔn)的零件清單(包含于BOM中)Client提供并確認(rèn)的圖紙被批準(zhǔn)的原材料供應(yīng)商清單(包含于BOM中)任何技術(shù)改進(jìn)要求或暫時(shí)的更改通知（作為合同附件）質(zhì)量標(biāo)準(zhǔn)詳見“Product質(zhì)量保證與責(zé)任協(xié)議”Supplier agreesthattherewillbenochangestotheapprovedBOM,componentsandoranymaterialusedtomakethisproductwithoutwrittennoticefromClient.Clientmayrefusepaymentorrequestcompletereplacementatthefullcosttothemanufacturer.Supplier同意在沒(méi)有Client書面通知的情況下，不得對(duì)已經(jīng)驗(yàn)證認(rèn)可的物料表，配件或任何材料作任何改動(dòng)。若不經(jīng)Client同意但有任何改動(dòng)，Client也許會(huì)拒付貨款或要求制造商承擔(dān)退換貨物。4-ProductPricing (產(chǎn)品定價(jià))4.1-AgreedtoPrice (議定價(jià)格):Supplier andClient agreetopriceaccordingtothelatestquotationsprovidedby Supplier .Materialpricingwillbeanalyzedandadjustedattheendofeverythreemonthsfromthesigningofthiscontract.Intheeventthattherearesubstantialchangesbetweenthescheduledquarterlyreviewtimes(greaterthan+/-5%),thepricewillbereviewedimmediately.Bothpartieswillmutuallyagreetothepricechangeinwritingandaddthechangetothiscontract. Supplier willuseitsbesteffortstoeliminateincreaseinmaterialcostbynegotiatingstrategicallywithitssuppliers.Supplier 和Client 同意將如下價(jià)格作為本合同簽訂時(shí)的初始議定單價(jià)。 材料價(jià)格將在合同簽訂后的每三個(gè)月的最后一天進(jìn)行分析和調(diào)整。如果在兩次既定的評(píng)審價(jià)格期間，材料價(jià)格有實(shí)質(zhì)性變化（大于正負(fù)5%），產(chǎn)品定價(jià)就要馬上評(píng)審。雙方同意產(chǎn)品定價(jià)的調(diào)整時(shí)間和將因此共同書面協(xié)議產(chǎn)生的產(chǎn)品價(jià)格變更。Supplier將與供方進(jìn)行戰(zhàn)略談判，盡全力消除材料成本的增長(zhǎng)。-6- Initial:ManufacturingContractClient hasagreedtoquotedpricingbut Supplier agreestoreducecostsonfutureordersbynegotiatingwithcomponentsupplierstogetbetterpricingonthecurrentBOM. Supplier hasidentifiedseveralcomponentsthatthepricecanbereducedasordersaregivenandrelationshipisdeveloped.Client expectscostreductionforfutureorders.Client已同意上述的報(bào)價(jià)，但 Supplier 同意就當(dāng)前物料表中物料的價(jià)格與其供應(yīng)商在價(jià)格上進(jìn)行談判來(lái)得到更好的價(jià)格。 Supplier 許諾隨著訂單的執(zhí)行與商業(yè)合作關(guān)系的鞏固，會(huì)降低產(chǎn)品價(jià)格。 Client希望以后的訂單產(chǎn)品的報(bào)價(jià)會(huì)有所降低。4.2–Orders(訂單)TheMinimumOrderQuantity(MOQ)fortheProductis________unitsorassembliesunlessothervolumeshavebeendiscussedandaccepted.壓鑄鋁盒最小訂單量是________套。IfSupplierfailstodelivertheproductsunderthiscontractonthespecifieddeliverydatesandvolumesorderedonanorder-by-orderbasis,Supplierwillpayapenaltyof____RMBperdayforeverydaylate.若Supplier沒(méi)有在合同規(guī)定的交期交付合同規(guī)定下的貨物或沒(méi)有在合同規(guī)定的交期交付合同規(guī)定下的數(shù)量的貨物，則在延遲交貨的日子里每日交付_____元的罰款。Clientisresponsibletoreceivetheorderwhencomplete.AftertheorderiscompleteandreadytoshipandClientforanyreasondelaysshipmentthenClientwillpayapenaltyof_____RMBperdayuntiltheorderleavesthefactory.TheClientwillnotbeheldliablefordelaysdotosituationsinChina.當(dāng)訂單項(xiàng)下得貨物完成后，Client負(fù)責(zé)收貨。訂單項(xiàng)下貨物完成后，若Client為任何原因延遲提貨時(shí)間則在延遲提貨的日子里每日交付_____元的罰款，直到貨物離開工廠。Client不對(duì)由于中國(guó)方面的任何原因所造成的延遲提貨負(fù)責(zé)。IftheClientforanyreasonwantstocanceltheorderthentheClientmustnotifyClientinwriting.TheClienthas30daystoresumetheorderormustpayinfullforanymaterialpurchasedtoprocesstheorder.若加拿大客戶由于任何原因想取消訂單，則必須以書面的形式通知Client。加拿大客戶有30天的時(shí)間提貨，若30天后還未提貨，則需付貨物全款及為此產(chǎn)品所購(gòu)買但所剩在庫(kù)的物料的全款。IfthereisalargevolumeoftheproductthatSupplier/ClientcannotstockforClientthentheClientwillberequiredtotransporttheproductandpayforthecosttostoretheproductinitchoiceofstoragefacility.ClientwillofcoursehelptheClienttohandletheseneeds.Clientisnotresponsibleforstoredproductqualityifstored.若此產(chǎn)品量太大且Supplier/Client沒(méi)有能力為加拿大客戶儲(chǔ)存貨物，則加拿大客戶須運(yùn)輸此貨物并交付在庫(kù)的倉(cāng)儲(chǔ)費(fèi)。Client肯定會(huì)協(xié)助加拿大客戶完成這些需要。Client不負(fù)責(zé)在庫(kù)產(chǎn)品的質(zhì)量。4.3–Packaging(包裝)Supplier agreestoprovidepackagingasper Client ’srequestwhichwillbespecifiedinthequotations.Supplier同意依據(jù) Client的要求提供包裝?！癉escribepackagingindetailandprovidepicturesifpossible. ”4.4–Freight/Shipping (運(yùn)費(fèi)的承擔(dān))SimplydescribeAirorOceanShippingterms.Note:FOBmeansthefactoryisresponsiblefortheproductdeliveredtoportandtheloadingofcontainerontheshipcoveringallChinasidecosts.(FreightOnBoard)-7- Initial:ManufacturingContract4.5–Drawings/IP （設(shè)計(jì)圖及技術(shù)產(chǎn)權(quán)）Alldrawings,intellectualpropertyareownedby Client.所有設(shè)計(jì)圖及技術(shù)產(chǎn)權(quán)歸 Client所有。5-AdditionalCharges&Costs(其它費(fèi)用和成本)5.1–Molds/Tooling(模具)1.ClientagreestopayforallmoldsandtoolingrequiredforthemanufacturingofClient’sproducts.AfterClientcompletespaymentofProducttoolingClientownsallrelateddrawings,tooling,molds,jigs,etc.Clientreservestherighttoaskforthetoolingtobereturnedtoourpossessionatanytime.Client同意支付所有為Client產(chǎn)品而制造的模具的費(fèi)用。在Client付錢之后，Client公司保持對(duì)模具，工裝等相關(guān)所有權(quán)。Client保留權(quán)利在任何時(shí)間要求擁有模具。2.AlltoolingandmoldswillbeownedbyClientandusedasClientwishes.Toolingwillbeproperlystoredastonotbedamagedinanywayandusedasnecessary.所有模具均歸Client所有且須按照Client的意愿來(lái)使用。模具必須在妥善保管不得損壞合理使用。3.IfProductfailsordoesnotmeettheClient/clientrequirement,’sSupplierwillreturnallmoldfeestoClient.如果壓鑄鋁盒產(chǎn)品失敗或是未能達(dá)到Client公司或客戶要求，Supplier將返還Client所有模具費(fèi)用。ToolingPaymentTerms:50%deposit,50%balancetobepaidwithin10daysaftersamplesapproved.模具付款條件： 50%的預(yù)付款，待樣品確認(rèn)合格后 10日內(nèi)付清剩余的 50%模具費(fèi)。6-TermsofPaymentbetweenClientandSupplier (Client 與Supplier之間的付款條款)ProductPaymentterms:_____depositand_____balanceafter Client ’sinspectionandsignedoffbyClient forrelease.Finalpaymentshouldbemadewithin10days.產(chǎn)品付款方式： ____的預(yù)付款， _____余款離岸后 10日內(nèi)付清余款；FutureorderstobenegotiatedwithamutualgoalforClienttohaveanaccountwithenoughcredittoorderMOQ’swithoutdepositsandmaximumlengthoftermsforpaymentafterreceivingproduct.以后的訂單隨著雙方共同目標(biāo)的確立與Client的信譽(yù)度的提高，可協(xié)商訂單無(wú)預(yù)付金以及收到貨物后付款期限的最大的增長(zhǎng)。7-AfterSalesService (售后服務(wù)條款)Supplier agreestorepair,upgradeandorrefurbishanyproductwhichisoutofthewarrantyperiodorhasfailedforanyotherreasonthanworkmanship,foranagreedtoratequotedatthetimethisserviceisrequired.Anylossesassociatedtofreight,handlingandorlossintheeventaproductcannotberepairedwillbeClient’sresponsibility.Supplier 同意維修、升級(jí)或刷新任何已過(guò)售后保質(zhì)服務(wù)期或非因質(zhì)量原因造成損壞的產(chǎn)品，收費(fèi)標(biāo)準(zhǔn)為___/每小時(shí)外加材料費(fèi)用。其中的運(yùn)輸、服務(wù)等費(fèi)用及因產(chǎn)品不可修復(fù)所造成的損失均由乙方承擔(dān)。-8- Initial:ManufacturingContract8–Warranty（保修）SupplierwarrantsthattheproductsmanufacturedforClientshallbefreeofworkmanshipdefectsforaperiodof_____monthsfromdateofmanufacturingprovidingtheproductisusedundernormaluse.Supplier保證為Client生產(chǎn)的壓鑄鋁盒產(chǎn)品在出廠之日起____個(gè)月內(nèi)正常使用下不會(huì)出現(xiàn)與生產(chǎn)有關(guān)的缺陷。Aftertheproducthasbeenreceivedbyclient，theclientshouldinspectandifanyissuesreportasdescribedbelow.Ifwithin____daysthereisnofurtherconfirmation,weregardtheorderasapproved.客戶收到貨物后需要檢查貨物是否存在如下所描述的任何問(wèn)題，如在收到產(chǎn)品的____天內(nèi)沒(méi)有進(jìn)一步的確認(rèn)，則訂單下的貨物視為合格。Supplierwill,atnocharge,repair,reworkandretestsuchproductsreturnedtoSupplierfoundtocontaindefectsaspertheagreedtostandards,specifications,drawings,andorqualityreportsordocumentssignedandchoppedandwillreturntoClientdefectfreeunitswithin___daysundertheproductrequirementsinthiscontract.IftherepairisnotacceptablebyClientthenSupplieragreestoreplacetherepairedproduct.Thisdoesnotincludeshippingtime.基于Supplier已同意的標(biāo)準(zhǔn)、規(guī)格、圖紙、供應(yīng)商指示表（SIS）以及質(zhì)量報(bào)告和Supplier簽署蓋章的文檔，若產(chǎn)品出現(xiàn)缺陷，Supplier將對(duì)缺陷產(chǎn)品免費(fèi)維修或重做且重新對(duì)產(chǎn)品進(jìn)行測(cè)試，在___日以內(nèi)返還給Client相同數(shù)量的無(wú)缺陷產(chǎn)品，若Supplier對(duì)缺陷產(chǎn)品進(jìn)行維修后，沒(méi)有通過(guò)Client的檢驗(yàn)，Supplier將重新生產(chǎn)相同數(shù)量的無(wú)缺陷的產(chǎn)品。此時(shí)限不包括產(chǎn)品的運(yùn)輸時(shí)間.Supplierwarrantycoverageandliabilitydoesnotincludefailuresresultingfromdesigndeficiency,selectionofimpropercomponents,selectionofdefectivecomponentssuppliedbyClient,damagecausedbymisuseorabuse,unauthorizedrepairornegligence.Supplierreservestherighttoinspecttheproductandverifythattheyaredefective(Ifthereisanyconflictofqualitybetweenbothparties,itshouldbethethirdauthorizedpartywhichhastherighttogivetheconclusion.).Supplier’stotalliabilitywithrespecttowarrantyshallbelimitedtothevalueoftheproductsuppliedunderthemanufacturingcontract.Supplier的質(zhì)量保證與責(zé)任不包括由于產(chǎn)品設(shè)計(jì)不當(dāng)，Client提供的物料規(guī)格的錯(cuò)誤及與的物料的損壞，誤用或?yàn)E用，錯(cuò)誤或粗心維修所造成的產(chǎn)品的缺陷。Supplier有權(quán)要求檢驗(yàn)缺陷產(chǎn)品且查證產(chǎn)品確實(shí)有缺陷（若在Supplier與Client之間有質(zhì)量之間的沖突時(shí)，應(yīng)授予第三方給與判定的權(quán)利）。Supplier質(zhì)量保證的責(zé)任限于制造合同規(guī)定下的貨物。Thissectionneedsalldetailsofwhatthequalitystandardis.Italsoneedstoclearlyspelloutwhopaysforshippingofthereplacedpartsandifshippingbyairorbyocean.9-PatentandCopyrightInfringement Client’sProduct.因Supplier 生產(chǎn)和銷售本合同項(xiàng)下的產(chǎn)品而造成的第三方提出專利、 版權(quán)或其他知識(shí)產(chǎn)權(quán)侵權(quán)賠償要求、訴訟等損失，均由 Client 負(fù)責(zé)協(xié)調(diào)解決并承擔(dān) Supplier 的損失。10-ProductCompliancetoStateRegulations （產(chǎn)品適應(yīng)性與州規(guī)定）Supplierisnotresponsibleforthetestingormanufacturingofanyproducttomeetcity,stateorcountryregulationsregardingmaterialsusedsafetyregulations,environmentalissues,orqualitystandardsetc.(ExampleofCSA,TUV,CE,UL,CCC,RoHS,WEEE.)Supplier 不負(fù)責(zé)測(cè)試任何產(chǎn)品以使其滿足任何城市， 州或國(guó)家的法律規(guī)定 ,如:所使用的材料，產(chǎn)品的安全規(guī)定，環(huán)境問(wèn)題或質(zhì)量標(biāo)準(zhǔn)， CSA,TUV,CE,UL,CCC,RoHS,WEEE 等所有。-9- Initial:ManufacturingContractSupplier
