eextensionwhichisnotpresentedinaccordancewithallrequirementsofthisparagraphshallbedeemedwaivedandforeverdischarged.承包商應在延誤開始后十(10)天內書面向業(yè)主提出任何延展工期的要求。在持續(xù)延誤的情況下,只需要提出一次索賠。延展工期的書面要求應說明要求的天數(shù)和延誤的原因。任何未按照本段所有要求提出的延期要求,應被視為放棄并不再提出。13.1IfadverseweatherconditionsorothereventsofForceMajeurearethebasisforaclaimforanextensionoftheContractTimes,suchclaimshallbeallowedonlytotheextentitisdocumentedbydatasubstantiatingthattheweatherconditions(i)wereunusuallyseverefortheAberdeenareaduringtheperiodoftimeinquestion,(ii)unusuallyseveretobedefinedasoccurrencesofinexcessof1.50inchesofprecipitationfor2ormoreconsecutivedays,and/orprecipitationinexcessof2.00inchesofprecipitationfor1ormoreconsecutivedays,and/orprecipitationinexcessof1.00inchesfor3ormoreconsecutivedays,asmeasuredatHoquiam’sBowermanAirport,(iii)couldnothavebeenreasonablyanticipatedand(iiii)hadanadverseeffectonthescheduledperformanceoftheWork.13.1如果惡劣的天氣條件或其他不可抗力事件是要求延長合同工期的依據(jù),這種要求應僅在有數(shù)據(jù)證明天氣條件(i)在有關時間段內對阿伯丁地區(qū)異常嚴重的情況下被允許,(ii)異常嚴重是指發(fā)生超過1.50英寸的降水連續(xù)2天或更多,和/或超過2.00英寸的降水連續(xù)1天或更多,和/或超過1.00英寸的降水連續(xù)3天或更多,如在霍奎姆的鮑爾曼機場測量,(iii)不能合理預期和(iiii)對工程的預定實施有不利影響。13.2AnextensionoftheContractTimesshallbeallowedonlytotheextentthatsuchdelaywasnotcausedbyanyfaultornegligenceoftheContractor,Subcontractors,anyonedirectlyorindirectlyemployedbyanyofthemorforwhoseactsanyofthemmaybeliable.13.2只有在這種延誤不是由承包商、分包商、他們中任何一方直接或間接雇用的任何人或他們中任何一方可能對其行為負責的任何過失或疏忽造成的情況下,才應允許延長合同工期。13.3IftheWorkisstoppedorsuspendedbyorderofanycourtorgovernmentalauthority,withinseven(7)daysafterreceiptofnoticethatsuchWorkstoppageorsuspensionisremoved,theContractorshallcompletetheWorkasexpeditiouslyasreasonablypossible.Intheeventofsuchstoppageorsuspension,theContractorshallbeentitledtoanextensionintheContractTimesequaltothelengthofthedelay(thelengthofthestoppageorsuspensionplustheseven(7)orfewerdaysafternoticewithinwhichtheContractorrecommencestheWork)plusanequitableincreaseintheContractor’sFee.13.3如果工程因任何法院或政府當局的命令而停止或暫停,在收到取消這種工程停頓或暫停的通知后七(7)天內,承包方應在合理范圍內盡快完成工程。在這種停工或暫停的情況下,承包方應有權延長合同工期,相當于延誤的期間(停工或暫停的期間加上通知后的七(7)天或更少的時間,承包方重新開始工程),加上承包方費用的合理增加。14.Contractor’sPaymentObligations.14.承包商的付款義務TheContractorshallpayallofitsobligationsarisingoutoforinconnectionwiththeWorkinatimelymanner.UponreasonableevidencethatoneormoreSubcontractorshavenotbeenorwillnotbepaid,theOwnermaypayanyoftheContractor?spaymentobligationsdirectlytotheclaimantorbymultiplepayeechecktotheContractorandtheclaimantandpartiesininterveningtiers,ifany,anddeducttheamountofsuchpaymentfromamountsdueortobecomeduetotheContractor.UpontheOwner?swrittenrequest,theContractorshallfurnishtotheOwnerallinformationrequiredtofacilitatesuchdirectormultiplepayeepayments,includingwithoutlimitationacompletelistingofoutstandingamountsowedtoallSubcontractors.承包商應及時支付由工程引起的或與工程有關的所有債務。如果有合理的證據(jù)表明一個或多個分包商沒有或不會得到付款,業(yè)主可以將承包商的任何付款債務直接支付給索賠人,或通過多個收款人的支票支付給承包商和索賠人以及中間層的各方(如有),并從應付給或將應付給承包商的款項中扣除這種付款的數(shù)額。根據(jù)業(yè)主的書面要求,承包商應向業(yè)主提供所有必要的信息,以促進這種直接或多個收款人的付款,包括但不限于欠所有分包商的未付款項的完整清單。15.Liens.15.留置權TheContractorshallkeeptheProjectandProjectpropertyfreeandclearofallconstructionliensarisingoutoftheWork.IfanyliensarisingoutoftheWorkarefiledbyanypersonorentity,includingwithoutlimitationanySubcontractor,theContractorshall,atitscostandwithinten(10)daysafterdemandfromtheOwner,satisfysaidlienorpostandperfectabondunderapplicablelawsoastoremovethelienfromtheProjectandProjectproperty.Theabovenotwithstanding,nothinghereinshallprecludeordepriveContractoroftherighttofileandmaintainalienontheProjectorProjectpropertyintheeventofnon-paymentbyOwner.承包商應保持項目和項目財產不存在因工程而產生的所有建筑留置權。如果任何個人或實體,包括但不限于任何分包商,提出任何工程留置權,承包商應在業(yè)主要求后的十(10)天內,以其價款清償上述留置權或交易賬目張貼和完善債券,以消除項目和項目財產的留置權。盡管有上述規(guī)定,但在業(yè)主未付款的情況下,本條款不應排除或剝奪承包商對項目或項目財產提出和維持留置權的權利。16.Warranty.16.保修承諾16.1TheContractorwarrantstotheOwnerthatthematerialsandequipmentfurnishedunderthisAgreementwillbe(a)newandofgoodquality;(b)freefromdefectsinmaterialsandworkmanship,unlessotherwiseapprovedinwritinginadvancebytheOwner,and(c)thattheWorkwillbeperformedinagoodandworkmanlikemannerandinaccordancewiththePlansandallapplicablecodes,lawsandstandards.16.1承包商向業(yè)主保證,根據(jù)本協(xié)議提供的材料和設備將是(a)新的和高質量的;(b)沒有材料和工藝上的缺陷,除非事先得到業(yè)主的書面批準,以及(c)工程將以良好和精湛的?方式進行,并符合計劃和所有適用規(guī)范、法律和標準。TheContractorshallcollectandsubmittotheOwner,uponMechanicalCompletionoftheWork,allwarrantiesfromSubcontractorssupplyingmaterials,equipmentorcomponentsincorporatedintotheProject,andtheContractorherebyassignstotheOwneralloftheContractor’srightsundersuchwarranties.TheContractoragreesthatsuchwarrantiesfromthoseSubcontractorsreferencedinExhibitFshallcomplywiththerequirementssetoutinExhibitF.承包商應在工程機械完工收集并向業(yè)主提交材料、設備或部件的分包商對項目的所有保證,并且承包商在此將承包商在這些保證下的所有權利轉讓給業(yè)主。承包商同意,附件F中提到的那些分包商的這種保證應符合附件F中的要求。16.2TheContractorwillrecommendtoOwnerallprocessandconstructionimprovementsthatitbelievesingoodfaithwouldoptimizetheProjectconstructionandoperations,providedthatContractor’sliabilityforbreachesofsuchwarrantyshallbelimitedtoinstancesofgrossnegligenceorwillfulmisconduct.16.2承包商將向業(yè)主推薦其真誠地認為可以優(yōu)化項目建設和運營的所有工藝和施工改進措施,但承包商對違反這種保證的責任應限于嚴重疏忽或故意不當行為的情況。16.3Thefollowingshallgovernthedurationsofthewarrantiesdescribedabove.ThebasewarrantyperiodwillcommencewhenMechanicalCompletionhasbeenachievedandwillcontinueforthelesserof(i)twelve(12)monthsfromtheapplicableGuaranteedMechanicalCompletionDate;or18monthsaftertheapplicableFinalCompletionDate(“BaseWarrantyPeriod”).WarrantyforanyrepairsorreplacementsshallcommenceonthedatetherepairorreplacementiscompletedandcontinueuntilthelateroftheexpirationoftheBaseWarrantyPeriodorsix(6)monthsfromthedateofcompletionoftherepairorreplacementandshallnotexceedamaximumofthirty(30)monthsfromtheMechanicalCompletionDate(the“RepairWarrantyPeriod”)(theBaseWarrantyPeriodplustheRepairWarrantyPeriodarecollectivelyreferredtoasthe“WarrantyPeriod”).Contractorshall,asmitigationofthedamagessufferedbytheOwner,atContractor’sowncostandexpense(includingthecostoflaborandequipment)promptlyrepairorreplacewithmaterialsofnewandgoodqualityanyWorkormaterialswhichfailtocomplywiththewarrantyduringtheWarrantyPeriod.16.3上述保證的期限應遵循以下規(guī)定?;颈WC期將從實現(xiàn)機械竣工時開始,并將持續(xù)到(i)從適用的保證機械完成日期開始的十二(12)個月;或適用的最終完成日期之后的18個月("基本保證期"),以較低者為準。任何修理或更換的保證應從修理或更換完成之日開始,并持續(xù)到基本保證期屆滿或從修理或更換完成之日開始的六(6)個月(以較晚者為準),并且不應超過從機械完成日期開始的最多三十(30)個月("修理保證期")(基本保證期加上修理保證期統(tǒng)稱為"保證期")。承包商應在保修期內及時修理或用新的、質量好的材料更換任何不符合保修要求的工程或材料,以減輕業(yè)主的損失,費用由承包商自行承擔(包括勞動力和設備的費用)。17.DefectiveWork.17.瑕疵工程的處理TheWorkshallbesubjecttoobservationandapprovalbytheOwnerandrepresentativesofgovernmentalagencieswithjurisdictionovertheProject.Withoutlimitingtheeffectofthepriorsentence,allportionsorcomponentsoftheWorkdesignedbyregisteredarchitectsorengineersshallalsobesubjecttotheirobservationandapproval.TheContractorshallpromptlycorrect,atnocosttotheOwner,allWorkreasonablyrejectedbytheOwnerandallWorkrejectedbysuchagencyrepresentatives.ShouldtheContractorfailtocorrectrejectedWork,theOwnermaycorrectsuchWorkandtheContractorshallpaytheOwner’sactualcostsofcorrection.本工程應接受業(yè)主和對本工程有管轄權的政府機構代表的檢測和批準。在不限制前述規(guī)定效力的情況下,由注冊建筑師或工程師設計的工程的所有部分或組件也應接受他們的檢測和批準。承包商應及時糾正被業(yè)主合理拒絕的所有工程和被這些機構代表拒絕的所有工程,而不需要業(yè)主承擔任何費用。如果承包商未能糾正被拒絕的工程,業(yè)主可以糾正這些工程,承包商應支付業(yè)主的實際糾正費用。18.Cleanup.18.清理場地TheContractoratalltimesshallkeeptheProjectpremisesreasonablyfreefromwaste,debrisandotherexcessmaterialscausedbytheWork,andshallleavethepremisesin“broomclean”conditionattheendofeachdayofWork.UponbothsubstantialandfinalcompletionoftheWork,theContractorshallremoveallwaste,debris,tools,equipmentandexcessmaterialsfromtheProjectsite,shallproperlydisposeofallsuchitems,andshallleavethesiteinaneatandorderlycondition.ShouldtheContractorfailtoperformitsobligationsunderthisSection,theOwnermaydosoattheContractor’sexpense.承包商在任何時候都應保持項目場地合理地無廢物、碎片和其他由工程引起的多余材料,并應在每天工程結束時使場地處于"掃帚清潔"狀態(tài)。在工程基本完成和最終完成時,承包方應從項目現(xiàn)場清除所有廢物、碎片、工具、設備和多余的材料,應妥善處理所有這些物品,并應使現(xiàn)場處于整潔有序的狀態(tài)。如果承包方未能履行本節(jié)規(guī)定的義務,業(yè)主可以這樣做,費用由承包方承擔。19.SiteAccess.19.場地通行權TheContractorshallallowtheOwneranditsrepresentativesaccessatallreasonabletimestotheProjectsiteandtotheWorkwhereverbeingperformed.InvisitingtheProjectsiteandtheWork,theOwneranditsrepresentativesshallnotunreasonablyinterferewithordelaytheperformanceoftheWork,whetherperformedbytheContractororSubcontractors.承包商應允許業(yè)主及其代表在所有合理的時間進入項目現(xiàn)場和正在實施的工程。在查看項目現(xiàn)場和工程時,業(yè)主及其代表不應不合理地干擾或拖延工程的進行,無論是由承包商還是分包商進行。20.PermitsandInspections.20.許可證和檢驗IfrequestedbyOwner,theContractorshallsecureandinitiallypayforthebuildingpermit,plancheckfees,andallotherpermitsandfees,testsandinspectionsbygovernmentalagenciesrequiredandnecessaryfortheperformanceandcompletionoftheWorkbytheContractorandSubcontractors.TheOwnershallreimbursetheContractorforthecostofthebuildingpermit(butthereshallbenoContractorfeeormarkupthereon).TheContractor’sothercostsincurredunderthisSection20shallbereimbursedbytheOwneraspartoftheCostoftheWork,excepttotheextenttestsorinspectionshereunderdisclosedefectiveornonconformingWorkcausedbythefaultornegligencereferencedinSection6.6.如果業(yè)主要求,承包商應確保并先行支付建筑許可證、計劃檢查費,以及承包商和分包商執(zhí)行和完成工程所需的政府機構的所有其他許可證和費用、檢測和檢查。業(yè)主應向承包商償付建筑許可證的費用(但不應該有承包商的費用或加價)。承包商根據(jù)第20條所產生的其他費用應作為構成價款的一部分由業(yè)主償還,除非根據(jù)本條規(guī)定的檢測或檢查發(fā)現(xiàn)有缺陷或不符合要求的工程是屬于第6.6條中規(guī)定的過失或疏忽造成的。20.1TheOwnershallcontractandpayforalltestsandinspectionsoftheWorkbythirdpartiesrequiredandnecessaryfortheperformanceandcompletionoftheWorkbytheContractorandSubcontractors;providedthattheContractorratherthantheOwnershallpayforsuchtestsandinspectionstotheextenttheydisclosedefectiveornonconformingWork.TheContractor’scostsincurredunderthisSection20.1shallbereimbursedaspartoftheCostoftheWork,excepttotheextentthedefectiveornonconformingWorkiscausedbythefaultofnegligencereferencedinSection6.6.TheContractorshallgivetheOwnerreasonablenoticeofthetimeforthetestsandinspectionsreferencedinthisSection業(yè)主應與第三方簽約并支付承包商和分包商實施和完成工程所需的所有檢測和檢查費用;但如果這些檢測和檢查發(fā)現(xiàn)有缺陷或不符合要求的工程,則費用由承包商而不是業(yè)主支付。承包商根據(jù)本第20.1條發(fā)生的費用應作為工程費用的一部分予以補償,但由于第6.6條規(guī)定的過失造成的缺陷或不合格的工程除外。承包商應向業(yè)主發(fā)出合理的通知,說明本第20.1條中規(guī)定的檢測和檢查的時間。20.2ObservationsorapprovalsbytheOwner,architectorothers(includingthirdparties)shallnotrelieveContractorofitssoleresponsibilityforconstructionmeans,methods,techniques,sequences,safetyissues,andprocedures,andforsupervising,coordinatingandperformingalloftheWork.20.2業(yè)主、建筑師或其他人(包括第三方)的觀察或批準不應解除承包商對施工手段、方法、技術、順序、安全問題和程序以及對監(jiān)督、協(xié)調和實施所有工程的全部責任。21.As-BuiltDrawings.21.竣工圖TheContractorshallmaintainduringtheprogressoftheWorkas-builtdrawingsindicatingthecurrentstatusoftheWorkasactuallyperformed.UponMechanicalCompletionoftheWork,theContractorshallprepareafinalversionofsuchas-builtdra
