中國(guó)對(duì)外承包工程商會(huì)頒布2019版系列分包工程合同（中英文對(duì)照）共有如下五套分包工程合同：（1）2019版國(guó)際承包工程貨物采購(gòu)合同條件（中英文對(duì)照）CONTRACTCONDITIONSOFGOODSPURCHASEFORINTERNATIONALCONTRACTINGWORKS中英文共計(jì)5.4萬(wàn)字，word文檔。（2）2019版施工分包合同條件（適用于單價(jià)分包合同）（中英文對(duì)照）CONDITIONSOFCONTRACTFORCONSTRUCTIONSUBCONTRACTS(applicabletounitpricesubcontracts)中英文共計(jì)11萬(wàn)余字，word文檔。（3）2019版施工分包合同條件（適用于總價(jià)分包合同）（中英文對(duì)照）CONDITIONSOFCONTRACTFORCONSTRUCTIONSUBCONTRACTS(applicabletolumpsumsubcontracts)中英文共計(jì)約11萬(wàn)字，word文檔。（4）2019版設(shè)計(jì)分包合同條件（中英文對(duì)照）SUBCONTRACTCONDITIONSFORDESIGN中英文共計(jì)約7.1萬(wàn)字，word文檔。（5）2019版安裝分包合同條件（中英文對(duì)照）CONDITIONSOFTHEINSTALLATIONSUBCONTRACT中英文共計(jì)11萬(wàn)余字，word文檔。安裝分包合同部分章節(jié)示例如下：10.4不合格的材料和設(shè)備10.4Unqualifiedmaterialsandequipment10.4.1如分包商使用了不合格的材料或設(shè)備，承包商有權(quán)指示分包商予以處理，由此造成的一切損失由分包商負(fù)責(zé)。10.4.1ProvidedthattheSubcontractorsusethesubstandardmaterialsorequipment,theContractorshallhavetherighttoinstructittodisposeofthesameandtheSubcontractorshallberesponsibleforalldamagecausedthereby.10.4.2如承包商的檢查或檢驗(yàn)結(jié)果表明分包商提供的材料或設(shè)備不符合合同要求時(shí)，承包商可以拒絕驗(yàn)收，并立即通知分包商予以更換。10.4.2ProvidedthattheContractor'sinspectionorexaminationshowsthatthematerialsorequipmentsuppliedbytheSubcontractorfailtoconformtotherequirementsoftheContract,theContractormayrefuseacceptanceandimmediatelynotifytheSubcontractortoreplacethesame.10.4.3如檢查或檢驗(yàn)結(jié)果表明，承包商提供的材料和/或設(shè)備不符合合同要求，分包商有權(quán)拒絕接收，并可要求承包商予以更換，由此增加的費(fèi)用和工期延誤責(zé)任由承包商承擔(dān)。10.4.3Providedthattheinspectionorexaminationshowsthatthematerialsand/orequipmentsuppliedbytheContractorfailtoconformtotherequirementsoftheContract,theSubcontractorshallbeentitledtorejectthesameandmayrequiretheContractortomakereplacementthereof,theresponsibilityforanyincreaseincostanddelayarisingtherefromshallbebornebytheContractor.10.55重新檢驗(yàn)10.5Re-inspection不論何種原因，若承包商對(duì)以往的檢驗(yàn)結(jié)果有疑問時(shí)，可以指示分包商重新檢驗(yàn)，分包商不得拒絕。如重新檢驗(yàn)結(jié)果證明分包商提供的材料和設(shè)備不符合分包合同要求，則應(yīng)由分包商承擔(dān)重新檢驗(yàn)的費(fèi)用和工期延誤責(zé)任。若重新檢驗(yàn)結(jié)果證明這些材料和工程設(shè)備符合合同要求，則應(yīng)由承包商承擔(dān)重新檢驗(yàn)的費(fèi)用和工期延誤責(zé)任。If,forwhateverreason,theContractorisindoubtabouttheresultsofapreviousinspection,mayinstructthere-inspectiontobemadebySubcontractorwhichshallnotrefusetodoso.Wherethere-inspectionprovesthesematerialsandequipmentfailtomeettherequirementsofthesubcontract,theSubcontractorshallbeliableforthecostofthere-inspectionandthedelay.Wheretheresultsofthere-inspectionprovesuchmaterialsandengineeringequipmentmeettherequirementsofthecontract,theContractorshallbeliableforthecostofthere-inspectionandforanydelayintheworkschedule.10.6分包商不進(jìn)行檢查和檢驗(yàn)的補(bǔ)救辦法10.6Remediesfornon-inspectionandnon-inspection10.6.1如分包商未能完成承包商指示的檢查和檢驗(yàn)工作，承包商可以指派自己的人員或委托其他有資質(zhì)的檢驗(yàn)機(jī)構(gòu)或人員進(jìn)行檢查和檢驗(yàn)，分包商不得拒絕，并應(yīng)提供一切方便。由此增加的費(fèi)用和工期延誤責(zé)任由分包商承擔(dān)。10.6.1ProvidedthattheSubcontractorfailstocompletetheinspectionandexaminationworkasdirectedbytheContractor,theContractormayappointitsownpersonnelorcommissionotherqualifiedinspectionagenciesorpersonneltocarryouttheinspectionandexamination,andtheSubcontractorshallnotrefusetodosoandshallprovideallfacilitiestherefore.TheliabilityforsuchincreasedcostandconstructionperioddelayshallbebornebytheSubcontractor.10.6.2承包商和/或分包商的檢查不能替代業(yè)主和/或工程師的檢查，業(yè)主和/或工程師的檢查結(jié)果為最終結(jié)果。業(yè)主和/或工程師有權(quán)對(duì)分包商提供的材料和設(shè)備進(jìn)行檢查，分包商應(yīng)根據(jù)第11條的約定對(duì)業(yè)主和/或工程師的檢查結(jié)果進(jìn)行整改或處理。10.6.2TheContractor'sand/orSubcontractor'sinspectionisnotasubstitutefortheEmployer'sand/orEngineer'sinspectionwhichshallbefinal.TheEmployerand/ortheEngineershallhavetherighttoinspectthematerialsandequipmentsuppliedbytheSubcontractorwhichshall,inaccordancewiththeagreementinArticle11,rectifyordealwiththeresultsoftheEmployer'sand/ortheEngineer'sinspection.11不合格的工程、材料和設(shè)備的處理11Treatmentofunqualifiedworks,materialsandequipment11.1在不損害本分包合同其他合同條款約定的情況下，如果由于分包商使用了不合格材料和設(shè)備造成了工程損害，承包商可以隨時(shí)發(fā)出指示要求分包商立即采取措施進(jìn)行補(bǔ)救，直到徹底清除工程的不合格部位以及不合格的材料和設(shè)備，由此增加的費(fèi)用和工期延誤責(zé)任由分包商承擔(dān)。若上述不合格的材料或設(shè)備由承包商提供的，應(yīng)由承包商負(fù)責(zé)更換，并承擔(dān)由此增加的費(fèi)用和工期延誤責(zé)任。11.1Withoutprejudicetotheothercontractualprovisionshereof,providedthatthedamagetotheWorksiscausedbytheuseofsubstandardmaterialsandequipmentbytheSubcontractor,theContractormayatanytimeissueinstructionsrequiringittotakeimmediateactionstoremedythedefectivepartsoftheWorks,thenon-conformingmaterialsandequipmentuntilwhicharecompletelyremoved,inadditiontotheliabilitiesforincreasedcostandconstructionperioddelayshallbebornebytheSubcontractor.However,ifsaidnon-conformingmaterialorequipmentissuppliedbytheContractor,itshallbetheContractor'sresponsibilitytoreplacethesameandshallbeliablefortheincreasedcostanddelaythereof.11.2如分包商無(wú)故拖延或拒絕執(zhí)行承包商的上述指示，則承包商有權(quán)委托第三方執(zhí)行該項(xiàng)指示，由此增加的費(fèi)用及工期延誤責(zé)任由分包商承擔(dān)。11.2ProvidedthattheSubcontractorunreasonablydelaysorrefusestoexecutetheaboveinstructionsoftheContractor,theContractorshallbeentitledtoinstructathirdpartytoexecutesuchinstructionsandtheSubcontractorshallbeliableforanyadditionalcostsanddelaysresultingtherefrom.12質(zhì)量12.Quality12.1按照要求施工12.1Constructioninaccordancewiththerequirements12.1.1分包商應(yīng)嚴(yán)格按照分包合同約定的通用和特別技術(shù)條款，圖紙，設(shè)計(jì)文件以及文件中所提及的相關(guān)標(biāo)準(zhǔn)和規(guī)范進(jìn)行安裝工程的施工，確保工程質(zhì)量達(dá)到分包合同技術(shù)規(guī)范的要求，與此有關(guān)的所有費(fèi)用全部由分包商承擔(dān)，包括但不限于試驗(yàn)檢測(cè)、放樣和驗(yàn)收、措施等費(fèi)用。12.1.1TheSubcontractorshallcarryoutthe

instrictaccordancewiththegeneralandspecialtechnicaltermsofthesubcontract,thedrawings,thedesigndocuments,therelevantstandardsandspecificationsreferredtointhedocumentstoensurethequalityoftheworksmeetstherequirementsofthetechnicalspecificationswhichspecifiedinthesubcontract,andallcostsrelatingtheretoarebornebytheSubcontractor,includingbutnotlimitedtothecostsoftestingandinspection,constructionloftingandacceptance,constructionmeasures,etc.12.1.2分包商未經(jīng)承包商同意，自行提高工程質(zhì)量標(biāo)準(zhǔn)所產(chǎn)生的費(fèi)用，由分包商自行承擔(dān)。12.1.2TheexpensesincurredbytheSubcontractorinraisingthequalitystandardsoftheWorkswithouttheconsentoftheContractorshallbebornebytheSubcontractor.12.2質(zhì)量體系文件12.2Thedocumentsofqualitysystem12.2.1分包商在安裝工程施工前應(yīng)向承包商提交施工組織設(shè)計(jì)、總體施工計(jì)劃、質(zhì)保體系、安全體系、職業(yè)健康體系，質(zhì)量保證體系文件等。分包商應(yīng)在分包合同約定或承包商要求的時(shí)間內(nèi)提交上述文件。12.2.1TheSubcontractorshall,priortocommencementofconstructionof

InstallationWorks,submittheconstructionorganizationdesign,generalconstructionplan,qualityassurancesystem,safetysystem,occupationalhealthsystemandqualityassurancesystemdocuments,etc.totheContractor.TheSubcontractorshallsubmittheabovedocumentswithinthetimespecifiedintheSubcontractorrequiredbytheContractor.12.2.2在承包商收到分包商提交第12.2.1款約定的文件后的14天內(nèi)，承包商應(yīng)回復(fù)分包商，給出批準(zhǔn)、意見或否決的決定。12.2.2TheContractorshall,within14daysuponreceiptofthedocumentssubmittedbytheSubcontractor,whichspecifiedinarticle12.2.1,respondtotheSubcontractorwiththedecisionsofapproval,commentorrejection.12.2.3分包商應(yīng)在收到承包商回復(fù)意見后的14天內(nèi)或承包商另行要求的期限內(nèi)，按照承包商的回復(fù)意見進(jìn)行修改并向承包商重新遞交文件。12.2.3TheSubcontractorshallreviseandresubmitthedocumentstotheContractorinaccordancewiththeContractor'sresponsewithin14daysofreceiptoftheContractor'sresponseorwithinsuchotherperiodastheContractormayrequest.12.3質(zhì)量檢查12.3Qualityinspection12.3.1在安裝施工過程中，分包商自檢人員必須對(duì)每一道工序進(jìn)行現(xiàn)場(chǎng)監(jiān)督，質(zhì)量達(dá)不到合格工程標(biāo)準(zhǔn)以及不符合規(guī)范要求的，應(yīng)及時(shí)予以修復(fù)和返工。如造成與其相關(guān)聯(lián)的其他工序出現(xiàn)質(zhì)量問題，分包商除了承擔(dān)本工序的修復(fù)返工費(fèi)用外，同時(shí)承擔(dān)關(guān)聯(lián)工序的返工費(fèi)用。每道工序完工后，經(jīng)自檢達(dá)到合格工程標(biāo)準(zhǔn)，報(bào)承包商檢查合格后方可進(jìn)行下一道工序施工。12.3.1TheSubcontractor'sself-inspectionpersonnelshall,duringthe

process,superviseeachprocessonsite,theworkswiththequalityfailingtomeetthestandardofqualifiedworkandtherequirementsofthespecificationsshall,inatimelymanner,berepairedandreworked.Incaseofqualityproblemsinotherprocessesrelatedtoit,theSubcontractorshallbearthereworkcostsoftherelatedprocessbesidestherepaircostoftheprocess.Theworkwill,uponcompletionofeachprocess,bemadeself-inspectiontothesatisfactorystandardandfileitthecontractorforinspectionbeforethenextprocesscanbecarriedout.12.3.2分包商應(yīng)將施工原始記錄和其他承包商要求提供的施工技術(shù)資料等及時(shí)報(bào)送承包商。12.3.2TheSubcontractorshall,withoutanydelay,submittotheContractortheoriginalconstructionrecordsandothertechnicalconstructioninformationrequiredbytheContractor,etc.12.3.3在分包合同施工期間，分包商應(yīng)執(zhí)行承包商、業(yè)主和/或工程師發(fā)出的一切書面通知、意見、批示、決定等，如果對(duì)業(yè)主和/或工程師的書面通知、意見、批示、決定等不同意的，在執(zhí)行的同時(shí)應(yīng)立即向承包商反映，并由承包商同業(yè)主和/或工程師交涉解決。為避免誤解和歧義，分包商對(duì)業(yè)主和/或工程師發(fā)出的一切書面通知、意見、批示、決定等提出異議，并不意味著分包商的提出的異議應(yīng)得到支持。在未得到業(yè)主和/或工程師的同意或認(rèn)可時(shí)，分包商應(yīng)根據(jù)分包合同的約定向承包商提出索賠意向通知，由承包商遞交給業(yè)主和/或工程師，按照分包合同第33.4條[相關(guān)索賠]處理。12.3.3TheSubcontractorshall,duringtheconstructionoftheSubcontract,executeallwrittennotices,opinions,instructions,decisions,etc.,whichissuedbytheContractor,theEmployerand/ortheEngineer.ProvidedthattheSubcontractordisagreeswiththewrittennotices,opinions,instructions,decisionsandothersfromtheEmployerand/ortheEngineer,shallforthwithmakeknowntotheContractorwhilebeingexecuteandtheissuesshallberesolvedbytheContractorinconsultationwiththeEmployerand/ortheEngineer.Fortheavoidanceofmisunderstandingandambiguity,theobjectionssubmittedbytheSubcontractoronallwrittennotices,comments,instructions,decisions,etc.issuedbytheEmployerand/ortheEngineerfailtomeantheobjectionsraisedbytheSubcontractorshallbeupheld.TheSubcontractorshall,ifwithoutagreementoracceptancebytheEmployerand/ortheEngineer,givetheNoticeofIntenttoClaimtotheContractorinaccordancewiththeSubcontract,whichshallbesubmitt?edbytheContractortotheEmployerand/ortheEngineerunderarticle33.4[RelatedClaims]oftheSubcontract.12.3.4承包商有權(quán)對(duì)全部工程的所有部位及其任何一項(xiàng)工藝、材料和工程設(shè)備進(jìn)行檢查和檢驗(yàn)。分包商應(yīng)為承包商的質(zhì)量檢查和檢驗(yàn)提供一切方便，包括承包商赴施工現(xiàn)場(chǎng)或制造、加工地點(diǎn)或分包合同約定的其他地方進(jìn)行察看和查閱施工記錄。分包商還應(yīng)按承包商的指示、進(jìn)行現(xiàn)場(chǎng)取樣試驗(yàn)、工程復(fù)核測(cè)量和設(shè)備性能檢測(cè)，提供試驗(yàn)樣品、試驗(yàn)報(bào)告和測(cè)量成果以及承包商要求進(jìn)行的其他工作。承包商的檢查和檢驗(yàn)不免除分包商按分包合同約定應(yīng)對(duì)工程質(zhì)量所承擔(dān)的責(zé)任。12.3.4TheContractorshallhavetherighttoinspectandexamineallpartsofthewholeWorksandanyofitsworkmanship,materialsandengineeringequipment.TheSubcontractorshallprovideallfacilitiesfortheContractor'squalityinspectionsandchecks,includingtheContractor'svisitstotheconstructionsiteorplaceofmanufacture,processingorotherplacesasspecifiedintheSubcontractforinspectionandaccesstoconstructionrecords;theSubcontractorshallalsocarryoutfieldsamplingtests,engineeringreviewmeasurementsandequipmentperformancetestsasdirectedbytheContractor;providetestsamples,testreportsandmeasurementresultsandotherworksasrequiredbytheContractor.TheContractor'sinspectionandexaminationdoesnotrelievetheSubcontractorofhisresponsibilityforthequalityoftheworkassetforthinthesubcontract.12.3.5承包商的質(zhì)量檢查不能替代業(yè)主和/或工程師的檢查。業(yè)主和/或工程師有權(quán)對(duì)分包商工程質(zhì)量進(jìn)行檢查，分包商應(yīng)根據(jù)業(yè)主和/或業(yè)主咨詢工程師或工程師的檢查結(jié)果進(jìn)行整改。12.3TheContractor'squalityinspectionisnotasubstitutefortheEmployer'sand/ortheEngineer'sinspection.TheEmployerand/ortheEngineershallhavetherighttoinspectthequalityoftheSubcontractor'sworkandtheSubcontractorshallrectifythesameinaccordancewiththeresultsofinspectionbytheEmployer'sand/ortheEmployer'sConsultingEngineer'sortheEngineer.12.3.6如承包商質(zhì)量檢查結(jié)果與業(yè)主和/或工程師的檢查結(jié)果不一致時(shí)，應(yīng)以業(yè)主和/或工程師的檢查結(jié)果為最終結(jié)果。12.3.6IntheeventofdiscrepanciesbetweentheresultsoftheContractor'squalityinspectionsandthoseoftheEmployerand/ortheEngineer,theresultsoftheEmployer'sand/ortheEngineer'sinspectionsshallbefinalandprevail.13現(xiàn)場(chǎng)試驗(yàn)13Fieldtest13.1現(xiàn)場(chǎng)材料試驗(yàn)13.1Fieldmaterialtest13.1.1在分包商自負(fù)費(fèi)用建立現(xiàn)場(chǎng)實(shí)驗(yàn)室的情況下，分包商應(yīng)在工地建立自己的實(shí)驗(yàn)室，配備足夠的人員和設(shè)備，按分包合同約定和承包商的指示進(jìn)行各項(xiàng)材料試驗(yàn)，并為承包商進(jìn)行質(zhì)量檢查和檢驗(yàn)提供必要的試驗(yàn)資料和原始記錄。13.1.1Underthecircumstancesofestablishmentoftheon-sitelaboratoryattheSubcontractor’sownexpense,theSubcontractorshallestablishitsownlaboratoryonsitewithsufficientpersonnelandequipmenttocarryoutallmaterialtestsasspecifiedintheSubcontractandasdirectedbytheContractor,andtoprovidethenecessarytestdataandoriginalrecordsfortheContractor’squalitychecksandinspections.13.1.2承包商在質(zhì)量檢查和檢驗(yàn)過程中若需抽樣試驗(yàn)，所需試件應(yīng)由分包商提供，承包商可以使用分包商的試驗(yàn)設(shè)備，分包商應(yīng)予協(xié)助。上述試驗(yàn)所需提供的試件和承包商使用試驗(yàn)設(shè)備所需的費(fèi)用由分包商承擔(dān)。13.1.2WheretheContractorneedssamplingtestsduringthequalityinspectionandtestprocess,therequiredspecimensshallbeprovidedbytheSubcontractor.TheContractormayuseitstestequipment,forwhichtheSubcontractorshallassistandbearthecostofthetestandtestequipment.13.1.3在分包商不在現(xiàn)場(chǎng)建立實(shí)驗(yàn)室時(shí)，則所有試驗(yàn)由承包商負(fù)責(zé)進(jìn)行，承包商應(yīng)在試驗(yàn)結(jié)果書面通知分包商，試驗(yàn)費(fèi)用由分包商承擔(dān)。13.1.3ProvidedthatfailureofestablishmentofthesitelaboratorybytheSubcontractor,alltestsshallbemadebytheContractorwhichshallnotifytheSubcontractorinwritingoftheresultsofthetests,andthetestexpenseshouldbefortheaccountoftheSubcontractor.13.2現(xiàn)場(chǎng)工藝試驗(yàn)13.2Fieldtechnologytest13.2.1分包商應(yīng)按分包合同約定和承包商的指示進(jìn)行現(xiàn)場(chǎng)工藝試驗(yàn)，除分包合同另有約定外，因此產(chǎn)生的一切費(fèi)用由分包商承擔(dān)。13.2.1TheSubcontractorshallconducton-sitetechnologytestsasspecifiedintheSubcontractandasdirectedbytheContractorandallcostsarisingtherefromshallbebornebytheSubcontractorunlessotherwisespecifiedintheSubcontract.13.2.2分包商的工藝試驗(yàn)應(yīng)獲得承包商、業(yè)主和/或工程師的批準(zhǔn)。13.2.2TheSubcontractor'stechnologytestsshallbeapprovedbytheContractor,theEmployerand/ortheEngineer.14隱蔽工程和工程的隱蔽部位14.Concealedworksandtheconcealedpartsoftheworks14.1覆蓋前的驗(yàn)收14.1Acceptancebeforecoverage14.1.1隱蔽工程和工程的隱蔽部位經(jīng)分包商的自檢確認(rèn)具備覆蓋條件后，分包商應(yīng)提前48小時(shí)書面通知承包商進(jìn)行檢查，通知應(yīng)按約定的格式說(shuō)明檢查地點(diǎn)、內(nèi)容和檢查時(shí)間，并附有分包商自檢記錄和必要的檢查資料。14.1.1TheSubcontractorshall,uponconfirmation,bytheSubcontractor'sself-inspection,ofcoverageconditionsoftheconcealedworksandconcealedpartsoftheWorks,give48hours'noticeinwritingtotheContractorforinspection,whichshallstatetheplace,contentandtimeofinspectionintheagreedformatandbeaccompaniedbytheSubcontractor'sself-inspectionrecordsandthenecessaryinspectioninformation.14.1.2承包商應(yīng)按通知約定的時(shí)間指派人員和組織業(yè)主和/或工程師到場(chǎng)進(jìn)行檢查，在承包商和業(yè)主和/或工程師確認(rèn)質(zhì)量符合設(shè)計(jì)和規(guī)范要求，并在檢查記錄上簽字后，分包商才能進(jìn)行覆蓋。14.1.2TheContractorshallassignitspersonnelandconvenethesite-inspectionwiththepresenceoftheEmployerand/orEngineeratthetimespecifiedinthenotice,andtheSubcontractorshallnotproceedwiththecoverageuntiltheconfirmation,bytheContractorandtheEmployerand/orEngineer,ofthequalitythereoftobe
