#compensation.14.檢驗和索賠Article14Inspection&Claim發(fā)貨前，制造廠商應(yīng)對貨物的質(zhì)量、規(guī)格、性能和數(shù)量/重量作精密全面的檢驗，出具檢驗證明書，并說明檢驗的技術(shù)數(shù)據(jù)和結(jié)論。Beforethedeliveryismade,themanufacturershouldmakeapreciseandcomprehensiveinspectiononthegoodswithrespecttothequality,specification,performanceandquantity/weightandissueanInspectionCertificatespecifyingthetechnicaldataandconclusionoftheinspection.賣方在裝運貨物時應(yīng)按買方代理要求提供辦理清關(guān)手續(xù)的相關(guān)文件，并在貨物裝運后48小時內(nèi)以快遞形式寄送買方代理。買方代理在辦理清關(guān)過程中如因政府要求需補充相關(guān)文件的，賣方應(yīng)在買方代理通知后24小時內(nèi)以快遞形式寄送買方代理。如賣方未能按時提供清關(guān)資料，導致報檢報關(guān)延遲，貨物滯留，由此造成的相關(guān)損失由賣方承擔。Whileshippingthegoods,theSellershould,accordingtotherequirementsoftheBuyer'sAgent,submittherelevantdocumentsrequiredforthedisposalofcustomsclearanceproceduresand,withinforty-eight(48)hoursuponcompletionoftheshipment,mailtotheBuyer,sAgentbyexpressservice.WheretheBuyer,sAgentisrequiredbytheGovernmenttoprovideadditionalrelateddocumentsduringthedisposalofcustomsclearance,theSellershould,withintwenty-four(24)hourssincetheBuyer,sAgentgivesanotice,mailtotheBuyer,sAgentbyexpressservice.IftheSellerfailstosubmitrelevantdocumentsrequiredforthecustomsclearanceontime,thuscausingadelayintheinspectionandcustomsdeclarationandthatthegoodsaredetained,thenanyrelevantlossincurredtherebyshallbebornebytheSeller.貨到目的港后，如中華人民共和國質(zhì)量監(jiān)督和檢驗檢疫局(以下簡稱國家檢驗檢疫局)需對貨物進行放射性物質(zhì)等專項檢測，且檢測結(jié)果超標引發(fā)退貨或需滯留待檢，則在此期間所產(chǎn)生的任何相關(guān)費用由賣方負擔。Afterthegoodsarriveattheportofdestination,iftheGeneralAdministrationofQualitySupervision,InspectionandQuarantineofthePeople'sRepublicofChina(hereinaftertobereferredas“AQSIQ”)needstoconductaradioactivematerialandotherspecificinspectiononthegoods,andiftheinspectionresultsexceedthelimit,thuscausingthegoodstobereturnedordetainedforfurtherinspection,thenanyrelevantfeesincurredduringsuchperiodshallbebornebytheSeller.貨到目的港后，買方代理將向中華人民共和國質(zhì)量監(jiān)督和檢驗檢疫局(以下簡稱國家檢驗檢疫局)申請對貨物的規(guī)格和數(shù)量/重量進行復檢，若發(fā)現(xiàn)貨物殘損，規(guī)格和數(shù)量與合同規(guī)定不符，除保險公司或運輸公司的責任外，買方或其代理應(yīng)在貨物到達目的港后90日內(nèi)憑國家檢驗檢疫局出具的檢驗證明書向賣方索賠或拒收該貨物。Afterthegoodsarriveattheportofdestination,theBuyer,sAgentshallapplytheGeneralAdministrationofQualitySupervision,InspectionandQuarantineofthePeople'sRepublicofChina(hereinaftertobereferredasthe“AQSIQ”)forfurtherinspectiononthespecifications,quantityorweightofthegoods.Duringtheinspection,ifitisfoundthatthegoodsaredamagedorthespecificationsandquantityofthegoodsareinconsistentwiththoseundertheContract,besidestheinsurancecompanyorthetransportationcompany,theBuyerortheBuyesAgentshouldalsomakeaclaimagainsttheSellerorrejectthegoodsagainsttheInspectionCertificateissuedbytheAQSIQwithinninety(90)daysuponarrivalofthegoodsattheportofdestination.在保證期限內(nèi)，若貨物由于設(shè)計或制造上的缺陷而發(fā)生損壞或品質(zhì)、性能與合同規(guī)定不符時，買方或其代理將委托國家檢驗檢疫局進行檢驗，并憑其檢驗證明書向賣方提出索賠(包括換貨)，由此產(chǎn)生的全部相關(guān)費用應(yīng)由賣方承擔。Duringthewarranty,ifthegoodsaredamagedorthequalityandperformanceofthegoodsareinconsistentwiththoseundertheContractduetothedefectsintheaspectofthedesignormanufacturing,thentheBuyerortheBuyer,sAgentshallentrusttheAQSIQtoconductinspectionandmakeaclaim(includingareplacement)againsttheSelleragainstsuchInspectionCertificateissuedbytheAQSIQ.AnyandallrelevantfeesincurredtherebyshallbebornebytheSeller.若賣方收到上述索賠后30天內(nèi)未予答復，則認為賣方已接受上述索賠。TheclaimmentionedaboveshallberegardedashavingbeenacceptedbytheSelleriftheSellerfailstogiveareplywithinthirty(30)daysuponreceiptofsuchclaim.15.不可抗力Article15ForceMajeure凡在制造或裝船運輸過程中因人力不可抗拒的事故，致使賣方推遲交貨或不能交貨時，賣方可不負責任。但發(fā)生上述事故時，賣方應(yīng)立即通知買方代理，并在14天內(nèi)，給買方代理航空快遞一份由主管政府當局頒發(fā)的事故證明書。在此情況下，賣方仍有責任采取一切必要的措施，加快交貨。如事故延續(xù)10周以上，買方或其代理有權(quán)撤銷合同。Incaseofforcemajeureincurredduringthecourseofmanufacturingorloadingonboardandshipment,thuscausingtheSellertopostponethedeliveryornottobeabletomakeadelivery,theSellershallnotbeheldliable.However,whiletheaccidentsmentionedaboveoccur,theSellershouldimmediatelynotifytheBuyer,sAgentand,withinfourteen(14)days,submittheAccidentCertificateissuedbythecompetentgovernmentalauthoritytotheBuyer,sAgentbyairexpressservice.Insuchcase,theSellershouldstilltakeanynecessarymeasurestoexpeditethedelivery.Ifsuchaccidentsarecontinuingformorethanten(10)weeks,thentheBuyerortheBuyer,sAgentmayterminatetheContract.16.遲交貨罰款Article16PenaltyforLateDelivery如果交貨延遲，除非是由于不可抗力，賣方應(yīng)該就延誤部分的貨物總價值每周付給買方0.5%的延誤罰款。如果時間不足一周，視為一周?？偭P金不超過延誤部分貨物總價值的5%，罰金將從履約保證金或支付款(沒有履約保證金的)中扣除。如果超過交貨時間10周或以上，買方有權(quán)利終止合同，但是賣方并不能因此免除處罰金的義務(wù)。Incaseofanylatedelivery,theSellershouldpaytheBuyerapenaltyfordelayequalto0.5%ofthetotalvalueofsuchgoodsashavebeendelayedonaweeklybasis,exceptfortheforcemajeure.Incasetheperioddelayedislessthanone(1)week,thenoneweekofdelayshallbedeemed.Thetotalpenaltyshallbelimitedto5%ofthetotalvalueofsuchgoodsashavebeendelayedanddeductedfrompreformancebondoramountpayable(withoutperformancebond).Iftheperioddelayedlastsforten(10)weeksorabovesincethetimeofdelivery,thentheBuyermayterminatetheContract.Insuchcase,theSellershallnotberelievedfromtheobligationtopayapenalty.17.不能交貨罰款Article17PenaltyforBeingUnabletoDeliver如賣方不能交貨，賣方必須退回買方代理預付的貨款及承擔買方代理已支付的銀行費用；另向買方償付貨物總值30%的違約金(除非是由于不可抗力)。IftheSellerisnotabletomakeadelivery,thenitmustrefundtheamountpaidbytheBuyer,sAgentinadvanceandberesponsibleforthebankingchargespaidbytheBuyer,sAgent.Besides,theSellershouldalsopaytheBuyerapenaltyequalto30%ofthetotalvalueofthegoods(exceptfortheforcemajeure).18.仲裁Article19Arbitration凡有關(guān)本合同或執(zhí)行本合同而發(fā)生的一切爭執(zhí)，應(yīng)通過友好協(xié)商解決。如不能解決，則應(yīng)申請中國國際經(jīng)濟貿(mào)易仲裁委員會華南分會，按照申請仲裁時該會實施的仲裁規(guī)則進行仲裁。該仲裁委員會做出的仲裁決定是最終的，買賣雙方均應(yīng)受其約束，任何一方不得向法院或其它機關(guān)申請變更，仲裁費用由敗訴一方負擔。AnydisputesarisingfromorinconnectionwiththeContractshallbesettledthroughfriendlynegotiations.Ifcaseanagreementcannotbereached,suchdisputesshallbesubmittedtoChinaInternationalEconomicandTradeArbitrationCommission,SouthChinaSub-Commissionforarbitrationinaccordancewithitsarbitrationrulesineffectwhensucharbitrationisappliedfor.ThearbitrationawardmadesuchArbitrationCommissionshallbefinalandbindingontheSellerandtheBuyer.Neitherpartyisallowedtoapplythecourtorotherauthoritiesforthechangeofsuchaward.Thearbitrationfeeshallbebornebythelosingparty.19.附加條款Article20AdditionalClauses設(shè)備清單及招投標文件為本合同不可分割的部分，具有同等法律效力。TheListofEquipmentandtheBiddingDocumentsareanintegralpartoftheContractandhavethesamelegaleffectsastheContract.本合同一式陸份，賣方執(zhí)一份，買方及買方代理各執(zhí)一份，其余呈送相關(guān)部門備案，本合同及一般條款使用中文和英文寫成，兩種文字具有同等法律效力。本合同由三方代表簽字、蓋
