質(zhì)量保證的英文合同范本QualityAssuranceContractThisQualityAssuranceContract(hereinafterreferredtoasthe"Contract")isenteredintoonthis__dayof__,20__(hereinafterreferredtoasthe"EffectiveDate")byandbetween:[CompanyName],acompanydulyincorporatedandexistingunderthelawsof[Country/State],withitsprincipalplaceofbusinessat[Address](hereinafterreferredtoasthe"Supplier"),and[ClientName],acompanydulyincorporatedandexistingunderthelawsof[Country/State],withitsprincipalplaceofbusinessat[Address](hereinafterreferredtoasthe"Client"),collectivelyreferredtoasthe"Parties."WHEREAS,theSupplierisengagedinthebusinessofproviding[products/services](hereinafterreferredtoasthe"Products");WHEREAS,theClientwishestoengagetheSupplierforthesupplyofProductsanddesirestoensurethequalityandperformanceoftheProducts;WHEREAS,theSupplieriswillingtoprovidetheProductstotheClientandiscommittedtomeetingtherequiredqualitystandards;NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thePartiesagreeasfollows:1.ScopeofWork1.1TheSuppliershallsupplytheProductsasspecifiedintheattachedExhibitA(hereinafterreferredtoasthe"Specifications").1.2TheSuppliershallensurethattheProductsmeettheSpecificationsandanyadditionalrequirementsagreeduponinwritingbybothParties.1.3TheSuppliershallprovideallnecessarydocumentation,includingbutnotlimitedtoproductmanuals,certificatesofcompliance,andtestreports,todemonstratecompliancewiththeSpecifications.2.QualityAssurance2.1TheSuppliershallimplementandmaintainaqualitymanagementsystemtoensurethequalityandperformanceoftheProducts.2.2TheSuppliershallconductregularqualityinspectionsandtestsontheProductstoverifycompliancewiththeSpecifications.2.3TheSuppliershallpromptlynotifytheClientofanynon-conformitiesidentifiedduringthequalityinspectionsortestsandshalltakeappropriatecorrectiveactionstorectifysuchnon-conformities.2.4TheSuppliershallprovidetheClientwithaccesstoitspremises,personnel,andrecordsrelatedtothequalitymanagementsystemforthepurposeofconductingauditsandinspectionstoverifycompliance.3.AcceptanceTesting3.1TheClientshallhavetherighttoconductacceptancetestingonasampleoftheProductsupontheirdelivery.3.2TheacceptancetestingshallbecarriedoutinaccordancewiththeacceptancecriteriaspecifiedintheSpecifications.3.3IfthesampleofProductsfailstomeettheacceptancecriteria,theClientshallnotifytheSupplierinwritingandprovidetheSupplierwithareasonableopportunitytorectifythenon-conformities.3.4Ifthenon-conformitiesarenotrectifiedwithinthespecifiedtimeframe,theClientmay,atitssolediscretion,rejecttheentireshipmentoraccepttheshipmentwithareducedpriceorotherappropriateremedies.4.Warranty4.1TheSupplierwarrantsthattheProductsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[number]monthsfromthedateofdelivery.4.2Intheeventofanydefectscoveredbythewarranty,theSuppliershall,atitsownexpense,repairorreplacethedefectiveProductswithinareasonabletime.4.3Thewarrantyshallnotcoverdefectscausedbymisuse,negligence,orunauthorizedmodificationsbytheClientoranythirdparty.5.LimitationofLiability5.1ExceptforthewarrantyprovidedinSection4,neitherPartyshallbeliabletotheotherforanyindirect,incidental,consequential,orpunitivedamagesarisingoutoforinconnectionwiththisContract,regardlessofthecauseofaction.5.2ThetotalliabilityofeitherPartyunderthisContract,whetherincontract,tort,orotherwise,shallnotexceedthetotalamountpaidbytheClienttotheSupplierfortheProducts.6.Confidentiality6.1ThePartiesagreetokeepconfidentialanyproprietaryorconfidentialinformationdisclosedduringtheperformanceofthisContract.6.2TheobligationofconfidentialityshallsurvivetheterminationorexpirationofthisContract.7.GoverningLawandDisputeResolution7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheParties.7.3IfthePartiesfailtoresolvethedisputeamicablywithin[number]days,eitherPartymayinitiatemediationorarbitrationproceedingsinaccordancewiththeapplicablelaws.8.EntireAgreement8.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallpriordiscussions,negotiations,andunderstandings,whetheroralorwritten.8.2AnymodificationsoramendmentstothisContractshallbeinwritingandsignedbybothParties.INWITNESSWHEREOF,thePartieshaveexe
