東亞糖業(yè)咨詢服務(wù)合同書ConsultationServiceContract甲方:南寧東亞糖業(yè)集團(tuán)有限公司(PartyA:NanningEastAsiaSugarGroupCo.,Ltd.)乙方:南寧至哲企業(yè)治理顧咨詢有限公司(PartyB:NanningZhizheQiyeGuanliGuwenCo.,Ltd.)按照《中華人民共和國合同法》的規(guī)定,甲、乙雙方本著互惠互利,真誠合作的原則,決定就共同完成甲方治理咨詢項(xiàng)目簽訂本合同。InaccordancewithTheContractLawofthePeople’sRepublicofChina,andontheprincipleofequalityandmutualbenefitandthroughasincerecooperation,thetwoPartiesagreetoco-workinPartyA’smanagementconsultationprojectasfollows:1、合同標(biāo)的BidfortheContract1.1服務(wù)項(xiàng)目ServiceItems乙方及其合作伙伴深圳市東方大成治理咨詢有限公司共同為甲方提供治理改善咨詢和培訓(xùn)服務(wù)。PartyBanditsbusinesspartnerShenzhenOrientalWisdomConsultationCo.,Ltd.committoprovidePartyAwithmanagementimprovementconsultationandtrainingservice.1.2服務(wù)內(nèi)容ContentsofService乙方指導(dǎo)甲方進(jìn)行治理系統(tǒng)完善,建立現(xiàn)代企業(yè)人力資源治理體系,從事治理規(guī)范化、職員職業(yè)化、治理人員能力素養(yǎng)提升等方面的咨詢或培訓(xùn)。服務(wù)內(nèi)容包括:PartyBwillassistPartyAinthismanagementimprovementprojectbasedonbuildingamodernhumanresourcemanagementsystem,bringingitsbusinessadministrationintoastandardizedoperation,developingavocationaleducationand,advancingitsmanagers’competenciesthroughtraining.Servicecontentsasfollows:No服務(wù)項(xiàng)目Serviceitems結(jié)果提交形式Resultstobesubmitted1公司戰(zhàn)略梳理Corporatestrategy東亞糖業(yè)集團(tuán)公司遠(yuǎn)景、企業(yè)文化、經(jīng)營理念及戰(zhàn)略目標(biāo)文本。WrittendocumentsofEastAsiaSugarGroup’scorporatevision,corporateculture,businesstenetand,strategicgoals.2組織架構(gòu)/部門職能/關(guān)鍵業(yè)務(wù)流程梳理Organizationframework/Departmentfunction/Keyflows東亞糖業(yè)集團(tuán)新的組織架構(gòu)圖、部門職能描述、關(guān)鍵業(yè)務(wù)流程治理手冊,治理人員權(quán)限表,提供組織及流程設(shè)計(jì)培訓(xùn)HandbookofEastAsiaSugarGroup’sorganizationframeworkchart,descriptionsofdepartmentsfunctions,andflowchartsofkeyoperationprocesses;Permissionformformanagers;Trainingfororganizationframeworkandflowchartdesign3崗位講明書完善及工作標(biāo)準(zhǔn)設(shè)計(jì)Jobdescriptionreviewandjobstandarddesign公司各部門崗位講明書檢查與完善;公司各崗位工作標(biāo)準(zhǔn)設(shè)計(jì);全職員作標(biāo)準(zhǔn)訓(xùn)練。Reviewofjobdescriptions,designofjobstandardsforeachpost,employeetraininginjobstandards.4職員職業(yè)規(guī)范及輔導(dǎo)draftingvocationalbehaviorscriteria,andtutoring《一樣職員職業(yè)行為規(guī)范》,《治理人員職業(yè)行為規(guī)范》及其相應(yīng)培訓(xùn)輔導(dǎo)課程;全員職業(yè)化訓(xùn)練。Draftingemployees’andmanagers’vocationalbehaviorscriteria,designingvocationaleducationtrainingcourses,implementingemployeevocationaleducation&training5績效治理體系完善Performancemanagementsystem《東亞糖業(yè)集團(tuán)績效治理手冊》、《東亞糖業(yè)集團(tuán)關(guān)鍵業(yè)績指標(biāo)手冊》、《東亞糖業(yè)集團(tuán)2005年度績效治理實(shí)施指南》及有關(guān)培訓(xùn)Handbookofperformancemanagement,handbookofKPI,performancemanagementimplementingguidelineincalendar2005,trainingforperformancemanagementsystemdesign6薪酬福利體系完善Payandbenefits《東亞糖業(yè)集團(tuán)職位評判手冊》、《東亞糖業(yè)集團(tuán)薪酬治理手冊》及有關(guān)培訓(xùn)Handbookofpostevaluationandgrading,handbookofpayandbenefitsmanagement,andtrainingforpostevaluationandpaymanagementsystemdesign7全面鼓舞體系設(shè)計(jì)Comprehensivemotivation《東亞糖業(yè)集團(tuán)全面鼓舞治理手冊》、《東亞糖業(yè)集團(tuán)治理人員競爭上崗治理方法》、《東亞糖業(yè)集團(tuán)聘請治理手冊》及有關(guān)培訓(xùn)Handbookofcomprehensivemotivationmanagement,managementmeasureofcompetitionformanagementpositions,handbookofrecruitmentmanagement,andrelevanttraining8培訓(xùn)體系設(shè)計(jì)Trainingsystemandmgt.training《東亞糖業(yè)集團(tuán)培訓(xùn)治理制度》,培訓(xùn)體系設(shè)計(jì)培訓(xùn)Trainingmanagementsystemdesign,andrelevanttrainingforthisdesign9治理制度整合及完善Integratingofrulesandregulations《東亞糖業(yè)集團(tuán)人事治理制度》、《東亞糖業(yè)集團(tuán)勞動(dòng)關(guān)系處理規(guī)范》、獎(jiǎng)懲制度Mainlyas:personnelmanagementsystem,employeerelationmanagementregulations,rewardandpunishmentregulations10項(xiàng)目總結(jié)projectsum-up治理改善系統(tǒng)方案匯編、宣講,客戶中意度調(diào)查,等等。Compilationandpropagandizingoftheprojectsolutions,andsatisfactionlevelsurvey,etc.11直線經(jīng)理人力資源治理培訓(xùn)TraininglinemanagersforHRM各級治理人員人力資源治理課程培訓(xùn)(12天)Providea12-daytrainingforlinemanagers1.3服務(wù)目標(biāo):TargetsofService通過治理改善項(xiàng)目的實(shí)施,完善甲方的人力資源治理體系,實(shí)現(xiàn)治理規(guī)范化、職員職業(yè)化、治理人員能力素養(yǎng)的提升,有利于戰(zhàn)略進(jìn)展目標(biāo)的達(dá)成。1.4服務(wù)范疇:ScopeofService南寧東亞糖業(yè)集團(tuán)有限公司。ForandwithinNanningEastAsiaSugarGroupCo.Ltd.only2、履行期限Termofperformance雙方?jīng)Q定乙方顧咨詢?nèi)腭v日期為2005年4月6日,估量項(xiàng)目完成時(shí)刻為4個(gè)月。咨詢項(xiàng)目自乙方顧咨詢?nèi)腭v甲方開始至項(xiàng)目完成經(jīng)甲方驗(yàn)收合格止。ThetwoPartiesagreetostartupthisprojectsince6May,2005,andit’sexpectedthatitwilllastfourmonthsuntiltheprojectsolutionsarecheckedandacceptedbyPartyA.3、雙方責(zé)任ResponsibilitiesofEachParty3.1甲方責(zé)任ResponsibilitiesofPartyA3.1.1甲方應(yīng)高度重視公司治理改善項(xiàng)目的實(shí)施,對乙方的工作提供支持,負(fù)責(zé)和諧內(nèi)部各部門及各工廠的關(guān)系,調(diào)動(dòng)有關(guān)的資源,提供有關(guān)數(shù)據(jù)資料及方案文字處理等工作。被雙方認(rèn)可的工作或方案,在甲方組織中的貫徹、推動(dòng),由甲方負(fù)責(zé)。PartyAshouldtakespecialemphasisonthismanagementimprovementproject,andofferPartyBallnecessaryassistanceincoordinatingcross-sectionrelations,deployingrelatedresourcesand,providingrelevantdatainformationandwordprocessingservice.ProjectsolutionsthathavebeenapprovedbythetwopartiesshallbepromotedandimplementedbyPartyA.3.1.2甲方負(fù)責(zé)與該項(xiàng)目有關(guān)的第三方進(jìn)行和諧,以保證項(xiàng)目的順利進(jìn)行。PartyAshallberesponsibleforcoordinatingwiththethirdpartyrelatingtothisprojectsoastoensureitinrightprogress.3.1.3甲方應(yīng)按合同要求支付咨詢費(fèi)用。PartyAshouldpayPartyBconsultationchargeinaccordancewiththeprovisionsofthecontract.3.1.4甲方向乙方顧咨詢提供在甲方工作時(shí)必要的辦公條件(如辦公室、市話),并為乙方顧咨詢提供簡便的午餐。3.1.5甲方應(yīng)確保項(xiàng)目運(yùn)作期間組織人員的穩(wěn)固。PartyAshouldassureastablecoordinationteamduringtheprojectinprogress.3.1.6乙方提交的時(shí)期性方案甲方應(yīng)在5個(gè)工作日內(nèi)予以回復(fù),最終方案應(yīng)在10個(gè)工作日內(nèi)回復(fù);如甲方在5個(gè)工作日后未予時(shí)期性方案明確答復(fù),乙方將視為甲方默許,能夠開展下一時(shí)期的工作;如甲方在10個(gè)工作日內(nèi)未予最終方案明確回復(fù),乙方將視為甲方同意。PartyAshouldrespondintimetoPartyBonitssolutionssubmitted,say,offeringtheiropinionsaboutthephasesolutionswithinfiveworkingdays,andaboutthefinalsolutionswithintenworkingdays.ShouldPartyAbeunabletogiveafeedbackonthephasesolutionswithinfiveworkingdays,PartyBwilltakeitacquiescedbyPartyAandwillcontinuetheworkofnextphase.ShouldPartyAbeunabletogiveafeedbackonthefinalsolutionswithintemworkingdays,PartyBwilltakeitacceptedbyParty.3.2乙方責(zé)任ResponsibilitiesofPartyB3.2.1乙方應(yīng)按合同第1.2條規(guī)定的內(nèi)容為甲方提供咨詢服務(wù)。ProvidingconsultationserviceinaccordancewiththeprovisionsofArticle1.2.3.2.2乙方負(fù)責(zé)咨詢打算的制定、方法的傳授、工具的提供及方案設(shè)計(jì)。Responsibleforestablishingaconsultationplan,tutoringPartyAadvancedmanagementmeansandtools,anddesigningtheprojectsolutions.3.2.3乙方應(yīng)按照合同規(guī)定的時(shí)刻、進(jìn)度保質(zhì)保量完成工作。Fulfillingthespecifictasksandonscheduleandingoodqualityandquantity.3.2.4乙方應(yīng)確保項(xiàng)目組的穩(wěn)固性,保證進(jìn)場顧咨詢的專業(yè)水平。Insuringastableconsultingteamaswelltheprofessionallevelofitsconsultants.3.2.5乙方應(yīng)盡力協(xié)助甲方與項(xiàng)目有關(guān)的第三方進(jìn)行和諧。AssistingPartyAincoordinatingwiththethirdpartyrelevanttothisproject.3.2.6負(fù)責(zé)對甲方有關(guān)治理人員的培訓(xùn),使甲方人員具備治理體系運(yùn)作能力。ResponsiblefortrainingthemanagersofPartyAsothattheycanbecapableofrunningthisnewmanagementsystem.3.2.7乙方完成工作后,應(yīng)向甲方提供許多于一套的文字材料和電子文檔。乙方提供的服務(wù)成果應(yīng)盡可能做到通俗易明白。ProvidingPartyAwithatleastasetofconsultationdocumentsbothinwrittenandelectronicformwhenthewholeprojectisdone.Tryingtomakethesolutionssimple,understandableandfeasible.4、文件的傳達(dá)Deliveringofdocuments4.1在本合同執(zhí)行期內(nèi)(含跟蹤服務(wù)期),甲方與乙方之間所有的正式通知及文件均采納書面形式傳達(dá)給對方。Withinthevalidityofthecontract(theserviceperiodincluded),alltheformalnoticesandfilestoandfromthetwopartiesshallbedeliveredinwrittenpaper.5、工作的開展Theoperationofconsultingproject5.1項(xiàng)目正式啟動(dòng)后,甲方和乙方共同組建一個(gè)咨詢項(xiàng)目委員會(huì),由雙方的高層治理人士負(fù)責(zé)。Whentheprojectisstartup,PartyAandPartyBshalljointlyestablishaConsultationCommitteeconsistingofthetopmanagersofthetwoparties.5.2為確保咨詢服務(wù)的質(zhì)量和進(jìn)度,乙方托付深圳市東方大成治理咨詢有限公司作為合作伙伴,共同組成咨詢項(xiàng)目小組開展對甲方的咨詢服務(wù)工作。小組成員構(gòu)成如下:乙方項(xiàng)目經(jīng)理1人(彭榮模先生),治理顧咨詢1-2人(陳耀忠先生、黃道銀先生)。乙方在通過甲方同意,確保項(xiàng)目經(jīng)理不變的情形下可增加、調(diào)配顧咨詢組成員。Toguaranteethequalityandprogressoftheconsultationproject,PartyBconsignsShenzhenOrientalWisdomManagementConsultationCo.,Ltd.asitsbusinesspartner.TheywilljointlysetupaconsultingteamtoserveforPartyB.Theteammembersconsistofoneprojectmanager(PengRongMo,Mr.)andtwoorthreeconsultants(ChenYaoZhong,Mr.;HuangDaoYin,Mr.).WiththeagreeingofPartyA,PartyBcanincreaseoradjustconsultants.5.3甲方有權(quán)對乙方配備的服務(wù)咨詢?nèi)藛T提出建議,并可要求乙方更換咨詢?nèi)藛T。PartyAhastherighttogivesuggestionstoPartyBconsultants,andtoaskPartyBtoreplaceitsconsultants.5.4甲方應(yīng)按照乙方的提議成立項(xiàng)目配合小組,負(fù)責(zé)聯(lián)系及和諧工作,配合項(xiàng)目執(zhí)行。PartyAwillsetupacoordinationteamasperPartyB’ssuggestiontoworkincontactandcooperationbetweenthetwopartiesandwithinPartyA’sdepartmentsandfactories,andberesponsibleforbringingtheprojectsolutionsintoeffect.5.5甲方治理層應(yīng)該提供的有關(guān)信息,安排治理人員及職員與咨詢顧咨詢相互合作、共同遵照咨詢服務(wù)項(xiàng)目治理程序。乙方將全程培訓(xùn)甲方有關(guān)職員,做到知識轉(zhuǎn)移。ThemanagersofPartyAshouldprovidePartyBwithrelevantdatainformationandaskitsmanagementstaffsandemployeestocooperatewithPartyBconsultantssothattheycanjointlyabidebythespecifiedconsultationmanagementprocesses.PartyBshalloffertherelevantemployeesofPartyAaseriesoftrainingcourses.6、乙方的承諾CommitmentofPartyB6.1乙方保證為甲方培訓(xùn)出能熟練實(shí)施運(yùn)作該項(xiàng)目所設(shè)計(jì)的實(shí)施方案的治理干部。AssuringtohelpPartyAtrainingthedesignatedmanagerstobecapableofusingtheprojectsolutions.6.2乙方保證對甲方的經(jīng)營治理資料進(jìn)行保密。KeepingPartyA’sbusinessdatainformationasecret.7、后續(xù)服務(wù)Succeedingservice咨詢服務(wù)基礎(chǔ)工作完成后半年內(nèi),乙方的治理顧咨詢按照甲方項(xiàng)目推行的需要定期到甲方解決有關(guān)咨詢題,進(jìn)行免費(fèi)跟蹤服務(wù),平常以電話、電郵形式交流。8、其它責(zé)任Otherresponsibilities8.1甲方任何人員不得以任何方式向與本合同無關(guān)的第三方泄露乙方為甲方服務(wù)的收費(fèi)情形。為此,甲方須于內(nèi)部操縱收費(fèi)知情范疇。AnypersonfromPartyAisnotallowedtoreleasetheinformationonconsultationchargetoanyirrelevantthirdPartyinanyway.TherebyPartyAshouldcontroltheinformationfrominside.AnypersonfromPartyBisnotallowedtoleakPartyA’sbusinesssecretstoanythirdPartyinanyway.PartyA’sbusinessinformationanddocumentsarenotpermittedtospreadoutsidetheconsultingteamofPartyB.8.3甲方對乙方完成服務(wù)工作后交付的服務(wù)成果(含建議書、方案及其有關(guān)文字資料等)有所有權(quán),并對后繼改進(jìn)的成果有所有權(quán)。PartyAholdsownershipovertheconsultationresultssubmittedbyPartyB(incl.proposal,solutions,andanyrelevantwrittendocuments,etc.),andoverthesucceedingimprovedresultsaswell.9、工作成果的確認(rèn)與驗(yàn)收Approvalandacceptanceofthesolutions9.1由甲方與乙方共同成立的咨詢項(xiàng)目委員會(huì)負(fù)責(zé)驗(yàn)收,咨詢項(xiàng)目小組與項(xiàng)目配合小組協(xié)助驗(yàn)收;TheConsultationCommitteewillberesponsibleforapprovingtheprojectsolutions,withthehelpofthePartyB’sconsultingteamandPartyA’scoordinatingteam.9.2驗(yàn)收標(biāo)準(zhǔn)由甲方與乙方共同商定(滿足甲方的需求)。Theapprovalandacceptancecriteriawillbedecidedbythetwopartiesthroughconsultation,satisfyingPartyA’srequirements.10、咨詢費(fèi)用及付款方式ConsultationchargesandPayment10.1甲方支付乙方的工作咨詢服務(wù)費(fèi)為人民幣壹佰貳拾捌萬伍仟元整(RMB1,285,000);PartyAshallpaytoPartyBatotalconsultationservicechargeofRMB1,285,000.00.10.2在項(xiàng)目服務(wù)實(shí)施過程中,如顯現(xiàn)超出或少于本合同第1.2款規(guī)定的內(nèi)容,則服務(wù)費(fèi)用將作相應(yīng)的增加或減少調(diào)整;Duringtheperiodofconsultationservice,iftheprovidedcontentsofserviceinArticle1.2areincreasedorreduced,thenthepaymentwillbealsoincreasedorreducedaccordingly.10.3全部咨詢費(fèi)用分三期支付:Paymentfortheconsultationserviceshallbemadebythreetimes:(1)2005年4月12日前甲方向乙方支付總咨詢費(fèi)用的35%,即人民幣肆拾肆萬玖仟柒佰伍拾元整(RMB449,750);PartyAshouldpaytoPartyB35%(RMB449,750)ofthetotalconsultationchargebefore12May,2005.(2)在乙方完成了工作標(biāo)準(zhǔn)設(shè)計(jì)與培訓(xùn)、職業(yè)規(guī)范手冊及輔導(dǎo)、績效治理體系設(shè)計(jì)、薪酬福利體系設(shè)計(jì)、全面鼓舞體系設(shè)計(jì)與培訓(xùn)體系設(shè)計(jì),并經(jīng)甲方審批后支付總咨詢費(fèi)用的40%,即人民幣伍拾伍萬肆仟元整(RMB514,000)AfterPartyBhascompletedthefollowingfiveitemsofjob(i.e.jobstandardsdesignandrelevanttraining,vocationalbehaviorscriteriadesignandvocationaltraining,andthedesigningofperformancemanagementsystem,payandbenefitssystem,comprehensivemotivationsystemandtrainingsystem)whichareapprovedbyPartyA,thenPartyAshouldpaytoPartyBanother40%(RMB514,000)ofthetotalconsultationcharge.(3)在項(xiàng)目終止審批后的三天內(nèi)支付總咨詢費(fèi)用的25%,即人民幣叁拾貳萬壹仟貳佰伍拾元整(RMB321,250);Withinthreedayssincethesolutionshavebeenapproved,PartyAshouldpaytoPartyBanother25%(RMB321,250)ofthetotalconsultationcharge.11、合同的終止與解除TerminationandrescissionofContract11.1本合同至雙方責(zé)任義務(wù)履行完畢后終止。Thecontractwillbeterminatedwhenthetwopartieshavefulfilledtheirrespectiveresponsibilitiesandobligations.11.2乙方的時(shí)期性工作成果如多次不能得到咨詢項(xiàng)目委員會(huì)的認(rèn)可,甲方可單獨(dú)解除合同。PartyAmayunilaterallyrescindthecontractprovidedthatPartyB’sphaseresultscouldn’tbeapprovedbytheConsultationCommittee.11.3甲方如逾期十天未支付服務(wù)費(fèi),乙方可單方終止合同。PartyBmayunilaterallyrescindthecontractprovidedPartyAfailstopaytoPartyBexceedingthetimelimitoftendays.12、違約責(zé)任LiabilityforBreach12.1合同雙方在合同期內(nèi)如無法定的或本合同約定的情形不得解除合同,任何一方單方終止合同應(yīng)向?qū)Ψ饺嗣駧盼槿f元(RMB50,000)作為違約金。Nopartyshallrescindthecontractduringitsvalidityunlessthelegalorprovidedconditionsinthecontractoccur.EitherpartywhounilaterallyterminatesthecontractshallpaytotheotherpartyafineofRMB50,000.13、其它事項(xiàng)與合同生效Otheritemsandvalidityofco
