SHAREREDEMPTIONTHISSHAREREDEMPTIONAGREEMENT(this"Agreement")ismadeandenteredintoasofOctober10,2017byandamong:SpottedHarrierLimited,alimitedcompanyorganizedandexistingSHAREREDEMPTIONTHISSHAREREDEMPTIONAGREEMENT(this"Agreement")ismadeandenteredintoasofOctober10,2017byandamong:SpottedHarrierLimited,alimitedcompanyorganizedandexistingunderthelawsoftheBritishVirginIslands(the"RedeemedShareholder");DAOCLOUDTechnologyCo.,Ltd,anexemptedcompanyincorporatedandexistingunderthelawsoftheCaymanIslands(the"Company");CHENQiyan(陳齊彥),acitizenofthePRCwithidentitycardGUOFeng),acitizenofthePRCwithidentitycarandYANKai(顏開(kāi)),acitizenofthePRCwithidentitycard(Theparties3,4and5abovearecollectivelyreferredtoasthe"Guarantors"andeacha"Guarantor".)ThepartiesheretoandcertainotherpartiesnamedthereinhaveenteredintoRestructuringandInvestmentFrameworkAgreement重組及投資框架協(xié)議datedthesamedatehereof(the"FrameworkAgreement").TheRedeemedShareholdercurrentlyowns33,333,334sharesofseriespreferredshares,parvalueUS$0.00005each,oftheCompany(the"PreferredPursuanttotheFrameworkAgreement,theCompanydesirestorepurchasetheRedeemedShareholder,andtheRedeemedShareholderdesirestoselltotheCompany,allofthePreferredShares(the"RedeemedShares")ownedbytheRedeemedShareholderasofthedatehereofonthetermsandconditionssetforthherein(the"Redemption").NOW,THEREFORE,inconsiderationoftheforegoingrecitals,themutualpromiseshereinaftersetforth,andothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesherebyagreeasfollows:AGREEMENTTOSubjecttothetermsandconditionshereof,theherebyagreestorepurchasefromtheRedeemedShareholder,andtheRedeemedherebyagreestoselltotheCompany,theRedeemedShares,freeandclearofalllien,encumbrance,pledge,mortgage,deedoftrust,securityinterest,claim,lease,charge,option,easement,servitudeortransferrestrictions(collectively,the"Encumbrance"),atanaggregatepriceofaUS$amount(the"RedemptionPrice")equivalenttoRMB2,446,274(RMBtoUS$exchangerateshallbetheexchangeratethattheDomesticCompany(asdefinedbelow)obtainsfromtherelevantbankonthedatewhenitactuallyproceedsthepaymentfortheWFOETransfer(asdefinedbelow)).TheclosingoftheRedemptionshalltakeUS$exchangerateshallbetheexchangeratethattheDomesticCompany(asdefinedbelow)obtainsfromtherelevantbankonthedatewhenitactuallyproceedsthepaymentfortheWFOETransfer(asdefinedbelow)).TheclosingoftheRedemptionshalltakeplaceremotelyexchangeofdocumentsandsignatureswithinfive(5)BusinessDaysafterthefulfillmentorotherwisewaiveroftheclosingconditionsunderSections4and5hereof,oratsuchothertimeorplaceasthepartiesheretomaymutuallyagreeupon,butinnocaselaterthansix(6)monthsaftercompletionofthefilingwiththerelevantPRCgovernmentalbureauofcommerceregardingacquisitionoftheWFOE’sequitybytheDomesticCompany,unlessotherwiseprovidedintheFrameworkAgreement)(theForpurposeofAgreement,the"BusinessDay"shallmeananydaythatisnotaSaturday,Sunday,legalholidayorotherdayonwhichcommercialbanksarerequiredorauthorizedbylawtobeclosedinthePRCandHongKong.PaymentofRedemptionAttheClosing,theRedemptionPriceshallpaidbytheCompanybywiretransferofimmediatelyavailablefundstoabankaccountdesignatedbytheRedeemedShareholder. DeliveriesafterWithinthree(3)BusinessDaysafterreceivingRedemptionPrice,theRedeemedShareholdershallsurrendertotheCompanyforcancellationitscertificatesrepresentingalloftheRedeemedSharesbeingredeemed.REPRESENTATIONSANDWARRANTIESOFREDEEMEDTheRedeemedShareholderrepresentsandwarrantstotheCompanythatthefollowingstatementsaretrue,correctandcompleteonthedatehereofandattheClosingasifmadeoneachofthosedates:TheRedeemedShareholderistheowner,beneficiallyandrecord,oftheRedeemedShares,freeandclearofanyDueTheRedeemedShareholderhasallrequisiteauthorityandcapacitytoenterintothisAgreement,andtoperformitsobligationsAllactionsonthepartoftheRedeemedShareholdernecessaryfortheauthorization,execution,deliveryandperformanceofthisAgreement,andtheperformanceofalloftheRedeemedShareholder’sobligationsunderthisAgreement,hasbeentakenorwillbetakenpriortotheThisAgreement,whenexecutedanddeliveredbytheShareholder,willconstituteitsvalidandlegallybindingobligations,except(i)aslimitedapplicablebankruptcy,insolvency,reorganization,moratorium,andotherlawsofgeneralapplicationaffectingenforcementofcreditors’rightsgenerally,and(ii)aslimitedbylawsrelatingtotheavailabilityofspecificperformance,injunctiverelief,orotherequitableGovernmentalAuthorizationandThirdPartyAnyandallconsent,compliance,exemption,authorization,orotheractionbyornoticeto,orfilinganygovernmentalauthorityinrespectofanyrequirementsoflawsoranyotherperson,whichisnecessaryorrequiredbytheRedeemedShareholderinconnectionwiththevalidexecution,deliveryorperformancebyitofthisAgreement,andtheconsummationofthetransactionscontemplatedbythisAgreement,havebeenmadeorobtainedpriortoandbeeffectiveasof3theClosingandareinfullforceandeffectasoftheClosing.Theexecution,deliveryandperformanceofandcompliancewiththisAgreement,andtheconsummationofthetransactionscontemplatedherebybytheRedeemedShareholderwillnotresultinanysuchviolation,breachordefault,orbeinconflictwithorconstitute,withorwithoutthepassageoftimeorthegivingofnoticeorboth,eitheradefaultunderanycontracttowhichthetheClosingandareinfullforceandeffectasoftheClosing.Theexecution,deliveryandperformanceofandcompliancewiththisAgreement,andtheconsummationofthetransactionscontemplatedherebybytheRedeemedShareholderwillnotresultinanysuchviolation,breachordefault,orbeinconflictwithorconstitute,withorwithoutthepassageoftimeorthegivingofnoticeorboth,eitheradefaultunderanycontracttowhichtheRedeemedShareholderisapartyorbywhichRedeemedShareholderoritsmaterialpropertyortheRedeemedSharesmaybebound.GoodTheRedeemedShareholderisacompanydulyandvalidlyexistingingoodstandingunderthelawsofthejurisdictionofitsNoThereshallnotbeanyaction,suit,proceeding,arbitrationorinvestigationpendingorpotentiallitigiousmatters,ordersofacourtofcompetentjurisdictionoranyrulingofanygovernmentalauthorityoranyconditionimposedunderanyrequirementoflawwhichwouldprohibit,restrictordelaytheRedemptionortheconsummationofthetransactionscontemplatedbythisAgreement.REPRESENTATIONSANDWARRANTIESOFTHETheCompanyrepresentsandwarrantstotheRedeemedShareholderthatthefollowingstatementsaretrue,correctandcompleteonthedatehereofandattheClosingasifmadeoneachofthosedates:capacitytoDueTheCompanyhasallrequisitepower,authorityenterintothisAgreement,andtoperformitsobligationshasbeendulyauthorized,executedanddeliveredbytheAgreement,whenexecutedanddeliveredbytheCompany,willconstituteitsvalidlegallybindingobligations,except(i)aslimitedbyapplicablebankruptcy,insolvency,reorganization,moratorium,andotherlawsofgeneralapplicationaffectingenforcementofcreditors’rightsgenerally,and(ii)aslimitedbylawsrelatingtotheavailabilityofspecificperformance,injunctiverelief,orotherequitableremedies..GovernmentalAuthorizationandThirdPartyAnyandallconsent,compliance,exemption,authorization,orotheractionbyornoticeto,orfilinganygovernmentalauthorityinrespectofanyrequirementsoflaworanyotherperson,whichisnecessaryorrequiredbytheCompanyinconnectionwiththeexecution,deliveryorperformancebytheitofthisAgreementhavebeenmadeorobtainedtoandbeeffectiveasoftheTheexecution,deliveryandperformanceofandcompliancewithAgreement,andtheconsummationofthetransactionscontemplatedherebybythewillnotresultinanysuchviolation,breachordefault,orbeinconflictwithorconstitute,withorwithoutthepassageoftimeorthegivingofnoticeorboth,eitheradefaultunderanycontracttowhichtheCompanyisaparty.CONDITIONSTOCOMPANY’SOBLIGATIONSTOTheCompany’sobligationstorepurchasetheRedeemedSharesattheClosingaresubjecttothefulfillmentonorbeforetheClosingofeachofthefollowingconditions,unlesswaivedinwritingbytheCompanyattheClosingorunlessotherwiseprovidedintheFrameworkAgreement:4RepresentationsandWarrantiesTrueandTherepresentationswarrantiesmadebytheRedeemedShareholderinSection2hereofshallbetrue,correctandcompletewhenmade,andshallbetrue,correctandcompleteasofthedateoftheClosingwiththesameforceandeffectasiftheyhadbeenmadeonandasofsuchdate;ProceedingsRepresentationsandWarrantiesTrueandTherepresentationswarrantiesmadebytheRedeemedShareholderinSection2hereofshallbetrue,correctandcompletewhenmade,andshallbetrue,correctandcompleteasofthedateoftheClosingwiththesameforceandeffectasiftheyhadbeenmadeonandasofsuchdate;ProceedingsandAllcorporateandotherproceedingsofconnectionwiththetransactionscontemplatedherebyandalldocumentsandinstrumentsincidenttosuchtransactionsshallhavebeendulycompletedand/orexecutedanddelivered;Executionof EachofthepartieshaveexecutedandthisTransferoftheThetransfer(the"WFOETransfer")oftheequityinterestinShanghaiDaokeInternetandTechnologyCo.,Ltd.(上海道科網(wǎng)絡(luò)科技有限公司)(the"WFOE")byDAOCLOUDInternetTechnologyCo.,Limited(the"HKCompany")toShanghaiDockerInternetandTechnologyCo.,Ltd(上海道客網(wǎng)絡(luò)科技有限公司)(the"DomesticCompany")ascontemplatedundertheFrameworkAgreementhasclosed,andtheHKCompanyhasreceivedanddistributedtheafter-taxtransferpriceforsuchWFOETransfertotheCompany. TheRedeemedShareholder’sobligationstoselltheRedeemedSharesattheClosingaresubjecttothefulfillmentonorbeforetheClosingofeachofthefollowingconditions,unlesswaivedinwritingbytheRedeemedShareholderattheClosing:RepresentationsandTherepresentationsandwarrantiesmadetheCompanyinSection3hereofshallhavebeentrueandcompletewhenmadeandshalltrueandcompleteonandasoftheClosingwiththesameeffectasthoughsuchrepresentationsandwarrantieshadbeenmadeonandasofthedateoftheClosing,exceptforthoserepresentationsandwarrantiesthataddressmattersonlyasofaparticulardate,whichrepresentationswillhavebeentrueandcompleteasofsuchparticulardate;andExecutionofEachofthepartieshaveexecutedandthisGUARANTEE.TheGuarantorsherebyabsolutely,unconditionallyandirrevocablyguaranteejointlyandseverallytotheRedeemedShareholderthepaymentoftheRedemptionPricebytheCompanypursuanttotermsofthisAgreement ThetermsandconditionsandtheexistenceofAgreementandallexhibitsandschedulesattachedhereto,shallbeconsideredinformationandshallnotbedisclosedbyanypartyheretotoanythirdparty;providedthatsuchconfidentialinformationshallnotincludeanyinformationthatisinthepublicdomainotherthancausedbythebreachoftheconfidentialityobligationshereunder.5FurtherEachpartyshallfromtimetotimeandatallhereaftermake,do,execute,orcauseorprocuretobemade,doneandexecutedsuchfurtheracts,deeds,conveyances,consentsandassuranceswithoutfurtherconsideration,whichmayreasonablyberequiredtoeffectthetransactionscontemplatedbythisAgreement.GoverningThisAgreementshallbegovernedbyFurtherEachpartyshallfromtimetotimeandatallhereaftermake,do,execute,orcauseorprocuretobemade,doneandexecutedsuchfurtheracts,deeds,conveyances,consentsandassuranceswithoutfurtherconsideration,whichmayreasonablyberequiredtoeffectthetransactionscontemplatedbythisAgreement.GoverningThisAgreementshallbegovernedbyandexclusivelyinaccordancethelawsofHongKongwithoutgivingeffecttoanychoiceofrulethatwouldcausetheapplicationofthelawsofanyjurisdictionotherthanthelawsofHongKongtotherightsanddutiesofthepartieshereunder.DisputeAnydispute,controversyorclaim(each,aarisingoutoforrelatingtothisAgreement,ortheinterpretation,breach,termination,orinvaliditythereof,shallbereferredtoarbitrationuponthedemandofeitherpartytothedisputewithnotice(the"ArbitrationNotice")totheother.TheDisputeshallbesettledbyarbitrationinHongKongbytheHongKongInternationalArbitrat
