甲方授予乙方獨(dú)立完成項(xiàng)目（產(chǎn)品）開(kāi)發(fā)的權(quán)利，不參與或者干預(yù)乙方項(xiàng)目（產(chǎn)品）開(kāi)發(fā)活動(dòng)。V.PartyBgrantedindependencetocompletetheproject(product)developmentrights,donotparticipateinorinterferepartyproject(product)developmentactivities.

甲方授予乙方產(chǎn)品冠名權(quán)，即在產(chǎn)品名稱(chēng)中冠以甲、乙雙方商號(hào)或單獨(dú)冠以乙方商號(hào)。VI.PartyBproductsgrantednamingrightsthatprecededtheproductnameintheAandBsidesofafirmorindividuallabeledBfirm.第七條甲方提供產(chǎn)品技術(shù)支持，乙方負(fù)責(zé)項(xiàng)目（產(chǎn)品）開(kāi)發(fā)工作，甲乙雙方承擔(dān)產(chǎn)品的開(kāi)發(fā)費(fèi)用各一半。VII.Partytoprovideproductsupport,Bisresponsiblefortheproject(product)developmentwork,bothpartiesbearthedevelopmentcostsofeachhalf.第八條

乙方承諾甲方享有項(xiàng)目（產(chǎn)品）_____%的產(chǎn)權(quán)。VIII.RelatedPartyPartycommitmentitem(product)_____%oftheproperty.第九條

乙方承諾不得在本項(xiàng)目（產(chǎn)品）之外，擅自使用或許可他人使用甲方授權(quán)的知識(shí)產(chǎn)權(quán)；IX:PartyBundertakesnotbeoutsideofthisproject(product),unauthorizeduseorpermitotherstouseauthorizedpartyintellectualpropertyrights;

乙方承諾不得就甲方向第三人許可使用此知識(shí)產(chǎn)權(quán)開(kāi)發(fā)同類(lèi)項(xiàng)目（產(chǎn)品）提出異議。X.PartyBshallnotcommittedtolicensethisintellectualpropertytodevelopsimilarprojects(product)tothethirdobjectionisraised.第十一條在約定周期內(nèi)，甲方未進(jìn)行項(xiàng)目（產(chǎn)品）開(kāi)發(fā)的，本合作協(xié)議自動(dòng)終止。在約定期限內(nèi)，乙方未完成項(xiàng)目（產(chǎn)品）開(kāi)發(fā)的，應(yīng)提前向甲方提出項(xiàng)目（產(chǎn)品）開(kāi)發(fā)延期請(qǐng)求并說(shuō)明原因；未提出請(qǐng)求的，本合作協(xié)議自動(dòng)終止。在約定期限內(nèi)，乙方完成項(xiàng)目（產(chǎn)品）開(kāi)發(fā)的，應(yīng)在約定的開(kāi)發(fā)周期結(jié)束后一個(gè)月內(nèi)向甲方提交項(xiàng)目（產(chǎn)品）開(kāi)發(fā)報(bào)告書(shū)；取得開(kāi)發(fā)成果的，一并提交相關(guān)賬冊(cè)，由雙方依約分配開(kāi)發(fā)成果。XI.Withintheagreedperiod,thePartydidnotproject(product)development,thisagreementisautomaticallyterminated.Withintheagreedperiod,PartyBfailstocompletetheproject(product)development,shallsubmittheirproject(product)developmentofextensionrequestsandthereasonstoparty;notmakingtherequest,thisagreementisautomaticallyterminated.Withintheagreedperiod,PartyBtocompletetheproject(product)development,shouldbesubmittedwithinonemonthofPartyproject(product)attheendoftheagreeddevelopmentcycledevelopmentreport;toachievedevelopmentresults,andsubmittherelevantbooks,bythepartiesinaccordancewithaboutdistributiondevelopments.第十二條任何一方隱瞞、少報(bào)合作項(xiàng)目（產(chǎn)品）收益的，或獨(dú)自占有合作項(xiàng)目（產(chǎn)品）全部收益的，除了賠償另一方因此而遭受的全部損失費(fèi)用外，還應(yīng)支付對(duì)方違約金，違約金按照全部損失費(fèi)用的三倍計(jì)算，最少不低于人民幣元。XII.Anypartytoconceal,under-reportingcooperationproject(product)earnings,aloneorpossessioncooperationproject(product)thefullbenefits,inadditiontothecostofcompensationforalllossessufferedbytheotherpartyandtherefore,theotherpartyshallpayliquidateddamages,liquidateddamagesinaccordancewithallthreetimesthecostofthelosscalculation,atleastnotlessthanyuan.第十三條對(duì)本合同條款的變更，甲、乙雙方協(xié)商一致后，簽訂本合作協(xié)議的補(bǔ)充協(xié)議保密協(xié)議經(jīng)雙方簽字或蓋章后，補(bǔ)充協(xié)議具有與本合作協(xié)議同等的法律效力。XIII.Changestothetermsofthiscontract,theAandBsidesbyconsensus,thesigningofthiscooperationagreementsupplementalagreementconfidentialityagreementafterthepartiessignedorstamped,supplementaryagreementhasthesamelegalvalidityasthiscooperationagreement.第十四條

本協(xié)議未盡事宜，由雙方協(xié)商解決。若協(xié)商不成，提交成都市仲裁委員會(huì)裁決。MatterscoveredinthisAgreement,thetwosidesnegotiatedsettlement.Ifthenegotiationfails,theauthorofChengduArbitrationCommissionruling.第十五條本協(xié)議一式兩份，甲乙雙方各持一份，具有同等法律效力。ThisAgreementinduplicate,eachpartyholdingacopyhasthesamelegaleffect.第十六條議書(shū)從雙方簽字或蓋章之日起生效。Theagreementtotakeeffectfromthedateofthetwosidessignedorstamped.Name(PrintorType):Name(PrintorType):Compa
