商品房買賣合同英文模板房屋買賣合同英文PropertySaleandPurchaseContract(房屋買賣合同)ThisSaleandPurchaseContract(the“SaleContract”orthis“Contract”)isenteredintothis dayofMay,20:BYANDBETWEENTheSeller:LegalRepresentative:WangXialinAddress:Tel:Buyer:PassportNo.:Address:Tel:EachofSellerandBuyerisindividuallyreferredtohereinasa“Party”andcollectivelyreferredtohereinasthe“Parties”。RECITALSWHEREA,SSelleristheownerofthepropertyof14D,Building3,ParkViewTower;SellerdesirestoselltoBuyer,andBuyerdesirestoacquirefromSeller ,theentireownershipofthepropertyanditsassociatedgrantedlanduseright(the“Property”,asdefinedmorespecificallyinArticle2ofthisSaleContract);NOW,THEREFOR,EafterfriendlynegotiationsandinconsiderationofthePropertyandthemutualcovenantscontainedherein,thePartiesherebyagreeasfollows:ArticleIRepresentations ,WarrantiesandCovenantsSellerherebyrepresentsandwarrantsthatSelleristhedulyregisteredownerofthePropertyandpossessesthecompletebeneficiaryownershiprightstotheProperty.ThePropertyisfreefromanyencumbrance,includingbutnotlimitedtomortgagesandanyotherthirdparty ‘sinterestand/orotherdebtdisputes.SellershalltransferthePropertyanditstitledeedstoBuyerinaccordancewiththetermsofthisContract.ArticleIIThePropertyThePropertyislocatedat ,_Beijing.ThePropertyOwnershipCertificateNo. : ,theGrossFloorAreaofthePropertyis squaremeters.TheLandUseRightCertificateNo.: ,theLandUseRightAreais squaremeterswithanexpirationdateof .ArticleIIIPurchasePriceSelleragreestoselltoBuyer,andBuyeragreestopurchasefromSellerthePropertyatanaggregatepriceofRMB (“PurchasePrice”)ArticleIVPaymentMethodandTitleTransferProcedureAnypaymentofthePurchasePriceunderthisContractshallbemadeinRMBbyBuyerinaccordancewiththisContract.AnybankfeesorchargesincurredduetothepaymentshouldbebornebyBuyer;anybankfeesorchargesincurredduetothereceiptofthepaymentimposedbytheSeller ‘sBankshouldbebornebySeller.Seller'sdesignatedBankAccountisdescribedbelow:Bankname:Accountname:AccountNo:204009978BothSellerandBuyerappointandfullyauthorizeXXXXLawFirm(the“Lawyer”)toapplyforthetransferofthetitledeedsofthePropertyandpayrelevanttaxesandfeesandtotakeanyotheractionandsignanydocumentnecessarytocompletetheabovetransferspromptly.Withinthree(3)workingdaysaftertheexecutionofthisContract,BuyershallpaytoSeller,asanadvancepayment,fiftypercent(50%)ofthePurchasePrice,i.e.RMB (the“AdvancePayment”)Buyershallpay,astheremainingpayment,theotherfiftypercent(50%)ofthePurchasePrice,i.e.RMB (the“RemainingPayment”),byapplyingforthesecondhandpropertymortgageloanfromtheBank(the “Bank”)TheBanksoulddirectlypayallmortgageloantoSeller‘sbankaccountasdescribedabove.Withinten(10)workingdaysaftertheexecutionofthisContract,BuyershallsignthemortgageloanagreementandotherrelevantdocumentswiththeBank,andgetapprovalfromthebankwithrespecttothemortgageloanapplicationfortheRemainingPayment.Buyershallhandoverthephotocopiesoftheabove-mentioneddocumentstotheLawyer.Withinten(10)workingdaysaftertheexecutionofthisContract,bothPartiesandtheBankshallsignatri-partyagreement(the“Tri-partyAgreement”)inwhichtheBankagreestoreleasetheloan(equivalenttotheRemainingPayment)toSeller‘saccountdirectly.BuyershallhandoverthephotocopyoftheTri-partyAgreementtotheLawyer.AfterSellerconfirmsthereceiptoftheAdvancePayment,anduponreceiptbytheLawyerofallofthedocumentsandtaxesandfeesfrombothPartiesasdescribedinArticle6andArticle7ofthisContract ,andwithinthree(3)workingdaysafterthedocumentsmentionedinArticle4.4aboveareprovidedtotheLawyer,Lawyershallsubmitthetransferapplication(withallnecessarysupportingdocuments)ofthePropertyOwnershipCertificatetoBeijingConstructionCommitteeRealEstateExchangeCenter(the“Center”)Withinthree(3)workingdaysafterthetransferofthePropertyOwnershipCertificateiscompleted,Lawyershallsubmitthetransferapplication(withallnecessarysupportingdocuments)oftheLandUseRightCertificatetoBeijingLand&ResourceBureau.AfterthePropertyOwnershipCertificateandtheLandUseRightCertificatearetransferredtoBuyer ,andafterLawyerreceivesalltheoriginalcertificates ,LawyershallprovidetotheBankwiththesecertificatesinaccordancewiththetermsoftheTri-partyAgreement.Thebank,whowillapplyforthemortgageregistrationoftheProperty,shallreleasetheloan(RemainingPayment)directlytoSelleroncethemortgageregistrationiscompleted.IncasethattheBankhasnotapprovedthedrawdownoftheloanortheloanpaidtoSellerislessthantheRemainingPaymentwithintwo(2)monthsafterLawyerprovidesthePropertyOwnershipCertificateandtheLandUseRightCertificatetotheBank,BuyeragreestomakefullpaymentoftheRemainingPaymentwithinfive(5)workingdaysaftertheabove-mentionedtwo(2)mont
