英文版購銷合同規(guī)定合同編號：__________ContractNo.__________CONTRACTAGREEMENTBETWEEN[Buyer’sName](Hereinafterreferredtoas“Buyer”)And[Seller’sName](Hereinafterreferredtoas“Seller”)Date:__________1.DEFINITIONSANDINTERPRETATION1.1InthisContract,unlessthecontextotherwiserequires:“Contract”meansthisContractAgreement,includingallSchedulesandAnnexeshereto;“DeliveryDate”meansthedateonwhichtheSellershalldelivertheGoodstotheBuyer;“Goods”meanstheproductsand/orservicestobesuppliedtheSellertotheBuyerasspecifiedintheSchedulehereto;“Price”meansthetotalpricefortheGoodsasspecifiedintheSchedulehereto;“Schedules”meanstheschedulesattachedheretowhichformanintegralpartofthisContract;“Term”meansthetermofthisContractasspecifiedinClause2hereof;“Termination”meanstheterminationofthisContractinaccordancewithClause9hereof;“WarrantyPeriod”meanstheperiodspecifiedintheScheduleforthewarrantyoftheGoods;1.2TheheadingsinthisContractareforconvenienceonlyandshallnotbeusedinitsinterpretation.2.TERM3.GOODSANDPRICE3.1TheSelleragreestosupplytheGoodstotheBuyerinaccordancewiththespecificationssetforthintheSchedule.3.2ThePricefortheGoodsshallbeasspecifiedintheSchedule.4.DELIVERY4.1TheSellershalldelivertheGoodstotheBuyeronorbeforetheDeliveryDate.4.2TheriskoflossordamagetotheGoodsshallpasstotheBuyerupondelivery.5.PAYMENT5.1TheBuyershallmakepaymentfortheGoodstotheSellerwithin__________daysafterthedateoftheinvoiceissuedtheSeller.5.2TheBuyershallnotbeendtosetoffanyamountsduetotheSellerunderthisContractagainstanyamountspayabletheBuyertotheSeller.6.WARRANTY6.1TheSellerwarrantsthattheGoodsconformtothespecificationssetforthintheScheduleandarefreefromdefectsinmaterialsandworkmanship.6.2TheSeller’swarrantyshallapplyfortheWarrantyPeriod.6.3TheSeller’ssoleobligationandliabilityunderthiswarrantyshallbetorepairorreplacethedefectiveGoodsatitsowncost.7.INTELLECTUALPROPERTY7.1TheSellershallretainallright,andinterestinandtoanyintellectualpropertyusedinorrelatedtotheGoods.7.2TheBuyershallnotuseanyoftheSeller’sintellectualpropertywithouttheSeller’spriorwrittenconsent.8.FORCEMAJEURE8.1ThepartiesshallberelievedoftheirrespectiveobligationsunderthisContracttotheextentthattheperformanceofsuchobligationsisprevented,frustratedorimpededasaresultofanyeventbeyondtheirreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputesoranyapplicablelaw,regulationororder.9.TERMINATION10.GENERAL10.1ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiationsanddiscussions,whetheroralorwritten,oftheparties.10.2ThisContractmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.10.3ThisContractshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheSchedule.10.4AnydisputesarisingoutoforinconnectionwiththisContractshallbefinallysettledarbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce(ICC).INWITNESSWHEREOF一、附件列表：1.商品規(guī)格書2.價格清單3.交貨時間表4.付款條款5.保修條款6.知識產(chǎn)權(quán)聲明7.強制性法律規(guī)定二、違約行為及認定：1.賣方未能按照約定時間交付商品2.賣方交付的商品不符合約定的規(guī)格或存在缺陷3.買方未能在約定時間內(nèi)支付商品價款4.買方未經(jīng)許可使用賣方的知識產(chǎn)權(quán)5.因不可抗力導(dǎo)致合同無法履行三、法律名詞及解釋：1.合同：雙方簽訂的具有法律約束力的協(xié)議2.賣方：提供商品和/或服務(wù)的當(dāng)事人3.買方：接受商品和/或服務(wù)的當(dāng)事人4.交貨日期：賣方交付商品的日期5.商品：合同中約定的賣方需提供的產(chǎn)品和服務(wù)6.價格：商品的總價7.保修期：商品保修的期限四、執(zhí)行中遇到的問題及解決辦法：1.交貨延遲：與賣方溝通，要求按時交貨或協(xié)商延遲交貨的后果2.商品不符合規(guī)格：要求賣方更換或修復(fù)不符合規(guī)格的商品
