7.仲裁協(xié)議二、違約行為及認定：1.遲延交付：指PartyB在約定時間內(nèi)未能交付Goods。

2.貨物不符合約定：指Goods未能符合事先約定的規(guī)格、質(zhì)量標(biāo)準或包裝要求。

3.未履行付款義務(wù)：指PartyA在Goods交付后未能按約定時間支付貨款。

4.未提供發(fā)票等文件：指PartyB未能按稅務(wù)要求向PartyA提供有效發(fā)票及其他相關(guān)文件。

5.未履行保密義務(wù)：指PartyA或PartyB未保守對方的商業(yè)秘密，導(dǎo)致信息泄露。

6.未能解決爭議：指雙方未能通過友好協(xié)商解決任何爭議。三、法律名詞及解釋：1.購銷合同：指PartyA從PartyB購買商品，PartyB向PartyA銷售商品的合同。

2.違約行為：指合同一方未能履行合同約定的義務(wù)。

3.貨物驗收：指PartyA在貨物交付后對貨物進行檢查，確認貨物是否符合約定的過程。

4.保修期：指PartyB對Goods提供保修的期限。

5.商業(yè)秘密：指不為公眾所知的，能為權(quán)利人帶來經(jīng)濟利益、具有實用性并權(quán)利人采取保密措施的信息。

6.仲裁：指合同雙方通過仲裁機構(gòu)解決爭議的方式。四、執(zhí)行中遇到的問題及解決辦法：1.貨物延遲交付：

解決辦法：與PartyB溝通，要求其在約定時間內(nèi)交付貨物；如有必要，根據(jù)合同條款要求PartyB支付延遲交付的違約金。2.貨物不符合約定：
