5.Warranties
TheSellerwarrantsthattheProduct(s)soldhereundershallbefreefromdefectsinmaterialandworkmanshipforaperiodof[WarrantyPeriod].Thiswarrantydoesnotcoveranydefectscausedbymisuse,neglect,orunauthorizedrepair.
6.IntellectualProperty
ThePartiesacknowledgethatallintellectualpropertyrightsrelatedtotheProduct(s)shallremaintheexclusivepropertyoftheSeller.TheBuyershallnotreproduce,modify,ordistributetheProduct(s)withoutthepriorwrittenconsentoftheSeller.
7.Confidentiality
ThePartiesagreetomaintainstrictconfidentialityregardinganyproprietaryorconfidentialinformationexchangedbetweenthemduringthetermofthisAgreement.ThisobligationshallsurvivetheterminationofthisAgreement.
8.ForceMajeure
NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanyunforeseeneventbeyonditsreasonablecontrol,including,butnotlimitedto,naturaldisasters,actsofterrorism,orgovernmentactions.
9.GoverningLawandDisputeResolution
ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
10.EntireAgreement
ThisAgreementconstitutestheentireunderstandingbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.
