2024承建制勞務(wù)分包合同范本2024SubcontractingLaborContractforConstructionArticle1:ContractObjectiveThissubcontractinglaborcontractisenteredintobyandbetweenPartyA(theGeneralContractor)andPartyB(theSubcontractor)fortheprovisionoflaborandrelatedservicesfortheconstructionprojectspecifiedherein.Article2:Definitions"SubcontractingLaborServices"referstothelaborandassociatedservicesprovidedbyPartyBtoPartyAfortheconstructionproject."ConfidentialInformation"referstoanynon-publicinformationrelatedtotheconstructionprojectthatisdisclosedbyPartyAtoPartyB.Article3:ScopeofWorkPartyBshallprovidelaborandservicesfortheconstructionproject,includingbutnotlimitedto:__________.Thedetailedscopeofwork,includingspecifictasksandmilestones,isoutlinedinAttachment1.Article4:ContractDurationThetermofthiscontractshallstarton__________andendon__________.Extensionstothecontractdurationshallbesubjecttomutualwrittenagreement.Article5:RightsandObligationsofPartyAPartyAhastherighttosuperviseanddirecttheworkperformedbyPartyB.PartyAshallprovideclearworkinstructionsandasafeworkingenvironment.PartyAshallmaketimelypaymentstoPartyBfortheservicesrendered.Article6:RightsandObligationsofPartyBPartyBhastherighttoreceivecompensationfortheservicesprovided.PartyBshallperformtheworkinaccordancewiththeinstructionsandsafetystandardsprovidedbyPartyA.PartyBshallmaintaintheconfidentialityofallproject-relatedinformation.Article7:LaborCompensationPartyAagreestopayPartyBatotalsubcontractinglaborfeeof__________(Currency).Thepaymentterms,includingthescheduleandmethodofpayment,aredetailedinAttachment2.Article8:QualityandSafetyStandardsPartyBshallperformtheworkinaccordancewithindustryqualityandsafetystandards.PartyBshalladheretoallsite-specificsafetyregulationsasstipulatedbyPartyA.Article9:IntellectualPropertyRightsAllintellectualpropertyrightsrelatedtotheworkperformedunderthiscontractshallbetheexclusivepropertyofPartyA.Article10:ConfidentialityPartyBshallkeepallproject-relatedinformationconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentofPartyA.Article11:WarrantyandLiabilityPartyBwarrantsthatthelaborservicesprovidedshallbefreefromdefectsandshallmeettheagreedqualitystandards.PartyBshallbeliableforanydamagesorlossesincurredduetoitsfailuretoperformtheworkinaccordancewiththecontract.Article12:ContractAmendmentsAnyamendmentstothiscontractshallbemadeinwritingandmustbesignedbybothpartiestobeeffective.Article13:TerminationThiscontractmaybeterminatedbyeitherpartyupon__________days'writtennoticeforconvenience,orimmediatelyintheeventofamaterialbreachbytheotherparty.Article14:ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsduetoforcemajeureevents,providedthattheaffectedpartypromptlynotifiestheotherparty.Article15:DisputeResolutionAnydisputesarisingfromthiscontractshallberesolvedthroughnegotiation.Ifnegotiationfails,disputesshallbesubmittedto__________forarbitration.Article16:GoverningLawThiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof__________.Article17:NoticesAllnotices,demands,andcommunicationsunderthiscontractshallbeinwritingandshallbedeemedeffectiveuponreceipt.Article18:EntireAgreementThiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreements.ForPartyA:__________AuthorizedSignatory:__________Address:__________ContactNumber:__________Date:__________ForPartyB:__________AuthorizedSignatory:__________Address:__________ContactNumber:__________Date:__________Article19:InsuranceandIndemnificationPartyBshallmaintainappropriateinsurancecoverageforitsworkersasrequiredbylawandindustrystandards.PartyBshallindemnifyandholdharmlessPartyAagainstanyclaims,damages,orlossesarisingfromtheperformanceofthesubcontractinglaborservices.Article20:SubcontractingandAssignmentPartyBshallnotsubcontractorassignanyofitsrightsorobligationsunderthiscontractwithoutthepriorwrittenconsentofPartyA.Article21:CompliancewithLawsPartyBshallcomplywithallapplicablelaws,regulations,andordinancesinperformingthesubcontractinglaborservices.Article22:SiteAccessandFacilitiesPartyAshallprovidePartyBwithreasonableaccesstotheconstructionsiteandanyfacilitiesnecessaryfortheperformanceofthesubcontractinglaborservices.Article23:PerformanceBondsIfrequiredbyPartyA,PartyBshallprovideaperformancebondintheamountof__________assecurityfortheperformanceofitsobligationsunderthiscontract.Article24:LiquidatedDamagesIntheeventofdelayinthecompletionofthework,PartyBshallpaytoPartyAliquidateddamagesintheamountof__________foreachdayofdelay,asstipulatedinAttachment3.Article25:WorkHoursandOvertimePartyBshalladheretotheworkhourssetbyPartyA,whichshallcomplywithlaborlaws.AnyovertimeworkshallbeauthorizedinadvancebyPartyAandshallbecompensatedattheratespecifiedinAttachment4.Article26:HealthandSafetyPartyBshallcomplywithallhealthandsafetyrequirementsandtakenecessaryprecautionstoensurethesafetyofitsworkersandothersattheconstructionsite.Article27:TerminationforCauseInadditiontotheterminationrightsspecifiedinArticle13,eitherpartymayterminatethiscontractforcauseuponwrittennoticeiftheotherpartymateriallybreachesanytermofthiscontractandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennotice.Article28:AuditRightsPartyAreservestherighttoauditPartyB'srecordsandworksrelatedtothesubcontractinglaborservicestoensurecompliancewiththetermsofthiscontract.Article29:Anti-AssignmentClausePartyBshallnotassignthiscontractoranyrightsorobligationshereunderwithoutthepriorwrittenconsentofPartyA,whichconsentmaybewithheldinPartyA'ssolediscretion.Article30:NoticesofDefaultAnynoticeofdefaultorbreachunderthiscontractshallbeinwritingandshallbesenttothelastknownaddressofthebreachingparty.Article31:WaiverThewaiverbyeitherpartyofanybreachordefaulthereundershallnotbedeemedawaiverofanysubsequentbreachordefault.Article32:SuccessorsandAssignsThiscontractshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.Attachment1:DetailedScopeofWorkandMilestonesAcomprehensivelistofalltasksincludedinthesubcontractinglaborservices.Specificmilestonesandtheirdeadlines.Attachment2:PaymentScheduleAbreakdownofthepaymentstructure,includingamountsandpaymentdates.Attachment3:LiquidatedDamagesScheduleAdetailedscheduleofliquidateddamagesfordelaysinworkcompletion.Attachment4:OvertimeCompensationRateTherateofpayforovertimeworkasrequiredbylaborlawsandthetermsofthiscontract.Attachment5:HealthandSafetyProtocolsAdocumentoutliningthehealthandsafetyprotocolstobefollowedattheconstructionsite.BreachofContractandDeterminationAbreachofcontractmayincludefailuretomeetdeadlines,performworktorequiredstandards,orcomplywithhealthandsafetyregulations.Breacheswillbedeterminedbydocumentedevidenceandfailuretoremedywithinthespecifiedcureperiod.LegalTermsandExplanationsDefinitionsoflegaltermsusedinthecontract,suchas"subcontractinglaborservices,""confidentialinformation,"and"forcemajeure."IssuesandResolutionsinExecutionProceduresforaddressingissuessuchasworkdelays,qualityissues,andsafetyincidents.Solutionsmayincluderenegotiationofterms,impositionofliqu
