ContractfortheSaleofFreshwaterCrab
Thiscontract(the"Contract")ismadeandenteredintoasof[Date],byandbetween[Seller'sName],acompanyorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[Seller'sAddress](the"Seller"),and[Buyer'sName],acompanyorganizedandexistingunderthelawsof[Country/State],witharegisteredaddressat[Buyer'sAddress](the"Buyer").
1.ProductandQuantity
TheSelleragreestosell,andtheBuyeragreestobuy,[Quantity]kilogramsoffreshwatercrab(the"Product"),ofaqualityandspecificationconsistentwiththestandardssetforthinExhibitAattachedhereto.
2.Delivery
TheProductshallbedeliveredbytheSellertotheBuyerat[DeliveryLocation],onorbefore[DeliveryDate].TheProductshallbedeemeddeliveredwhentheriskoflossandtitlepassestotheBuyeruponreceiptattheDeliveryLocation.
3.PriceandPaymentTerms
ThepurchasepricefortheProductshallbe[Price]perkilogram,foratotalpurchasepriceof[TotalPrice].TheBuyershallmakepaymentfortheProductbywiretransfertotheSeller'sdesignatedbankaccount,inaccordancewiththepaymentinstructionsprovidedbytheSeller,within[Number]daysafterthedateoftheinvoiceissuedbytheSeller.
4.Warranties
TheSellerwarrantsthattheProductconformstothequalityandspecificationstandardssetforthinExhibitA,andthattheProductisfreefromanyliensandencumbrances.TheSellerfurtherwarrantsthatithastherighttoselltheProductandthattheBuyer'spurchaseoftheProductshallnotinfringeuponanythird-partyintellectualpropertyrights.
5.InspectionandRejection
Upondelivery,theBuyershallhavetherighttoinspecttheProducttoconfirmitsconformitywiththequalityandspecificationstandardssetforthinExhibitA.IftheProductdoesnotconformtosuchstandards,theBuyermayrejecttheProductandtheSellershall,attheBuyer'soption,eitherreplacethenon-conformingProductorrefundthepurchasepriceforsuchProduct.
6.ForceMajeure
NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedpartypromptlynotifiestheotherpartyoftheexistenceandnatureofsuchcause.
7.GoverningLawandDisputeResolution
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.
8.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
