ThisBusinessCooperationAgreement(the"Agreement")ismadeandenteredintobyandbetweenPartyAandPartyB(collectivelyreferredtoasthe"Parties").ThePartiesherebyagreeasfollows:

1.ScopeofCooperation

3.IntellectualPropertyRights

3.1PartyAshallretainallright,titleandinterestinandtoanyintellectualproperty(includingbutnotlimitedtopatents,trademarks,copyrightsandtradesecrets)relatedtothegoodsorservicesprovidedunderthisAgreement.

3.2PartyBshallnotuse,copy,modifyordistributeanyofPartyA'sintellectualpropertywithoutPartyA'spriorwrittenconsent.

4.ForceMajeure

NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputesordisruptionsintransportation.

5.GoverningLawandDisputeResolution

5.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].

5.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbynegotiationbetweentheParties.Ifsuchnegotiationfailstoresolvethedispute,eitherPartymaysubmitthedisputetotheapplicablecourtsorarbitrationtribunals.

6.Miscellaneous

6.2ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothParties.

6.3ThewaiverofanyrightordefaultunderthisAgreementshallnotbedeemedawaiverofanyotherrightordefault.
