英文版標(biāo)準(zhǔn)合同采購范本合同編號：__________CONTRACTAGREEMENTThisContractAgreement(the"Agreement")ismadeandenteredintoasof__________(the"EffectiveDate"),andbetween:[Contractor'sName][Contractor'sAddress][Contractor'sContactInformation](hereinafterreferredtoasthe"Contractor")and[Client'sName][Client'sAddress][Client'sContactInformation](hereinafterreferredtoasthe"Client").BACKGROUND:WHEREAS,theContractorisengagedinthebusinessofprovidinggoodsandservices;andWHEREAS,theClientdesirestopurchasecertaingoodsandservicesfromtheContractor;andWHEREAS,thepartiesheretowishtosetforththetermsandconditionsofsuchpurchase.NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:ARTICLE1:GOODSANDSERVICES1.1.Description.TheContractoragreestoprovidetheClientwiththefollowinggoodsand/orservices(the"Goods"and/or"Services"):[Here,insertadetaileddescriptionoftheGoodsand/orServicestobeprovidedtheContractor.]1.2.Delivery.TheContractorshalldelivertheGoodstotheClientatthefollowinglocation:[Here,insertthedeliverylocation(s)fortheGoods.]1.3.Performance.TheContractorshallperformtheServicesinaprofessionalandworkmanlikemanner,inaccordancewiththestandardsandspecificationsmutuallyagreedupontheparties.ARTICLE2:PRICEANDPAYMENTTERMS2.1.Price.InconsiderationfortheGoodsand/orServicesprovidedtheContractor,theClientshallpaytheContractorthetotalamountof__________(the"TotalPayment").2.2.PaymentSchedule.TheTotalPaymentshallbepaidtheClienttotheContractorinthefollowinginstallments:[Here,insertascheduleoutliningthepaymentinstallmentsandduedatesfortheTotalPayment.]2.3.Invoices.TheContractorshallinvoicetheClientfortheGoodsand/orServicesprovided,inaccordancewiththepaymentschedulesetforthinthisAgreement.2.4.Taxes.TheContractorshallberesponsibleforanyandalltaxes,fees,andothergovernmentalchargesassociatedwiththeprovisionoftheGoodsand/orServices,unlessotherwisespecifiedinthisAgreement.ARTICLE3:WARRANTIES3.1.Merchantability.TheContractorwarrantsthattheGoodsprovidedunderthisAgreementaremerchantableandfitforthepurposeforwhichtheyareintended.3.2.NonInfringement.TheContractorwarrantsthattheGoodsprovidedunderthisAgreementdonotinfringeuponanythirdpartypatents,trademarks,copyrights,orotherintellectualpropertyrights.3.3.Services.TheContractorwarrantsthattheServicesprovidedunderthisAgreementshallbeperformedinaprofessionalandworkmanlikemanner,inaccordancewiththestandardsandspecificationsmutuallyagreedupontheparties.ARTICLE4:LIMITATIONOFLIABILITY4.1.Contractor'sLiability.TheContractor'stotalcumulativeliabilityunderthisAgreementshallnotexceedtheTotalPaymentpaidtheClienttotheContractor.4.2.Indemnification.TheContractorshallindemnifyandholdharmlesstheClientagainstanyandallclaims,damages,losses,andexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromtheContractor'sbreachofthisAgreementortheprovisionoftheGoodsand/orServices.4.3.Client'sLiability.TheClientshallindemnifyandholdharmlesstheContractoragainstanyandallclaims,damages,losses,andexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromtheClient'sbreachofthisAgreementortheuseoftheGoodsand/orServices.ARTICLE5:TERMANDTERMINATION5.2.TerminationforCause.eitherpartymayterminatethisAgreementforcauseuponwritten一、附件列表：1.商品和服務(wù)詳細(xì)說明2.交付時間表3.支付時間表4.稅收文件5.服務(wù)規(guī)格說明書6.知識產(chǎn)權(quán)授權(quán)證明7.保險證明文件8.合同履行所需的其他相關(guān)文件二、違約行為及認(rèn)定：1.Contractor未能按照約定時間交付商品或完成服務(wù)的，視為違約。2.Contractor提供的商品或服務(wù)不符合約定規(guī)格或質(zhì)量標(biāo)準(zhǔn)的，視為違約。3.Client未能按照約定時間支付貨款或服務(wù)費用的，視為違約。4.Client未履行合同中其他義務(wù)的，視為違約。5.任何一方違反合同條款，導(dǎo)致合同無法履行，對方有權(quán)要求違約方承擔(dān)違約責(zé)任。三、法律名詞及解釋：1.違約：違反合同約定的行為。2.合同履行：按照合同約定完成合同義務(wù)的行為。3.商品：合同中約定的交付對象。4.服務(wù)：合同中約定的提供內(nèi)容。5.支付時間表：合同中約定的支付貨款或服務(wù)費用的時間安排。6.交付地點：合同中約定的商品交付地點。7.違約責(zé)任：違約方應(yīng)承擔(dān)的法律責(zé)任。四、執(zhí)行中遇到的問題及解決辦法：1.交付延遲：與Contractor協(xié)商，要求盡快交付，若協(xié)商無效，有權(quán)要求違約方承擔(dān)延遲交付的責(zé)任。2.商品或服務(wù)不符合規(guī)格：要求Contractor按照約定重新提供商品或服務(wù)，或要求合同價款退還。3.支付問題：與Client協(xié)商，要求按時支付，若協(xié)商無效，有權(quán)暫停提供商品或服務(wù)，直至欠款支付完畢。4.合同爭議：通過協(xié)商解決，無
