5.WarrantiesandLiability

5.1PartyAwarrantsthattheproductsshallbeofgoodquality,conformingtothespecificationsandrequirementssetforthinthisContract.

5.2Intheeventofanydefectsornon-conformitiesintheproducts,PartyAshall,atitssolediscretion,repair,replaceorrefundtheproducts,atnoadditionalcosttoPartyB.

5.3PartyBshallpromptlynotifyPartyAofanydefectsornon-conformitiesuponreceiptoftheproducts.

6.ForceMajeure

6.1NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetocircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtowar,naturaldisasters,laborstrikes,andgovernmentregulations.

6.2Intheeventofaforcemajeure,thepartiesshallnegotiateingoodfaithtomodifythetermsandconditionsofthisContract,totheextentnecessarytomitigatetheeffectsoftheforcemajeure.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
