REPRESENTATIONSANDWARRANTIES

1.TheEmployerrepresentsandwarrantsthatitisalegallyregisteredentitywiththeauthoritytoenterintothisContract.

2.TheEmployeerepresentsandwarrantsthatheorsheisoflegalage,hasthefulllegalcapacitytoenterintothisContract,andhasnotbeenpreviouslyterminatedfromanyemploymentduetocause.

3.TheEmployerwarrantsthatthepositionofferedtotheEmployeeisgenuinelyavailableandthattheEmployee'semploymentwiththeEmployerwillnotviolateanyapplicablelawsorregulations.

TERM

1.ThisContractshallcommenceon[StartDate]andshallcontinueforaperiodof[Duration],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

2.Uponexpirationoftheinitialterm,thisContractshallautomaticallyrenewforsuccessivetermsof[RenewalPeriod],unlesseitherPartyprovideswrittennoticeofterminationatleast[NoticePeriod]priortotheexpirationofthethen-currentterm.

EMPLOYMENTDUTIESANDRESPONSIBILITIES

1.TheEmployeeagreestoperformthedutiesandresponsibilitiesassociatedwiththepositionof[PositionTitle],asdescribedintheattachedPositionDescription(AttachmentA).

2.TheEmployeeshallatalltimescomplywiththeEmployer'spolicies,procedures,andrules,asmaybeamendedfromtimetotime.

3.TheEmployeeshallusereasonablecareanddiligenceintheperformanceofhisorherdutiesandresponsibilities.

COMPENSATIONANDBENEFITS

1.TheEmployershallpaytheEmployeeamonthlysalaryof[SalaryAmount],subjecttoapplicabletaxesanddeductions.

2.TheEmployershallprovidetheEmployeewiththefollowingbenefits:

a.Healthinsurancecoverage(AttachmentB)

b.Paidtimeoff(AttachmentC)

c.OtherbenefitsasmaybeagreeduponbytheParties(AttachmentD)

CONFIDENTIALITYANDNON-COMPETITION

1.TheEmployeeagreestomaintaintheconfidentialityofallinformation,includingbutnotlimitedtotradesecrets,customerlists,andotherconfidentialinformation,obtainedduringthecourseofemployment.

2.TheEmployeeagreesnottoengageinanybusinessactivitythatdirectlyorindirectlycompeteswiththeEmployer'sbusinessduringthetermofthisContractandforaperiodof[Non-CompetePeriod]followingtheterminationofemployment.

TERMTERMINATION

1.ThisContractmaybeterminatedbyeitherPartyupontheoccurrenceofamaterialbreachofthetermsofthisContractbytheotherParty,providedthatthebreachingPartyhasfailedtocurethebreachwithinareasonableperiodafterreceiptofwrittennoticeofthebreach.

2.ThisContractmaybeterminatedbyeitherPartyupontheoccurrenceofafundamentalchangeintheEmployer'sbusinessthatmakescontinuedemploymentoftheEmployeeimpracticalorimpossible.

3.ThisContractmaybeterminatedbyeitherPartyuponmutualagreementoftheParties.

GENERALPROVISIONS

1.ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.

2.AnyamendmentormodificationofthisContractmustbeinwritingandsignedbybothParties.

3.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
