**ContractOverview:**

ThisInternationalTradeContract(the"Contract")isenteredintobetweentheBuyerandtheSeller,hereinaftercollectivelyreferredtoas"Parties,"andindividuallyasa"Party,"onthefollowingbackgroundandconditionalprecedents:

TheBuyerandtheSellerhaveenteredintonegotiationsanddiscussionswiththeviewofengagingintraderelationsforthesupplyandpurchaseof[descriptionofgoods/services](the"Goods/Services").BothPartieshaveevaluatedthequality,specifications,andtermsofdeliveryoftheGoods/ServicesandhaveagreedtoenterintothisContractonthefollowingtermsandconditions,whichareintendedtobelegallybindingandenforceable.

b.TheBuyer'scommitmenttoaccepttheGoods/ServicesandtomaketimelypaymentsasprovidedforinthisContract.

c.TheParties'agreementtoresolveanydisputesthatmayariseinconnectionwiththisContractthroughthemechanismsprovidedforintheDisputeResolutionclause.

ThePartieshereto,throughtheirundersignedrepresentatives,havecausedthisContracttobeexecutedasoftheEffectiveDateandhavetherebyacknowledgedtheirconsenttobeboundbyalltermsandconditionshereincontned.

Definitions:

ForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsascribedbelow:

2."EffectiveDate"referstothedateonwhichthisContractissignedbybothParties.

4."IntellectualPropertyRights"meansallpatents,trademarks,servicemarks,copyrights,tradesecrets,andotherproprietaryrights.

b.TheBuyerisentitledtoreceivetheGoods/Servicesthatmeettheagreedspecificationsandqualitystandards.

c.TheBuyershallmaketimelypaymentsfortheGoods/ServicesasperthepaymenttermsoutlinedinthisContract.

d.TheBuyerhastherighttoinspecttheGoods/Servicesupondeliveryandtorejectanythatdonotconformtotheagreed-uponstandards.

e.TheBuyershallprovidethenecessaryinformationandsupporttofacilitatetheSeller'sperformanceunderthisContract.

2.RightsandObligationsofPartyB(Seller):

a.TheSellerisobligatedtosupplytheGoods/Servicesinaccordancewiththespecifications,qualitystandards,anddeliveryschedulesmutuallyagreedupon.

b.TheSellershallensurethattheGoods/Servicescomplywithallapplicablelawsandregulations,includingexportcontrollawsandintellectualpropertyrights.

c.TheSellershallprovidetheBuyerwithallnecessarydocumentation,includingbutnotlimitedto,invoices,packinglists,andcertificatesofconformity.

d.TheSellerhastherighttoreceivetimelypaymentsfromtheBuyerasperthepaymenttermsstipulatedinthisContract.

e.TheSellershallnotifytheBuyerpromptlyofanyanticipateddelaysorissuesthatmayaffectthedeliveryoftheGoods/Services.

TheaboverightsandobligationsarefundamentaltotheContractandarenotexhaustive.BothPartiesareexpectedtoperformtheirrespectivedutieswiththehighestdegreeofgoodfthandtotakeallnecessarymeasurestoensurethesuccessfulcompletionofthetransactionscontemplatedbythisContract.

ThepricefortheGoods/ServicesshallbeasagreedbetweenthePartiesandspecifiedintheorderdocumentation.ThepriceshallbefixedandnotsubjecttochangeunlessmutuallyagreedinwritingbybothParties.PaymentshallbemadebytheBuyertotheSellerinaccordancewiththefollowingterms:

1.TheSellershalldelivertheGoods/Servicesonorbeforethedeliverydatespecifiedintheorderdocumentation.

2.TheBuyershallmakethepaymentasperthepaymenttermsoutlinedabove.

3.Intheeventofanydelays,thePartiesshallcommunicateandagreeuponarevisedschedule.

4.TheContractshallterminateuponthecompletionofallobligationsbybothParties,unlessextendedinwritingbymutualagreement.

第六條違約責(zé)任：

LiabilityforBreachofContract:

IntheeventofabreachofthisContractbyeitherParty,thebreachingPartyshallbeliableforthefollowingconsequences:

1.FlurebytheBuyertomaketimelypaymentshallentitletheSellertoclminterestontheoutstandingamountatarateof[interestrate]perannumfromtheduedateuntilpaymentisreceived.

2.IftheSellerflstodelivertheGoods/Servicesinaccordancewiththeagreedspecificationsandtimelines,theBuyershallhavetherighttoclmareductioninpriceortoterminatetheContractandseekdamages.

3.IntheeventofafundamentalbreachofthisContractbyeitherParty,thenon-breachingPartyshallhavetherighttoterminatetheContractimmediatelyandseekcompensationforanylossesincurred,includingbutnotlimitedto,direct,indirect,andconsequentialdamages.

4.ThePartiesagreethattheliabilityforanybreachshallbelimitedtothetotalvalueoftheGoods/ServicesunderthisContract,unlesssuchbreachisaresultofgrossnegligenceorwillfulmisconduct.

5.ThePartiesshallhavetherighttoclmreasonableexpensesincurredinenforcingtheirrightsunderthisContractintheeventofabreach.

ForceMajeure:

ForceMajeureeventsshallinclude,butarenotlimitedto,naturaldisasters,war,hostilities,invasion,embargo,riot,strike,pandemic,lockout,fire,explosion,flood,typhoon,earthquake,lightning,oranyotheractsofGodorcircumstancesbeyondthereasonablecontrolofaParty(collectively,"ForceMajeureEvents").IntheeventofaForceMajeureEvent,theaffectedPartyshallbeexcusedfromperformanceordelayinperformanceofitsobligationsunderthisContract,providedthat:

1.TheaffectedPartypromptlynotifiestheotherPartyinwritingoftheoccurrenceofaForceMajeureEventandprovidesreasonableevidencethereof.

2.TheaffectedPartytakesallreasonablestepstomitigatetheeffectsoftheForceMajeureEventandtoresumeperformanceofitsobligationsassoonaspossible.

3.TheForceMajeureEventpreventstheaffectedPartyfromfulfillingitsobligationsunderthisContractforacontinuousperiodof[numberofdays],afterwhichthenon-affectedPartymay,atitsoption,terminatethisContractbywrittennotice.

ThePartiesagreethattheexcusedperformanceordelayinperformanceduetoaForceMajeureEventshallnotbedeemedabreachofthisContract,andneitherPartyshallbeliabletotheotherforanydamages,costs,orlossesarisingtherefrom.

第八條爭(zhēng)議解決：

DisputeResolution:

AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedamicablythroughnegotiationandconsultationbetweentheParties.IfthePartiesfltoresolvethedisputewithin[numberofdays]afterthecommencementofsuchnegotiations,thedisputemaybereferredtomediationinaccordancewiththerulesofthe[nameofmediationinstitution].

Ifthedisputeisnotresolvedthroughmediationwithin[numberofdays]orifeitherPartydoesnotagreetoparticipateinmediation,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththerulesofthe[nameofarbitrationinstitution].Thearbitrationshalltakeplacein[location],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.

Notwithstandingtheforegoing,eitherPartymayseekequitablereliefinacourtofcompetentjurisdictiontopreventanyimminentbreachorcontinuedbreachofthisContract.

ThePartiesagreetowveanyrighttoatrialbyjuryinanyactionorproceedingthatmayariseoutoforinconnectionwiththisContract.

ThePartiesfurtheragreethatthechoiceoflawgoverningthisContractshallbe[jurisdiction],andthatthecourtsof[jurisdiction]shallhaveexclusivejurisdictionoveranylegalactionorproceedingsarisingoutoforinconnectionwiththisContract.
