1.LICENSEGRANT
1.1LicensorherebygrantstoLicensee,effectiveasoftheEffectiveDate(definedbelow),anon-exclusive,non-transferable,worldwidelicensetousetheProprietaryRightsforthetermofthisAgreement,subjecttothetermsandconditionssetforthherein.
1.2Licenseeshallnot,directlyorindirectly,sublicense,assign,transfer,pledge,mortgage,orotherwisedisposeofanyofitsrightsorobligationsunderthisAgreement.
2.TERMANDTERMINATION
2.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueinfullforceandeffectforatermof[Number]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement(the"Term").
2.2EitherPartymayterminatethisAgreementuponwrittennoticetotheotherParty,intheeventofamaterialbreachofthisAgreementbytheotherParty,whichisnotcuredwithinareasonableperiodoftimeafterreceiptofwrittennotice.
3.OBLIGATIONSOFTHEPARTIES
3.1Licensorshall:
(a)ProvideLicenseewiththenecessaryinformation,assistance,andsupporttoenableLicenseetousetheProprietaryRightsinaccordancewiththisAgreement;
(b)NotuseorauthorizeanythirdpartytousetheProprietaryRightsinamannerthatisinconsistentwiththetermsofthisAgreement;
(c)MaintaintheconfidentialityofLicensee'sconfidentialinformationobtainedduringthecourseofthisAgreement.
3.2Licenseeshall:
(a)UsetheProprietaryRightsinaccordancewiththetermsandconditionsofthisAgreement;
(b)NotusetheProprietaryRightsinanymannerthatisinconsistentwiththetermsofthisAgreement;
(c)MaintaintheconfidentialityofLicensor'sconfidentialinformationobtainedduringthecourseofthisAgreement.
4.OWNERSHIPANDINTELLECTUALPROPERTYRIGHTS
4.1TheProprietaryRightsshallremaintheexclusivepropertyofLicensor,andnothinginthisAgreementshallbeconstruedasgrantingLicenseeanyownershipinterestinortotheProprietaryRights.
4.2LicenseeacknowledgesthatallintellectualpropertyrightsassociatedwiththeProprietaryRightsareandshallremaintheexclusivepropertyofLicensor.
5.CONFIDENTIALITY
5.1ThePartiesagreethatduringthecourseofthisAgreement,eachPartymayhaveaccesstocertainconfidentialinformationoftheotherParty(the"ConfidentialInformation").
5.2ThePartiesagreethattheyshallnotuse,disclose,orrevealtheConfidentialInformationoftheotherPartytoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.
6.LIMITATIONOFLIABILITY
6.1ThePartiesagreethatinnoeventshalleitherPartybeliabletotheotherPartyforanyindirect,special,punitive,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.
7.GENERALPROVISIONS
7.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal.
7.2ThisAgreementmaybeamendedonlybywrittenagreementexecutedbybothParties.
7.3IfanyprovisionofthisAgreementisfoundtobeunenforceable,theremainingprovisionsshallremaininfullforceandeffect.
7.4ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

(b)EngageThirdPartytoprovideservicesrelatedtothedevelopmentandimplementationofthelicensedproprietaryrights,inaccordancewiththetermsandconditionsofthisAgreement;
(c)MaintaintheconfidentialityofLicensor'sconfidentialinformationobtainedduringthecourseofthisAgreement.
3.3ThirdPartyshall:
(a)PerformservicesunderthisAgreementinaccordancewiththespecificationsandqualitystandardssetforthbyLicensee;
(b)MaintaintheconfidentialityofLicensor'sandLicensee'sconfidentialinformationobtainedduringthecourseofthisAgreement;
(c)NotuseordisclosetheProprietaryRightstoanythirdpartywithoutthepriorwrittenconsentofLicensor.
4.RIGHTSANDOBLIGATIONSOFLICENSOR
4.1LicensorshallhavetherighttoauditLicensee'sandThirdParty'scompliancewiththetermsofthisAgreementatanyreasonabletime.
4.2LicensorshallhavetherighttoreceiveroyaltypaymentsfromLicenseefortheuseoftheProprietaryRights.
4.3LicensorshallhavetherighttoterminatethisAgreementifLicenseeorThirdPartyfailstocomplywiththetermsofthisAgreement.
5.RIGHTSANDOBLIGATIONSOFLICENSEE
5.1LicenseeshallhavetherighttousetheProprietaryRightsforitsbusinesspurposesduringtheTerm.
5.2LicenseeshallhavetherighttoterminatethisAgreementifLicensorfailstocomplywiththetermsofthisAgreement.
6.OBLIGATIONSOFLICENSEEANDTHIRDPARTY
6.1LicenseeandThirdPartyshallcomplywithallapplicablelawsandregulationsintheperformanceoftheirobligationsunderthisAgreement.
6.2LicenseeandThirdPartyshallnotmakeanyrepresentationsorwarrantiesonbehalfofLicensorwithoutthepriorwrittenconsentofLicensor.
7.LIMITATIONSANDRESTRICTIONS
7.1LicenseeandThirdPartyshallnotsublicense,assign,transfer,pledge,mortgage,orotherwisedisposeofanyoftheirrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentofLicensor.
7.2LicenseeandThirdPartyshallnotusetheProprietaryRightsinanymannerthatisinconsistentwiththetermsofthisAgreement.
8.TERMINATIONANDCONSEQUENCES
8.1UponterminationofthisAgreement,LicenseeandThirdPartyshallceasealluseoftheProprietaryRights.
8.2UponterminationofthisAgreement,LicenseeshallpayLicensorallroyaltiesandfeesdueandowingunderthisAgreement.
9.CONFIDENTIALITY
9.1ThePartiesagreethatduringthecourseofthisAgreement,eachPartymayhaveaccesstocertainconfidentialinformationoftheotherParty(the"ConfidentialInformation").
9.2ThePartiesagreethattheyshallnotuse,disclose,orrevealtheConfidentialInformationoftheotherPartytoanythirdpartywithoutthepriorwrittenconsentoftheotherParty.
10.LIMITATIONOFLIABILITY
10.1ThePartiesagreethatinnoeventshalleitherPartybeliabletotheotherPartyforanyindirect,special,punitive,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.
11.GENERALPROVISIONS
11.1ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal.
11.2ThisAgreementmaybeamendedonlybywrittenagreementexecutedbyallParties.

(b)MaintaintheconfidentialityofLicensor'sandLicensee'sconfidentialinformationobtainedduringthecourseofthisAgreement;
(c)NotuseordisclosetheProprietaryRightstoanythirdpartywithoutthepriorwrittenconsentofLicensorandLicensee.
4.RIGHTSANDOBLIGATIONSOFLICENSEE
4.1LicenseeshallhavetherighttousetheProprietaryRightsforthedevelopmentandproductionofitsproduct.
4.2LicenseeshallhavetherighttorequestchangestotheProprietaryRightsasnecessaryforthedevelopmentofitsproduct,providedsuchchangesarereasonableandagreeduponbyLicensor.
4.3LicenseeshallhavetherighttoterminatethisAgreementifLicensorfailstocomplywiththetermsofthisAgreement.
5.RIGHTSANDOBLIGATIONSOFLICENSOR

7.LIMITATIONSANDRESTRICTIONS
7.1Licenseeshallnotsublicense,assign,transfer,pledge,mortgage,orotherwisedisposeofanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentofLicensor.
7.2LicenseeshallnotusetheProprietaryRightsinanymannerthatisinconsistentwiththetermsofthisAgreement.
8.TERMINATIONANDCONSEQUENCES
8.1UponterminationofthisAgreement,LicenseeshallceasealluseoftheProprietaryRightsandreturnanycopiesorreproductionsoftheProprietaryRightstoL
