2024年度商務(wù)代理及授權(quán)合同本合同目錄一覽第一條商務(wù)代理及授權(quán)范圍1.1代理產(chǎn)品及服務(wù)1.2代理區(qū)域1.3代理期限第二條雙方的權(quán)利和義務(wù)2.1代理商的權(quán)益2.2授權(quán)方的責(zé)任2.3代理商的責(zé)任第三條商務(wù)條款3.1銷售目標(biāo)3.2價格政策3.3付款條件3.4售后服務(wù)第四條宣傳與推廣4.1代理商宣傳策略4.2授權(quán)方提供的支持4.3市場推廣活動第五條培訓(xùn)與技術(shù)支持5.1代理商培訓(xùn)5.2技術(shù)支持與服務(wù)第六條知識產(chǎn)權(quán)保護6.1授權(quán)方知識產(chǎn)權(quán)6.2代理商的行為規(guī)范第七條保密協(xié)議7.1保密信息7.2保密期限7.3保密泄露后果第八條違約責(zé)任8.1違約行為8.2違約責(zé)任承擔(dān)第九條爭議解決9.1協(xié)商解決9.2調(diào)解9.3法律途徑第十條合同的生效與終止10.1合同生效條件10.2合同終止條件第十一條合同的修改與補充11.1修改條件11.2補充協(xié)議第十二條法律適用與管轄12.1適用法律12.2爭議管轄第十三條其他條款13.1信息保密13.2商業(yè)信譽13.3合作精神第十四條雙方簽字蓋章14.1授權(quán)方簽字14.2代理商簽字14.3簽字日期第一部分：合同如下：第一條商務(wù)代理及授權(quán)范圍1.1代理產(chǎn)品及服務(wù)代理商shallactasanexclusiveagentforthesaleofthefollowingproductsandservices(the"Products")intheterritory(the"Territory"):(i)allproductsmanufacturedordistributedtheLicensor,aslistedintheappendixhereto;(ii)allservicesprovidedtheLicensor,aslistedintheappendixhereto.1.2代理區(qū)域TheTerritoryshallmeanthe[insertdescriptionofterritory,e.g.,allofChina].1.3代理期限第二條雙方的權(quán)利和義務(wù)2.1代理商的權(quán)益(i)TheLicensoragreestosupplytheProductstotheAgentinsuchquantitiesandwithinsuchtimeframesastheLicensormaydetermine,subjecttothetermsandconditionsofthisAgreement.(iii)TheAgentshallhavetherighttousetheLicensor'stradenames,trademarksandlogosinconnectionwiththemarketingandsaleoftheProducts,subjecttothetermsandconditionsofthisAgreement.2.2授權(quán)方的責(zé)任(i)TheLicensorshallberesponsibleforthequalityandsafetyoftheProductsandforanyclaimsorliabilityarisingoutoforinconnectionwiththeuseorsaleoftheProducts.(ii)TheLicensorshallindemnifyandholdharmlesstheAgentagainstanyclaimsorliabilityarisingoutoforinconnectionwithanyuseorsaleoftheProducts,excepttotheextentcausedtheAgent'snegligenceorbreachofthisAgreement.2.3代理商的責(zé)任(i)TheAgentshallberesponsiblefortheproperstorage,handlingandsaleoftheProductsinaccordancewiththeLicensor'sinstructionsandallapplicablelawsandregulations.(ii)TheAgentshallmaketimelypaymentstotheLicensorfortheProductssuppliedunderthisAgreement,subjecttothetermsandconditionsofthisAgreement.(iii)TheAgentshallnotassignorsublicenseanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheLicensor.第三條商務(wù)條款3.1銷售目標(biāo)3.2價格政策ThepricesfortheProductsshallbeassetforthinthepricelistprovidedtheLicensorfromtimetotime,whichshallbeeffectiveupontheAgent'sreceiptthereof.TheLicensorreservestherighttoadjustthepricesoftheProductsfromtimetotime.3.3付款條件TheAgentshallmakepaymentsfortheProductswithin[insertnumber]daysafterthedateoftheinvoiceissuedtheLicensor.3.4售后服務(wù)TheAgentshallprovideaftersaleservicefortheProductsinaccordancewiththetermsandconditionssetforthintheappendixhereto.第四條宣傳與推廣4.1代理商宣傳策略TheAgentshalldevelopandimplementamarketingplanfortheProducts,whichshallbesubjecttotheapprovaloftheLicensor.TheAgentshallprovidetheLicensorwithcopiesofallpromotionalmaterialsandadvertisingusedinconnectionwiththeProducts.4.2授權(quán)方提供的支持TheLicensorshallprovidetheAgentwithreasonabletechnicalandpromotionalsupportinconnectionwiththemarketingandsaleoftheProducts,assetforthintheappendixhereto.4.3市場推廣活動TheAgentshallberesponsiblefororganizingandhostingallmarketingeventsandpromotionalactivitiesfortheProductsintheTerritory,atitsownexpense.TheLicensormay,atitsoption,providesupportforsucheventsandactivities,subjecttothetermsandconditionsofthisAgreement.第五條培訓(xùn)與技術(shù)支持5.1代理商培訓(xùn)TheLicensorshallprovidetrainingtotheAgent'semployeeswithrespecttotheProducts,assetforthintheappendixhereto.5.2技術(shù)支持與服務(wù)TheLicensorshallprovidetechnicalsupportandservicesfortheProductstothecustomersintheTerritory,assetforthintheappendixhereto.第六條知識產(chǎn)權(quán)保護6.1授權(quán)方知識產(chǎn)權(quán)AllintellectualpropertyrightsinandtotheProductsandanyassociatedtechnology,documentationandmaterialsshallremainthepropertyoftheLicensor.6.第八條違約責(zé)任8.1違約行為(i)IfeitherpartybreachesanymaterialprovisionofthisAgreement,theotherpartymayhavetherighttoterminatethisAgreementuponwrittennoticetothebreachingparty.(ii)IftheAgentfailstoachievethesalestargetssetforthintheappendixhereto,theLicensormayhavetherighttoterminatethisAgreementuponwrittennoticetotheAgent,unlesstheAgentcuresuchfailurewithinareasonableperiodoftimeasdeterminedtheLicensor.8.2違約責(zé)任承擔(dān)(i)IntheeventofabreachofthisAgreementeitherparty,thenonbreachingpartyshallbeendtorecoverfromthebreachingpartyalldamages,costsandexpenses(includingreasonableattorney'sfees)incurredthenonbreachingpartyasaresultofsuchbreach.(ii)TheLicensorshallnotbeliableforanyindirect,incidental,consequentialorpunitivedamagesarisingoutoforinconnectionwiththisAgreement,underanylegaltheory.第九條爭議解決9.1協(xié)商解決AnydisputesarisingoutoforinconnectionwiththisAgreementshallfirstberesolvedthroughnegotiationsbetweentheparties.9.2調(diào)解Ifthepartiesareunabletoresolveanysuchdisputesthroughnegotiations,eitherpartymaysubmitthedisputestomediationadministeredtheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)inaccordancewithitsrulesthenineffect.9.3法律途徑Ifthepartiesareunabletoresolveanysuchdisputesthroughmediation,eitherpartymaybringalegalactioninthecourtslocatedin[insertjurisdiction],andthisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[insertjurisdiction].第十條合同的生效與終止10.1合同生效條件10.2合同終止條件(ii)ThisAgreementmaybeterminatedtheLicensoruponwrittennoticetotheAgentiftheAgentfailstoachievethesalestargetssetforthintheappendixheretoduringtheTerm.第十一條合同的修改與補充11.1修改條件ThisAgreementmaybeamendedorsupplementedthepartiesfromtimetotimewrittenagreementexecutedbothparties.11.2補充協(xié)議AnyamendmentorsupplementtothisAgreementshallbeeffectiveonlyifexecutedinwritingbothparties.第十二條法律適用與管轄12.1適用法律ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[insertjurisdiction].12.2爭議管轄AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtothecourtslocatedin[insertjurisdiction]forresolution.第十三條其他條款13.1信息保密BothpartiesagreetokeepconfidentialallproprietaryandconfidentialinformationexchangedbetweenthemunderthisAgreement,andtousesuchinformationonlyforthepurposespermittedunderthisAgreement.13.2商業(yè)信譽13.3合作精神Bothpartiesagreetoworktogetheringoodfaithandtocooperatewitheachotherinpromoting,marketingandsellingtheProductsintheTerritory.第十四條雙方簽字蓋章14.1授權(quán)方簽字TheundersignedrepresentativeoftheLicensorhererepresentsandwarrantsthathe/shehasthefullauthoritytobindtheLicensortothisAgreementandaffixestheLicensor'sofficialsealhereto.14.2代理商簽字TheundersignedrepresentativeoftheAgenthererepresentsandwarrantsthathe/shehasthefullauthoritytobindtheAgenttothisAgreementandaffixestheAgent'sofficialsealhereto.14.3簽字日期ThepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.第二部分：第三方介入后的修正第一條第三方介入定義1.1第三方定義ForthepurposesofthisAgreement,"ThirdParty"shallmeananyindividual,entityororganizationthatisnottheLicensorortheAgent,andthatisinvolvedinanywayintheperformanceofthisAgreement,includingbutnotlimitedtoconsultants,subcontractors,suppliersandcustomers.1.2第三方責(zé)任限定TheliabilityofaThirdPartyshallbelimitedtotheobligationsandresponsibilitiesexpresslysetforthinthisAgreement,andshallnotextendtoanyotherobligationsorresponsibilitiesoftheLicensorortheAgent.第二條第三方介入條款2.1第三方選擇TheLicensorandtheAgentmay,fromtimetotime,engagetheservicesofThirdPartiestoassistintheperformanceoftheirobligationsunderthisAgreement.TheengagementofanyThirdPartyshallbesubjecttothepriorwrittenconsentoftheotherparty,whichconsentshallnotbeunreasonablywithheld.2.2第三方義務(wù)2.3第三方協(xié)調(diào)第三條第三方責(zé)任限額3.1第三方責(zé)任限制TheliabilityofaThirdPartytotheLicensorortheAgentshallbelimitedtotheextentoftheinsurancecoveragemaintainedsuchThirdParty,ortotheamountofthepaymentreceivedtheLicensorortheAgentfromsuchThirdParty,whicheverisless.3.2第三方賠償?shù)谒臈l第三方違約處理4.1第三方違約4.2第三方違約處理TheLicensorandtheAgentshalltakeallnecessarystepstomitigateanylossesordamagesresultingfromabreachofthisAgreementaThirdParty,andshallcooperatewitheachotherintheenforcementofthisAgreementagainstsuchThirdParty.第五條第三方權(quán)益保護5.1第三方信息保護TheLicensorandtheAgentshallensurethatanypersonalorconfidentialinformationprovidedaThirdPartyisprotectedandusedinaccordancewithapplicablelawsandregulations,andshallnotdisclosesuchinformationtoanyunauthorizedparties.5.2第三方知識產(chǎn)權(quán)保護TheLicensorandtheAgentshallrespecttheintellectualpropertyrightsofThirdParties,andshallnotuseordistributeanyintellectualpropertyofaThirdPartywithouttheexpresswrittenconsentofsuchThirdParty.第六條第三方退出條款6.1第三方退出通知AThirdPartymaywithdrawfromitsengagementunderthisAgreementprovidingwrittennoticetotheLicensorandtheAgent.ThewithdrawalofaThirdPartyshallnotaffecttheobligationsoftheLicensorandtheAgentunderthisAgreement.6.2第三方退出后果UponthewithdrawalofaThirdParty,theLicensorandtheAgentshalltakeallnecessarystepstoensurethecontinuityoftheperformanceofthisAgreement,andshallpromptlyreplacetheservicesorobligationsofthewithdrawingThirdPartywithanotherqualifiedThirdParty.第七條第三方協(xié)調(diào)與監(jiān)督7.1第三方協(xié)調(diào)機構(gòu)TheLicensorandtheAgentmayestablishacoordinationandsupervisionmechanismtooverseetheperformanceofThirdPartiesunderthisAgreement.7.2第三方監(jiān)督機構(gòu)第八條第三方合規(guī)性檢查8.1第三方合規(guī)性要求8.2第三方合規(guī)性報告第九條第三方培訓(xùn)與指導(dǎo)9.1第三方培訓(xùn)TheLic第三部分：其他補充性說明和解釋說明一：附件列表：附件1：產(chǎn)品清單詳細列出所有由授權(quán)方制造或分發(fā)的產(chǎn)品，包括但不限于產(chǎn)品名稱、型號、規(guī)格、單價等信息。附件2：服務(wù)清單詳細列出所有由授權(quán)方提供的服務(wù)，包括但不限于服務(wù)名稱、服務(wù)內(nèi)容、收費標(biāo)準(zhǔn)等信息。附件3：代理區(qū)域描述詳細描述代理區(qū)域的具體范圍，包括但不限于地理位置、覆蓋區(qū)域、目標(biāo)客戶群體等信息。附件4：銷售目標(biāo)詳細列出代理商在合同期限內(nèi)需要達到的銷售目標(biāo)，包括具體的產(chǎn)品和服務(wù)的銷售數(shù)量、銷售額等。附件5：價格
