hedesigndocumentsforanypurposeotherthantheperformanceofthiscontract.13.2信息披露Thepartiesshallprovideeachotherwithsuchinformationasisnecessaryfortheperformanceofthiscontract.13.3配合與協(xié)作Thepartiesshallcooperateandassisteachotherintheperformanceofthiscontract,andshallpromptlyresolveanyissuesthatmayariseinconnectionwiththeperformanceofthiscontract.第十四條附件14.1設(shè)計(jì)方案與施工圖紙AttachedheretoasExhibitAarethedesigndocumentsandconstructiondrawingsfortheproject.14.2工程量清單AttachedheretoasExhibitBisthedetailedlistofquantitiesfortheproject.14.3相關(guān)標(biāo)準(zhǔn)與規(guī)范AttachedheretoasExhibitCaretherelevantstandardsandspecificationsthatapplytothiscontract.14.4其他重要文件AttachedheretoasExhibitDareotherimportantdocumentsthatapplytothiscontract.第二部分：第三方介入后的修正第一條第三方定義與責(zé)任1.1第三方定義Forthepurposesofthiscontract,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnottheclient,thedesigner,ortheContractor,andthatisinvolvedintheperformanceofthiscontractinanycapacity.1.2第三方責(zé)任TheThirdPartyshallberesponsiblefortheperformanceofitsobligationsunderthiscontractandshallbeliableforanylossesordamagescauseditsfailuretoperformsuchobligations.第二條第三方介入程序2.1第三方選擇Theclient,designer,andContractorshallmutuallyagreeontheselectionofaThirdParty,ifnecessary,toperformspecifictasksorprovideservicesrelatedtotheproject.2.2第三方合同Theclient,designer,andContractorshallenterintoaseparatecontractwiththeThirdParty,whichshallspecifythescopeofwork,deliverables,paymentterms,andotherrelevanttermsandconditions.第三條第三方協(xié)調(diào)與溝通3.1協(xié)調(diào)責(zé)任3.2信息共享Theclient,designer,andContractorshallsharerelevantinformationwiththeThirdPartytofacilitatetheperformanceoftheproject.第四條第三方責(zé)任限額4.1責(zé)任限定TheThirdPartyshallbeliablefordamagesorlossescauseditsbreachofcontractornegligence,butshallnotbeliableforanyindirect,incidental,orconsequentialdamages.4.2責(zé)任限制TheaggregateliabilityoftheThirdPartyunderthiscontractshallnotexceedtheamountpaidtheclienttotheThirdPartyfortheperformanceofitsobligations.第五條第三方變更與替換5.1變更程序IftheThirdPartyfailstoperformitsobligationsunderthiscontractorbreachesanymaterialtermorconditionofthiscontract,theclient,designer,andContractormaymutuallyagreetoreplacetheThirdPartyormakeothernecessaryadjustments.5.2替換后果IntheeventofreplacementoftheThirdParty,theclient,designer,andContractorshallnegotiateandagreeonthetermsandconditionsforthereplacement,includingbutnotlimitedtothetransferofobligationsandthepaymentofanyadditionalcosts.第六條第三方與甲乙方的關(guān)系6.1獨(dú)立關(guān)系TheThirdPartyshallbeanindependentcontractorandshallnotbeconsideredanagent,employee,oraffiliateoftheclient,designer,orContractor.6.2責(zé)任劃分TheThirdPartyshallbesolelyresponsiblefortheperformanceofitsobligationsunderthiscontractandshallnotbeliableforanyactsoromissionsoftheclient,designer,orContractor.第七條第三方違約處理7.1違約處理IntheeventofabreachofthiscontracttheThirdParty,theclient,designer,andContractorshallnegotiateingoodfaithtoresolvethebreachanddeterminetheappropriateremedies.7.2違約后果第八條第三方保險(xiǎn)與保證8.1保險(xiǎn)要求TheThirdPartyshallobtainandmaintainappropriateinsurancecoverage,asrequiredtheclient,designer,andContractor,toprotectagainstanylossesordamagesthatmayariseinconnectionwiththeperformanceofthiscontract.8.2保證責(zé)任TheThirdPartyshallprovideaperformancebondorothersecurity,asrequiredtheclient,designer,andContractor,toensurethesatisfactoryperformanceofitsobligationsunderthiscontract.第九條第三方退出與終止9.1退出條件TheThirdPartymayterminateitsinvolvementintheprojectuponwrittennoticetotheclient,designer,andContractor,ifnecessary,inaccordancewiththetermsoftheseparatecontractenteredintowiththeclient.9.2終止后果第十條第三方繼承與轉(zhuǎn)讓10.1繼承Intheeventofthemerger,acquisition,orsaleoftheThirdParty,thiscontractshallbeautomaticallyassignedtothesurvivingoracquiringentity,providedthattheentityassumesallobligationsunderthiscontract.10.2轉(zhuǎn)讓TheThirdPartymaynotassignortransferitsrightsandobligationsunderthiscontractwithoutthepriorwrittenconsentoftheclient,designer,andContractor.第十一條第三方遵守法律與規(guī)定11.1法律遵守
