2.TheEmployeerepresentsandwarrantsthathe/sheisoflegalageandhastheauthoritytoenterintothisContract.
TERMSANDCONDITIONS:
1.TheEmployeewasemployedbytheEmployerasa__________(jobtitle)on__________(dateofemployment)andisdismissedfromthepositioneffectivefrom__________(dateoftermination).
2.TheEmployee'semploymentwiththeEmployerisherebyterminated,andtheEmployeeshallnotbeentitledtoanyfurtheremploymentwiththeEmployeraftertheterminationdate.
3.TheEmployershallpaytheEmployeethefollowingamountsascompensationfortheterminationofemployment:

7.AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationbetweentheEmployerandtheEmployee.Incaseoffailuretoreachanagreementthroughnegotiation,thedisputeshallbesubmittedtothePeople'sCourtwithjurisdictionovertheEmployer'splaceofbusinessforresolution.

3.TheThirdPartyrepresentsandwarrantsthatitisalegallyestablishedentitywiththenecessaryexpertisetoprovidetheservicesoutlinedinthisContract.
TERMSANDCONDITIONS:
I.Employer'sRightsandObligations:
1.TheEmployerhastherighttoterminatetheemploymentoftheEmployeeatanytimeforanyreason,subjecttotheprovisionsofthisContractandapplicablelaws.
2.TheEmployershallensurethattheterminationprocesscomplieswithallrelevantlegalrequirementsandprovidestheEmployeewithappropriatenotice.
3.TheEmployershallpaytheEmployeealllegallyrequiredbenefitsandcompensationupontermination,includingbutnotlimitedtoseverancepay,unusedleavepay,andanyotherapplicablebenefits.
II.Employee'sRightsandObligations:
1.TheEmployeehastherighttoreceivealllegallyrequiredbenefitsandcompensationupontermination.
2.TheEmployeeagreestocooperatewiththeEmployerandtheThirdPartyintheterminationprocessandtoprovideanynecessarydocumentationorinformation.
3.TheEmployeeagreesnottoengageinanyactivitythatmaybedetrimentaltotheEmployer'sinterestsduringandaftertheterminationperiod.
III.ThirdParty'sRightsandObligations:
1.TheThirdPartyhastherighttoprovideservicesrelatedtoemployeebenefitsandcompensationtotheEmployerandtheEmployee,asagreeduponinthisContract.
2.TheThirdPartyshallactasanintermediarybetweentheEmployerandtheEmployeetoensurethetimelyandaccuratepaymentofbenefitsandcompensation.
3.TheThirdPartyshallmaintainconfidentialityregardingallinformationreceivedfromtheEmployerandtheEmployee.
IV.Employee'sBreachofContractandLimitations:
1.IntheeventoftheEmployee'sbreachofthisContract,includingbutnotlimitedtofailuretocomplywiththeterminationprocessorrefusaltoprovidenecessarydocumentation,theEmployershallhavetherighttoterminatetheEmployee'semploymentimmediatelywithoutfurthernotice.
2.TheEmployeeagreesnottosuetheEmployerforwrongfulterminationiftheterminationisinaccordancewiththisContractandapplicablelaws.
3.TheEmployeeagreestoreleasetheEmployerfromanyliabilityarisingfromorrelatedtotheterminationofemployment,exceptforanydamagescausedbytheEmployer'sgrossnegligenceorwillfulmisconduct.
V.ThirdParty'sLiability:
1.TheThirdPartyshallbeliableforanylossordamagesufferedbytheEmployerortheEmployeeduetoitsfailuretoperformitsobligationsunderthisContract.
2.TheThirdPartyagreestoindemnifytheEmployeragainstanyclaimsoractionsbroughtbythirdpartiesarisingfromitsservicesprovidedunderthisContract.
VI.GoverningLawandDisputeResolution:
1.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictioninwhichtheEmployer'sprincipalplaceofbusinessislocated.
2.AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.

CONSIDERATIONANDINTENT:
TheEmployer,theEmployee,andtheThirdPartyherebyagreethatthisContractisenteredintoforvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged.
ThepurposeofinvolvingtheThirdPartyinthisContractistoensuretheEmployer'scompliancewithlegalobligationsregardingemployeebenefitsandcompensation,aswellastoprovidetheEmployeewithastreamlinedprocessforreceivingthesebenefits.TheEmployer'sprimaryobjectiveinenteringintothisContractistosafeguarditsinterests,maintainlegalcompliance,andensureasmoothtransitionfortheEmployee.
ByprioritizingtheEmployer'srightsandobligations,thisContractensuresthattheEmployer'sinterestsareprotected,whilealsoprovidingaclearframeworkfortheEmployee'srightsandtheThirdParty'sroleinfacilitatingthebenefitsandcompensationprocess.TheinclusionofspecificrightsandobligationsfortheEmployer,aswellasthelimitationoftheEmployee'srightsintheeventofabreach,reflectstheEmployer'sdesiretomaintainarobustlegalpositionandprotectitsassets.

2.TheEmployeeagreestocooperatewiththeEmployerandtheThirdPartyintheterminationprocessandtoprovideanynecessarydocumentationorinformation.
3.TheEmployeeshallnotengageinanyactivitythatmaybedetrimentaltotheEmployer'sinterestsduringandaftertheterminationperiod.
II.Employer'sRightsandObligations:
1.TheEmployerhastherighttoterminatetheemploymentoftheEmployeeforanyreasonthatisnotdiscriminatoryorinviolationofapplicablelaws.
2.TheEmployershallprovidetheEmployeewithawrittennoticeofterminationinaccordancewithapplicablelawsandregulations.
3.TheEmployershallfacilitatetheservicesprovidedbytheThirdPartytotheEmployee.
III.ThirdParty'sRightsandObligations:
1.TheThirdPartyhastherighttoprovideoutplacementservicestotheEmployee,includingcareercounseling,resumepreparation,jobsearchassistance,andnetworkingopportunities.
2.TheThirdPartyshallmaintainconfidentialityregardingallinformationreceivedfromtheEmployerandtheEmployee.
3.TheThirdPartyshallusereasonableeffortstoassisttheEmployeeinfindingnewemploymentsuitabletohis/herqualificationsandexperience.
IV.Employee'sBreachofContractandLimitations:
1.IntheeventoftheEmployee'sbreachofthisContract,includingbutnotlimitedtofailuretocomplywiththeterminationprocessorrefusaltoprovidenecessarydocumentation,theEmployershallhavetherighttoterminatetheEmployee'semploymentimmediatelywithoutfurthernotice.
2.TheEmployeeagreesnottosuetheEmployerforwrongfulterminationiftheterminationisinaccordancewiththisContractandapplicablelaws.
3.TheEmployeeagreestoreleasetheEmployerfromanyliabilityarisingfromorrelatedtotheterminationofemployment,exceptforanydamagescausedbytheEmployer'sgrossnegligenceorwillfulmisconduct.
V.Employer'sLiabilityandLimitations:
1.TheEmployershallbeliableforanylossordamagesufferedbytheEmployeeduetoitsfailuretoperformitsobligationsunderthisContract,exceptforanydamagesarisingfromtheEmployee'sownactionsorinactions.
2.TheEmployeragreestoindemnifytheEmployeeagainstanyclaimsoractionsbroughtbythirdpartiesarisingfromitsterminationoftheEmployee'semployment,providedsuchterminationwasinaccordancewiththisContractandapplicablelaws.
VI.GoverningLawandDisputeResolution:
1.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictioninwhichtheEmployer'sprincipalplaceofbusinessislocated.
2.AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.
