ThisContract(hereinafterreferredtoas"theContract")isherebymadeandenteredintobyandbetweenthefollowingparties:

1.PartyA:[NameofPartyA],alegalentityregisteredandestablishedin[CountryofPartyA],withitsregisteredaddressat[AddressofPartyA](hereinafterreferredtoas"PartyA").

2.PartyB:[NameofPartyB],alegalentityregisteredandestablishedin[CountryofPartyB],withitsregisteredaddressat[AddressofPartyB](hereinafterreferredtoas"PartyB").

WHEREAS,PartyAisengagedintheconstructionindustryandpossessesthenecessaryqualifications,skills,andresourcestoundertaketheconstructionproject(hereinafterreferredtoas"theProject")specifiedinthisContract;and

WHEREAS,PartyBrequiresPartyAtoundertaketheconstructionoftheProjectinaccordancewiththetermsandconditionssetforthherein;and

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.ScopeofWork:

PartyAshallundertaketheconstructionoftheProjectasdescribedintheattacheddrawings,specifications,andotherrelevantdocuments(collectivelyreferredtoas"theConstructionDocuments").

2.ProjectDuration:

TheProjectshallbecompletedwithin[Number]monthsfromthedateofthecommencementofconstruction,unlessotherwiseagreeduponbytheparties.

3.PaymentTerms:

3.1Paymentshallbemadeinaccordancewiththefollowingschedule:

-[Percentage]%ofthetotalcontractpriceshallbepaidupontheexecutionofthisContract.

-[Percentage]%ofthetotalcontractpriceshallbepaiduponthecompletionofthefoundationwork.

3.2Allpaymentsshallbemadein[Currency]within[Number]daysfromthedateofinvoice,unlessotherwiseagreeduponbytheparties.

4.PerformanceandQualityStandards:

PartyAshallperformtheconstructionworkinaccordancewiththeConstructionDocumentsandallapplicablelaws,regulations,codes,andstandards.Theconstructionworkshallbecarriedoutwithduediligenceandinaprofessionalmannertoensurecompliancewiththerequiredqualitystandards.

5.DelaysandLiquidatedDamages:

5.1IntheeventofanydelayinthecompletionoftheProjectbeyondtheagreeduponduration,PartyAshallbeliabletopayPartyBliquidateddamagesattherateof[Amount]perday,subjecttoamaximumof[Amount].

5.2PartyBshallhavetherighttoterminatethisContract,inwholeorinpart,ifPartyAfailstocompletetheProjectwithintheagreeduponduration,withoutanyliabilitytoPartyA.

6.TerminationandCancellation:

6.1ThisContractmaybeterminatedbyeitherpartyupontheoccurrenceofanyofthefollowingevents:

-FailureofeitherpartytocomplywithanymaterialtermorconditionofthisContract.

-Insolvency,bankruptcy,orliquidationofeitherparty.

-Anyothereventthat,inthereasonableopinionoftheaffectedparty,rendersthecontinuanceofthisContractcommerciallyimpracticalorunlawful.

6.2IntheeventofterminationorcancellationofthisContract,PartyAshallbeentitledtorecoveranyamountsalreadypaidtoitandanyexpensesincurredinrelationtotheProjectuptothedateofterminationorcancellation.

7.DisputeResolution:

7.1AnydisputearisingoutoforinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.

7.2Intheeventthatthepartiesfailtoreachasettlementthroughnegotiations,anydisputeshallberesolvedbyarbitrationinaccordancewiththerulesofthe[NameofArbitrationInstitution]andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

8.GoverningLawandJurisdiction:

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

9.EntireAgreement:

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andrepresentations,whetheroralorwritten,relatingtothesubjectmatterofthisContract.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.ScopeofWork:

1.1PartyBshallundertaketheconstructionoftheProjectasdescribedintheattacheddrawings,specifications,andotherrelevantdocuments(collectivelyreferredtoas"theConstructionDocuments").

1.2ThirdPartyshallprovide[specificservicesorexpertise]toPartyAinrelationtotheProject,asfurtherdetailedintheattachedAgreementofServices(hereinafterreferredtoas"theServicesAgreement").

4.2ThirdPartyshallhavetherighttoreceivepaymentfortheservicesprovidedinaccordancewiththeServicesAgreement.

4.3ThirdPartyshallnotengageinanyactivitiesthatmayconflictwiththeinterestsofPartyAortheProject.

5.PartyA'sRightsandInterests:

5.1PartyAretainstherighttosuperviseandinspecttheworkofPartyBandThirdPartyatanyreasonabletimeduringthecourseoftheProject.

5.2PartyAshallhavetherighttoterminatetheServicesAgreementwithThirdParty,inwholeorinpart,forcause,uponwrittennoticetoThirdParty.

5.3PartyAshallhavetherighttoreceivereportsfromThirdPartyregardingtheprogressandqualityoftheservicesprovided.

6.PartyB'sandThirdParty'sObligations:

6.1PartyBandThirdPartyshallcomplywithallapplicablelaws,regulations,codes,andstandardsintheperformanceoftheirrespectiveobligationsunderthisContractandtheServicesAgreement.

6.2PartyBandThirdPartyshallnotsubcontractanypartoftheworkwithoutthepriorwrittenconsentofPartyA.

7.PartyB'sandThirdParty'sLiability:

7.1PartyBandThirdPartyshallbejointlyandseverallyliabletoPartyAforanybreachoftheirobligationsunderthisContractortheServicesAgreement.

7.2Intheeventofabreach,PartyBandThirdPartyshallbeliabletoPartyAforanyloss,damage,orexpenseincurredasaresultofsuchbreach.

8.PartyB'sandThirdParty'sLimitationofLiability:

8.1PartyBandThirdParty'sliabilityunderthisContractandtheServicesAgreementshallbelimitedtothedirectdamagesincurredbyPartyAasaresultofsuchbreach,andshallnotincludeanyindirect,special,orconsequentialdamages.

8.2PartyBandThirdPartyshallnotbeliableforanyfailuretoperformtheirobligationsduetocausesbeyondtheirreasonablecontrol,includingactsofGod,war,labordisputes,orgovernmentactions.

9.DisputeResolution:

9.1AnydisputearisingoutoforinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.

9.2Intheeventthatthepartiesfailtoreachasettlementthroughnegotiations,anydisputeshallberesolvedbyarbitrationinaccordancewiththerulesofthe[NameofArbitrationInstitution]andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

10.GoverningLawandJurisdiction:

TheinvolvementofThirdPartyintheProjectisintendedtoenhancetheexpertiseandresourcesavailabletoPartyA,ensuringthesuccessfulcompletionoftheProjectandtheprotectionofPartyA'sinterests.

13.ConclusionofPartyA'sDominance:

PartyA'srightsandinterestsareofparamountimportanceinthisContract,andthetermsandconditionshavebeenstructuredtoprioritizePartyA'scontrolandbenefitsthroughouttheProject'slifecycle.

5.PartyB'sRightsandInterests:

5.1PartyBshallhavetherighttoapproveanychangestotheProjectscopeorschedulethatmayaffecttheServicesprovidedbyThirdParty.

5.2PartyBshallhavetherighttoreceiveregularreportsfromThirdPartyregardingtheprogressandqualityoftheServices.

5.3PartyBshallhavetherighttoterminatetheServicesAgreementwithThirdParty,inwholeorinpart,forcause,uponwrittennoticetoThirdParty.

6.PartyA'sObligations:

6.1PartyAshallprovidePartyBwithallnecessaryinformationandresourcestoenablePartyBtoeffectivelymanagetheProject.

6.2PartyAshallcomplywiththetermsandconditionsoftheServicesAgreementandshallnotinterferewiththeworkofThirdPartyunlessunderexceptionalcircumstances.

6.3PartyAshallbeliableforanybreachofitsobligationsunderthisContract,includinganyfailuretoprovidethenecessaryinformationorresources.

7.PartyA'sLiability:

7.1PartyAshallbeliabletoPartyBforanyloss,damage,orexpenseincurredbyPartyBorThirdPartyduetoPartyA'sbreachofthisContract.

7.2PartyA'sliabilityshallbelimitedtothedirectdamagesincurredbyPartyBorThirdPartyasaresultofsuchbreach.
