NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,theOwnerandtheChartererherebyagreeasfollows:

1.CharterParty.ThisContractconstitutestheentirecharterpartybetweentheOwnerandtheCharterer,andsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

2.Vessel.TheVesselisherebycharteredtotheChartererfortheperiodof[insertdurationofcharter],subjecttotheprovisionsofthisContract.

3.DeliveryandRedelivery.TheVesselshallbedeliveredtotheChartererat[insertdeliverylocationandtime]andshallberedeliveredtotheOwnerat[insertredeliverylocationandtime].

4.Rates.Thecharterrateshallbe[insertrate]per[insertunitofmeasurement],calculatedonthebasisof[insertbasisofcalculation]andsubjectto[inserttermsofrateadjustment].

5.Insurance.TheOwnershallmaintainallnecessaryinsurancefortheVesselduringthetermofthisContract,includingbutnotlimitedtomarineinsurance,cargoinsurance,andpassengerliabilityinsurance.

6.FuelandStores.TheCharterershallberesponsiblefortheprovisionofallfuelandstoresnecessaryfortheoperationoftheVesselduringthetermofthisContract,unlessotherwiseagreed.

7.CrewandManning.TheVesselshallbemannedbytheOwner'screwduringthetermofthisContract.TheCharterershallberesponsibleforthepaymentofwagesandotherremunerationtothecrew,aswellasfortheprovisionoflivingaccommodationsandmedicalcare.

8.MaintenanceandRepair.TheOwnershallberesponsibleforthemaintenanceandrepairoftheVesselduringthetermofthisContract,exceptforwearandtearanddamagecausedbytheCharterer'suseoftheVessel.

9.Liabilities.TheOwnerandtheCharterershallindemnifyeachotheragainstanyandallliabilitiesarisingoutoforinconnectionwiththeuseoftheVesselunderthisContract,exceptforliabilitiesarisingoutofthenegligenceorwillfulmisconductoftheotherparty.

10.GoverningLaw.ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[insertjurisdiction].

11.EntireAgreement.ThisContractconstitutestheentireagreementbetweentheOwnerandtheCharterer,andnoamendmentormodificationthereofshallbeeffectiveunlessinwritingandexecutedbybothparties.

4.Charterer'sRightsandObligations:

c.TheCharterershallhavetherighttoclaimdamagesfromtheThirdPartyforanylossordamagesufferedasaresultoftheThirdParty'sfailuretoperformitsservicesadequately.

5.ThirdParty'sRightsandObligations:

TheOwner,astheprincipalpartyinthisContract,aimstoprotectitsinterestsbyensuringtheproperandefficientoperationoftheVessel.ByestablishingclearrightsandobligationsfortheChartererandtheThirdParty,theOwnermaintainscontroloverthequalityofservicesprovidedandtheriskassociatedwiththecharteringprocess.ThiscontractstructurealsoallowstheOwnertoclaimdamagesforanybreachesofcontract,therebymitigatingpotentiallosses.
