dexecutedbothParties.11.3合同解除條件ThisAgreementmaybeterminatedeitherPartyuponwrittennoticetotheotherPartyintheeventofamaterialbreachofthisAgreementtheotherPartywhichremainsunremediedforaperiodofthirty(30)daysafterreceiptofwrittennoticethereoffromthenonbreachingParty.第十二條其他條款12.1合同的完整性ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheParties.12.2通知與送達(dá)12.3合同的副本EachPartyheretoshallkeepatrueandaccuraterecordofalltransactionsanddealingsbetweenthemunderthisAgreement.第十三條附件13.1代理商品清單TheattachedProductListsetsforththespecificProductstobemarketedandsoldtheagent.13.2授權(quán)書TheattachedAuthorizationLetterevidencestheauthorizationgrantedBrandAtotheagent.13.3銷售政策與促銷活動(dòng)方案TheattachedSalesPolicyandPromotionalActivityPlanoutlinesthesalespoliciesandpromotionalactivitiestobeimplementedtheagent.第十四條簽署頁(yè)ThePartieshavecausedthisAgreementtobeexecutedtheirdulyauthorizedrepresentativesasoftheEffectiveDatewrittenbelow.[SignaturePageFollows]第二部分:其他補(bǔ)充性說明和解釋說明一:附件列表:附件一:代理商品清單詳細(xì)列出BrandA授權(quán)代理商銷售的商品種類、型號(hào)、規(guī)格、價(jià)格等信息。此清單作為合同附件,是雙方確定商品范圍的重要依據(jù)。附件二:授權(quán)書授權(quán)書是BrandA授權(quán)代理商在指定區(qū)域內(nèi)銷售其產(chǎn)品的正式文件。授權(quán)書應(yīng)包含授權(quán)范圍、授權(quán)期限、品牌名稱、代理商信息等詳細(xì)內(nèi)容。附件三:銷售政策與促銷活動(dòng)方案詳
