5.Delivery:TheSellershalldelivertheGoodstotheBuyeratthelocationspecifiedintheattachedDeliverySchedule("DeliverySchedule")withinthetimeframestatedinthesaidSchedule.

6.InspectionandAcceptance:UponreceiptoftheGoods,theBuyershallinspectthesamewithin[numberofdays]daysofdelivery.IftheGoodsarefoundtobeinaccordancewiththetermsandconditionsofthisAgreement,theBuyershallaccepttheGoods.IftheGoodsarenotinaccordancewiththetermsandconditionsofthisAgreement,theBuyershallnotifytheSellerinwritingwithin[numberofdays]daysofdelivery.

7.Warranties:TheSellerwarrantsthattheGoodswillbefreefromdefectsinmaterialsandworkmanshipforaperiodof[numberofyears]fromthedateofdelivery.TheBuyer'sexclusiveremedyforanybreachofthiswarrantyshallbetherepairorreplacementofthedefectiveGoods.

9.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

4.Buyer'sRightsandInterests:
