ormancereviewshallbebasedontheEmployee'sjobdescription,duties,andresponsibilities,aswellasanyothercriteriaagreeduponbetweentheparties.7.3FeedbackandDevelopmentTheEmployershallprovidetheEmployeewithfeedbackontheirperformanceandofferopportunitiesforprofessionaldevelopmentasneeded.8.ConfidentialityandNonCompeteClause8.1ConfidentialityAgreementTheEmployeeagreestokeepconfidentialallconfidentialinformationoftheEmployer,includingbutnotlimitedtotradesecrets,customerlists,financialinformation,andbusinessstrategies.TheEmployeeshallnotdiscloseanysuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheEmployer.8.2NonCompeteClause9.TerminationofEmployment9.1NoticePeriodTheEmployeeshallprovide[NoticePeriod]writtennoticeofterminationtotheEmployer,ortheEmployershallprovide[NoticePeriod]writtennoticetotheEmployee.Intheeventofterminationduetogrossmisconduct,thenoticeperiodmaybewaived.9.2TerminationforCauseTheEmployermayterminatetheemploymentoftheEmployeeforcause,includingbutnotlimitedto:a.Grossmisconductb.Breachofconfidentialityd.Failuretoperformtheessentialdutiesoftheposition9.3TerminationMutualAgreementTheEmployerandtheEmployeemayterminatetheemploymentmutualagreement,providedthatsuchterminationisinwritingandsignedbothparties.10.IntellectualProperty10.1OwnershipofWorkProductAllworkproducedtheEmployeeduringthecourseoftheiremploymentshallbedeemedthepropertyoftheEmployer,includingbutnotlimitedtoanyoriginalworks,documents,andothermaterials.10.2RightsandResponsibilitiesofEmployeeTheEmployeeshallretaintherighttobecreditedastheauthorofanyworkproducedduringthecourseoftheiremployment,unlessotherwiseagreedbetweentheparties.11.DisputeResolution11.1MediationandArbitrationAnydisputesarisingunderthisAgreementshallberesolvedthroughmediationorarbitration,asmutuallyagreedtheEmployerandtheEmployee.11.2GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].12.MiscellaneousProvisions12.1AmendmentstotheAgreementAnyamendmenttothisAgreementshallbemadeinwritingandsignedbothparties.12.2EntireAgreementThisAgreementconstitutestheentireagreementbetweentheEmployerandtheEmployeeregardingthesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings.12.3WaiverofBreachThefailureofeitherpartytoenforceatanytimeanyprovisionofthisAgreementshallnotbeconstruedtobeawaiverofsuchprovision,norinanywayaffectthevalidityofthisAgreement.12.4HeadingsforconvenienceonlyTheheadingsinthisAgreementareforconvenienceonlyandshallnotaffecttheinterpretationorconstructionofthisAgreement.13.Signatures13.1SignatureofEmployerThisAgreementshallbeexecutedanauthorizedrepresentativeoftheEmployerandshallbebindingupontheEmployer.13.2SignatureofEmployeeThisAgreementshallbeexecutedtheEmployeeandshallbebindingupontheEmployee.14.Attachments14.1JobDescriptionTheJobDescriptionattachedtothisAgreementisanintegralpartofthisAgreementandformspartofthetermsandconditionsofemployment.14.2BenefitsPackageTheBenefitsPackageattachedtothisAgreementisanintegralpartofthisAgreementandformspartofthetermsandconditionsofemployment.14.3ConfidentialityAgreementTheConfidentialityAgreementattachedtothisAgreementisanintegralpartofthisAgreementandformspartofthetermsandconditionsofemployment.第二部分:第三方介入后的修正1.ThirdPartyInvolvement1.1DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"shallrefertoanyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisengagedeithertheEmployerortheEmployeeforthepurposeofprovidingservices,advice,orassistancerelatedtotheemploymentrelationship.1.2TypesofThirdPartyInvolvementTheinvolvementofaThirdPartymayinclude,butisnotlimitedto,thefollowing:a.Legalcounselormediatorsfordisputeresolutionb.Professionaldevelopmenttrainersc.Healthandsafetyconsultantsd.HRconsultantsorrecruiters2.AdditionalTermsandConditionsforThirdPartyInvolvement2.1ConsentPriortoengagingaThirdParty,theEmployerortheEmployeeshallobtainthewrittenconsentoftheotherparty.TheconsentshallspecifythenatureoftheservicestobeprovidedtheThirdPartyandthedurationoftheengagement.2.2ConfidentialityAnyThirdPartyengagedeitherpartyshallberequiredtosignaconfidentialityagreement,ensuringthatallconfidentialinformationsharedduringthecourseoftheirengagementiskeptsecureandnotdisclosedtoanyunauthorizedthirdparties.2.3FeesandCostsThefeesandcostsassociatedwiththeengagementofaThirdPartyshallbebornethepartythatengagestheThirdParty,unlessotherwiseagreedbetweentheparties.3.ResponsibilitiesoftheThirdParty3.1PerformanceofServices3.2LimitationofLiabilityTheliabilityoftheThirdPartyforanyactoromissioninthecourseofprovidingservicesunderthisAgreementshallbelimitedtothescopeofservicesagreeduponandthefeespaidtotheThirdParty.3.3IndemnificationTheEmployerortheEmployeeshallindemnifytheThirdPartyagainstanyclaims,demand
