5.IntellectualPropertyRights

a.Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,inthegoods/servicesshallremainwithPartyA.

b.PartyBshallnotuse,copy,modify,ordistributeanyintellectualpropertyrightsofPartyAwithoutpriorwrittenconsent.

6.Confidentiality

a.BothpartiesagreetokeepconfidentialanyandallinformationobtainedduringthecourseofthisContract,includingbutnotlimitedtotechnical,financial,andcommercialinformation.

b.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisContract.

7.GoverningLawandDisputeResolution
