InternationalSaleofGoodsAgreement

ThisInternationalSaleofGoodsAgreement(the"Agreement")isenteredintothis[insertdate]byandbetween[Seller'sLegalName],a[Seller'sCountry]corporationwithitsprincipalplaceofbusinessat[Seller'sAddress](hereinafterreferredtoas"Seller"),and[Buyer'sLegalName],a[Buyer'sCountry]corporationwithitsprincipalplaceofbusinessat[Buyer'sAddress](hereinafterreferredtoas"Buyer").

WHEREAS,Sellerisengagedinthebusinessofmanufacturingandselling[Products],andBuyerwishestopurchasecertainproductsfromSellerforresaleoruseinitsbusinessoperations.

WHEREAS,Thepartiesdesiretoestablishthetermsandconditionsunderwhichtheproductsshallbesoldanddelivered.

NOW,THEREFORE,inconsiderationofthemutualpromisesandcovenantscontainedherein,andforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesagreeasfollows:

Article1:Definitions

1.1"Products"shallmeanthegoodstobesoldbySellertoBuyerasdescribedintheattachedScheduleA.

1.2"PurchaseOrder"shallmeanawrittenorderfromBuyertoSellerspecifyingthequantity,description,andpriceoftheProductstobepurchased.

1.3"DeliveryDate"shallmeanthedatespecifiedinthePurchaseOrderonwhichtheProductsaretobedeliveredtoBuyer.

1.4"IncorporatedTerms"shallmeanthetermsandconditionssetforthinScheduleB,whichareincorporatedintothisAgreementbyreference.

Article2:SaleandPurchaseofProducts

2.1SelleragreestosellandBuyeragreestopurchasetheProductsinaccordancewiththetermsandconditionsofthisAgreement.

2.2Thequantity,description,andpriceoftheProductstobesoldandpurchasedunderthisAgreementshallbeasspecifiedineachPurchaseOrder.

2.3AllPurchaseOrdersaresubjecttoacceptancebySellerinwriting.NoPurchaseOrdershallbebindingonSelleruntilacceptedbySeller.

2.4SellerreservestherighttomakechangesinthespecificationsoftheProductstotheextentthatsuchchangesdonotmateriallyaffecttheirperformanceoruse.

Article3:PriceandPaymentTerms

3.1ThepriceoftheProductsshallbeasspecifiedinthePurchaseOrder.

3.2PaymentfortheProductsshallbemadeinaccordancewiththepaymenttermsspecifiedinthePurchaseOrder.

3.3IntheeventthatBuyerfailstomakepaymentwhendue,Sellermay,atitsoption,eitherdefershipmentoftheProductsorcancelthePurchaseOrderandrecoverdamagesfromBuyer.

3.4Allpaymentsshallbemadein[Currency]andshallbefreeandclearofanydeductions,withholdings,ortaxes,exceptasrequiredbylaw.

Article4:DeliveryandShipment

4.1DeliveryoftheProductsshallbemadeinaccordancewiththedeliverytermsspecifiedinthePurchaseOrder(Incoterms2020).

4.2SellershallusereasonableeffortstodelivertheProductsonorbeforetheDeliveryDatespecifiedinthePurchaseOrder.

4.3IfSellerisunabletodelivertheProductsonorbeforetheDeliveryDate,SellershallpromptlynotifyBuyerinwritingandprovideanestimatednewdeliverydate.

4.4BuyershallacceptdeliveryoftheProductsatthespecifieddeliverypointandshallprovideSellerwithanynecessaryassistancetofacilitatedelivery.

4.5RiskoflossfortheProductsshallpasstoBuyerupondeliveryinaccordancewiththedeliverytermsspecifiedinthePurchaseOrder.

Article5:InspectionandAcceptance

5.1BuyershallinspecttheProductsimmediatelyuponreceiptandshallnotifySellerinwritingofanyclaimsforshortages,defects,ordamageswithin[numberofdays]daysafterreceipt.

5.2IfBuyerfailstoprovidewrittennoticeofanyclaimswithinthespecifiedtimeperiod,theProductsshallbedeemedacceptedbyBuyer.

5.3Sellershall,atitsoption,eitherreplaceorrepairanyProductsthatarefoundtobedefectiveordamaged,providedthatBuyerhascompliedwiththeinspectionandnotificationrequirementssetforthinthisArticle.

Article6:Warranties

6.1SellerwarrantsthattheProductsshallbefreefromdefectsinmaterialandworkmanshipforaperiodof[numberofmonths/years]fromthedateofdelivery.

6.2ThewarrantysetforthinthisArticleshallbethesoleandexclusivewarrantymadebySellerwithrespecttotheProductsandshallbeinlieuofallotherwarranties,whetherexpressorimplied,includingbutnotlimitedtotheimpliedwarrantiesofmerchantabilityandfitnessforaparticularpurpose.

6.3Sellershallnotbeliableforanyspecial,indirect,incidental,orconsequentialdamagesarisingoutoforrelatedtotheProductsorthisAgreement.

Article7:CompliancewithLaws

7.1SellerandBuyershalleachcomplywithallapplicablelaws,regulations,andordinancesinconnectionwiththesaleandpurchaseoftheProductsunderthisAgreement.

7.2SellerandBuyershalleachobtainandmaintainallnecessarypermits,licenses,andapprovalsrequiredtoperformtheirrespectiveobligationsunderthisAgreement.

7.3Buyershallberesponsibleforobtaininganynecessaryimportlicenses,permits,orapprovalsrequiredfortheimportationoftheProductsinto[Buyer'sCountry].

Article8:IntellectualProperty

8.1Sellerretainsallright,title,andinterestinandtoanyintellectualpropertyrightsassociatedwiththeProducts,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.

8.2Buyershallnotuse,reproduce,ordiscloseanyofSeller'sintellectualpropertyrightswithoutSeller'spriorwrittenconsent.

8.3BuyershallpromptlynotifySellerinwritingofanyallegedoractualinfringementofSeller'sintellectualpropertyrightsofwhichBuyerbecomesaware.

Article9:Termination

9.1ThisAgreementmaybeterminatedbyeitherpartyupon[numberofdays]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherparty,providedthatthebreachingpartyhasnotcuredthebreachwithinsuch[numberofdays]days.

9.2Notwithstandingtheforegoing,SellermayterminatethisAgreementimmediatelyuponwrittennoticetoBuyerintheeventthatBuyerbecomesinsolvent,filesapetitionforbankruptcy,ormakesanassignmentforthebenefitofcreditors.

9.3UponterminationofthisAgreement,BuyershallpromptlypaytoSellerallamountsdueandowingunderthisAgreement.

Article10:Confidentiality

10.1Eachpartyagreestotreatasconfidentialallnon-publicinformationobtainedfromtheotherpartyinconnectionwiththisAgreement.

10.2Eachpartyagreesnottodisclosesuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

10.3TheobligationsofconfidentialitysetforthinthisArticleshallsurvivetheterminationorexpirationofthisAgreement.

Article11:ForceMajeure

11.1NeitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthisAgreementtotheextentthatsuchfailureordelayiscausedbyeventsbeyondthereasonablecontrolofsuchparty,includingbutnotlimitedtoactsofGod,naturaldisasters,war,terrorism,riots,labordisputes,orgovernmentalaction.

11.2Thepartyaffectedbysucheventshallpromptlynotifytheotherpartyinwritingofthenatureandextentofsucheventandshallusereasonableeffortstoresumeperformanceassoonaspossible.

Article12:GoverningLaw

12.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country],withoutgivingeffecttoanyprinciplesofconflictsoflaws.

12.2AnydisputearisingoutoforrelatedtothisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andjudgmentupontheawardrenderedbythearbitrator(s)maybeenteredinanycourthavingjurisdictionthereof.

Article13:EntireAgreement

13.1ThisAgreement,includingtheIncorporatedTermsandanyPurchaseOrder,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,understandings,andcommunications,whetherwrittenororal.

13.2NomodificationoramendmentofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

Article14:Notices

14.1Allnotices,requests,andothercommunicationsunderthisAgreementshallbeinwritingandshallbedeemedeffectiveuponreceiptifdeliveredpersonally,uponconfirmationofreceiptifsentbyfacsimileoremail,orupontheearlierofreceiptorthreedaysafterdepositwitharecognizedovernightcourierservice.

14.2NoticesshallbesenttotheaddressessetforthinthePurchaseOrderorto
