ntmayterminatethisAgreementuponwrittennoticetoBrand.Intheeventoftermination,AgentmayalsoseekrecoveryofanylossesordamagessustainedasaresultofBrand'sbreach.10.3違約賠償ThepartiesagreethattheamountofdamagesresultingfromabreachofthisAgreementmaybedifficulttocalculate,andtherefore,theinjuredpartyshallbeendtoseekinjunctivereliefinadditiontoanyotherremediesavailableatlaworinequity.第十一條爭(zhēng)議解決11.1協(xié)商解決ThepartiesagreetoresolveanydisputesarisingoutoforinconnectionwiththisAgreementthroughnegotiationsingoodfaith.11.2調(diào)解解決Ifthepartiesareunabletoresolveadisputethroughnegotiation,eitherpartymaysubmitthedisputetomediationadministeredtheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC)inaccordancewithitsapplicablerules.11.3仲裁解決Ifthepartiesareunabletoresolveadisputethroughmediation,eitherpartymaysubmitthedisputetoarbitrationadministeredCIETACinaccordancewithitsapplicablerules.11.4法律訴訟第十二條合同的變更與終止12.1合同變更ThisAgreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.12.2合同終止ThisAgreementmaybeterminatedeitherpartyuponwrittennoticetotheotherpartyiftheotherpartybreachesamaterialprovisionofthisAgreementandfailstocuresuchbreachwithinareasonableperiodoftime.12.3終止后的權(quán)利與義務(wù)UponterminationofthisAgreement,AgentshallceaseusingBrand'sTrademarksandotherintellectualpropertyandreturnallpromotionalmaterialsandinventoryrelatedtotheProducts.BrandshallcontinuetoprovideAgentwithaftersalesservicefortheProductssoldpriortotermination.第十三條法律適用與爭(zhēng)議解決13.1法律適用ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsofCountryA.13.2爭(zhēng)議解決方式ThepartiesagreetoresolveanydisputesarisingoutoforinconnectionwiththisAgreementthroughthedisputeresolutionmechanismssetforthinthisAgreement.第十四條其他條款14.1合同的生效14.2合同的附件TheexhibitsattachedheretoareanintegralpartofthisAgreementandareincorporatedhereinreference.14.3合同的修訂ThisAgreementmayberevisedfromtimetotimethepartiesinwriting第二部分:其他補(bǔ)充性說(shuō)明和解釋說(shuō)明一:附件列表:附件一:商品種類(lèi)、規(guī)格及數(shù)量列表詳細(xì)列出所有商品的種類(lèi)、規(guī)格和數(shù)量信息,作為合同附件,以便雙方明確了解合同約定的商品范圍。附件二:代理期限時(shí)間表明確列出代理期限的起始日期和終止日期,以及雙方約定的年度、季度和月度銷(xiāo)售目標(biāo)。附件三:商標(biāo)授權(quán)書(shū)B(niǎo)rand出具的商標(biāo)授權(quán)書(shū),授權(quán)代理商在指定區(qū)域內(nèi)使用品牌商標(biāo)進(jìn)行銷(xiāo)售活動(dòng)。附件四:市場(chǎng)推廣和售后服務(wù)計(jì)劃詳細(xì)描述品牌商為代理商提供的市場(chǎng)推廣活動(dòng)和售后服務(wù)內(nèi)容,包括廣告支持、促銷(xiāo)活動(dòng)、培訓(xùn)等。附件五:價(jià)格政策表列出商品的采購(gòu)價(jià)格、銷(xiāo)售價(jià)格以及任何可能的價(jià)格調(diào)整政策。附件六:采購(gòu)與銷(xiāo)售合同范本明確代理商與品牌商之間的采購(gòu)和銷(xiāo)售條款,包括采購(gòu)數(shù)量、
