RECITALS:

WHEREAS,theEmployerdesirestoengagetheservicesoftheEmployeeonatemporarybasis;

WHEREAS,theEmployeedesirestoprovidesuchservicestotheEmployeronatemporarybasis;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:

1.EMPLOYMENT:

1.1TheEmployerherebyengagestheEmployeetoperformtheservicesdescribedinExhibitAattachedhereto("Services")onatemporarybasis.

1.2TheEmployeeagreestoperformtheServicesinaprofessionalanddiligentmanner,inaccordancewiththeEmployer'sinstructionsandthetermsofthisAgreement.

2.DURATION:

2.1ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[Duration],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.COMPENSATION:

7.INDEMNIFICATION:

8.GENERALPROVISIONS:

8.2ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
