2025年度CIF貿(mào)易條款進(jìn)出口合同范本（英文）本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：2025ANNUALCIFTRADETERMSIMPORTEXPORTCONTRACTSAMPLE(ENGLISH)ThisContract(hereinafterreferredtoas"theContract")ismadeandenteredintoasfollows:1.ContractingPartiesSeller:_________________Buyer:_________________BothpartiesagreetoconductimportandexportbusinessaccordingtotheprovisionsofthisContract.2.ContractualGoodsa.DescriptionofGoods:_________________b.Quantity:_________________c.UnitPrice:_________________d.TotalAmount:_________________e.Quality/Standard:_________________f.Packaging:_________________g.BrandName:_________________h.ModelNumber:_________________3.PackingandMarkinga.Packing:_________________b.Marking:_________________4.PriceandPaymenta.PriceTerms:CIF_________________b.TotalAmount:_________________c.PaymentTerms:_________________d.BankDetails:_________________5.Shipmenta.ShipmentPortofLoading:_________________b.DestinationPort:_________________c.ShipmentDate:_________________d.LatestDateofShipment:_________________e.ShipmentDocuments:_________________6.Insurancea.InsuranceCompany:_________________b.InsurancePolicy:_________________c.InsuranceCoverage:_________________7.CompliancewithLawsandRegulations8.ForceMajeurea.Definitions:"ForceMajeure"referstoeventsbeyondthereasonablecontroloftheparties,suchasnaturaldisasters,wars,governmentactions,etc.b.Notice:IfeitherpartyisunabletoperformitsobligationsunderthisContractduetoForceMajeure,itshallnotifytheotherpartyinwritingwithin_________________daysaftertheoccurrenceofsuchevents.c.Relief:IftheForceMajeureeventcontinuesformorethan_________________days,eitherpartymayterminatethisContractwithoutliabilitytotheotherparty.9.DisputeResolutiona.BothpartiesagreetoresolveanydisputesarisingfromorinconnectionwiththisContractthroughfriendlynegotiations.b.Ifthedisputescannotberesolvedthroughnegotiations,theyshallbesubmittedtothearbitrationofthe中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(CIETAC)oranyothermutuallyagreeduponarbitrationbody.c.Thearbitrationshallbeconductedinaccordancewiththeapplicablerulesofthearbitrationbody.d.Thedecisionofthearbitrationbodyshallbefinalandbindinguponbothparties.10.GeneralProvisionsa.ThisContractisexecutedintwocopies,eachpartyholdingone.b.ThisContractisdeemedtobeexecutedinEnglish,andincaseofanydiscrepanciesbetweentheEnglishandChineseversions,theEnglishversionshallprevail.c.AnyamendmentorsupplementtothisContractshallbemadeinwritingandshallbeeffectiveonlyuponthewrittenconsentofbothparties.d.ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,understandings,andrepresentations,whetherwrittenororal.e.TheheadingsinthisContractareforconvenienceonlyandshallnotaffecttheinterpretationorconstructionofthisContract.Note:TheaboveContractisasampleandisforreferencepurposesonly.ThepartiesshouldconsultwithlegalcounseltotailortheContracttotheirspecificneedsandcircumstances.第二部分：第三方介入后的修正1.DefinitionofThirdPartyForthepurposeofthisContract,"ThirdParty"shallmeananyentityorindividualthatisnotapartytothisContractbutisinvolvedintheperformanceofthisContract,includingbutnotlimitedtointermediaries,carriers,insurers,consultants,andotherserviceproviders.2.RoleofThirdPartyTheinvolvementofaThirdPartyisintendedtofacilitatethesmoothexecutionofthisContract.TheThirdPartymayprovideservicessuchastransportation,insurance,logistics,orotherrelatedservices.3.ResponsibilitiesoftheThirdPartya.TheThirdPartyshallperformitsdutiesinaccordancewiththetermsandconditionsofthisContractandanyotheragreementsenteredintowiththeparties.b.TheThirdPartyshallensurethatitsactionsdonotbreachanyapplicablelaws,regulations,orthisContract.c.TheThirdPartyshallmaintainconfidentialityregardinganyinformationobtainedinthecourseofperformingitsduties.4.LiabilityoftheThirdPartya.TheliabilityoftheThirdPartyshallbelimitedtothescopeofitsresponsibilitiesasdefinedinthisContractandanyotheragreementswiththeparties.b.TheliabilityoftheThirdPartyshallnotexceedtheamountspecifiedintheThirdParty'sagreementwiththepartiesor,intheabsenceofsuchanagreement,theliabilityoftheThirdPartyshallbelimitedtothevalueoftheservicesprovided.c.ThepartiesagreethattheliabilityoftheThirdPartyshallbesolelybetweentheThirdPartyandthepartyitiscontractedwith,andshallnotextendtotheotherpartytothisContract.5.Indemnificationa.Thepartiesshallindemnifyeachotheragainstanylosses,claims,damages,orexpensesarisingoutoforinconnectionwiththeactsoromissionsoftheThirdParty,excepttotheextentsuchlosses,claims,damages,orexpensesarecoveredtheliabilitylimitationssetforthinthisContract.b.TheindemnificationobligationsofthepartiesunderthisparagraphshallbesubjecttothelimitationsandexclusionssetforthinthisContract.6.AuthorizationandConsenta.ThepartieshereauthorizeandconsenttotheinvolvementoftheThirdPartyintheperformanceofthisContract.b.ThepartiesacknowledgethattheinvolvementoftheThirdPartydoesnotconstituteawaiverofanyoftheirrightsorobligationsunderthisContract.7.DisputeResolutionInvolvingThirdPartya.IntheeventofadisputearisingbetweenthepartiesandtheThirdParty,thepartiesshallfirstattempttoresolvethedisputethroughnegotiations.b.Ifthedisputecannotberesolvedthroughnegotiations,itshallbesubmittedtothesamearbitrationclauseassetforthinArticle9ofthisContract.8.TerminationofThirdParty'sInvolvementa.ThepartiesmayterminatetheinvolvementoftheThirdPartyatanytimeprovidingwrittennoticetotheThirdPartyandtheotherparty.b.UponterminationoftheThirdParty'sinvolvement,thepartiesshallensurethatalloutstandingobligationsunderthisContractarefulfilled.9.AdditionalProvisionsfortheThirdPartya.TheThirdPartyshallprovidethepartieswithallnecessarydocumentationandinformationrelatedtoitsperformanceoftheservicesunderthisContract.b.TheThirdPartyshallmaintainappropriateinsurancecoveragetoprotectitselfandthepartiesagainstanyliabilitiesarisingfromitsperformanceoftheservices.10.AssignmentofRightsandObligationsa.ThepartiesmaynotassigntheirrightsorobligationsunderthisContracttoanyThirdPartywithoutthepriorwrittenconsentoftheotherparty.b.TheThirdPartymaynotassignitsrightsorobligationsunderanyagreementswiththepartiestoanyThirdPartywithoutthepriorwrittenconsentoftheparties.11.AmendmentsandModificationsAnyamendmentormodificationtotheprovisionsofthisContractrelatedtotheinvolvementoftheThirdPartyshallbemadeinwritingandshallbeeffectiveonlyuponthewrittenconsentofallparties.12.GeneralProvisionsa.TheprovisionsofthissectionshallbedeemedtobeanintegralpartofthisContract.b.ThepartiesagreethattheinvolvementoftheThirdPartydoesnotcreateanypartnership,jointventure,oremploymentrelationshipbetweenthepartiesandtheThirdParty.c.ThepartiesagreethattheprovisionsofthissectionshallbeinterpretedandconstruedinaccordancewiththelawsofthejurisdictioninwhichthisContractisexecuted.第三部分：其他補(bǔ)充性說(shuō)明和解釋說(shuō)明一：附件列表：1.CommercialInvoice:ThisisadocumentissuedtheSellertotheBuyer,statingthedetailedinformationaboutthegoodssold,includingquantity,description,price,termsofpayment,etc.2.BillofLading:Atransportdocumentissuedthecarrier,whichservesasareceiptforthegoodsandasadocumentof,authorizingthedeliveryofthegoodstotheBuyerortothepersonnamedinthebilloflading.3.PackingList:Alistdetailingthecontentsoftheshipment,includingdescriptions,quantities,andsometimesweightsofeachitem.4.CertificateofOrigin:Adocumentcertifyingthatthegoodsbeingexportedareofaspecificcountryorregion,whichmayberequiredforimportcustomspurposes.5.InspectionCertificate:Adocumentissuedanindependentthirdpartyinspector,certifyingthatthegoodsmeetthespecifiedqualitystandards.6.InsurancePolicy:Acontractbetweentheinsurerandtheinsured,providingcoverageagainstlossordamagetothegoodsduringtransportation.7.CustomsDeclaration:Aformaldocumentrequiredforimportandexporttransactions,detailingthenature,quantity,andvalueofthegoods.8.HealthCertificate:Requiredforcertaintypesofgoods,certifyingthatthegoodsmeethealthandsafetystandards.10.ContractofCarriage:Awrittenagreementbetweentheshipperandthecarrier,specifyingthetermsandconditionsofthetransportationservice.RequirementsandExplanations:Attachmentsmustbeoriginaldocumentsandnotcopies.Attachmentsmustbeproperlydatedandsignedauthorizedrepresentativesoftherespectiveparties.說(shuō)明二：違約行為及責(zé)任認(rèn)定：1.FailuretoPayonTime:IftheBuyerfailstomakethepaymenttheduedate,itisconsideredabreachoftheContract.TheBuyermaybeliableforlatepaymentpenaltiesorinterest.Example:TheBuyeragreedtopay$100,000onJanuary15th.Ifthepaymentisnotreceivedthe20th,theBuyerisindefault.2.NonDeliveryorShortDelivery:IftheSellerfailstodeliverthegoodsasagreed,ordeliverslessthantheagreedquantity,itisabreachoftheContract.TheBuyermaybeendtoarefund,ortheSellermayberequiredtodelivertheshortfall.Example:TheContractstatestheSellermustdeliver1,
