英語(yǔ)借款合同范本合同編號(hào)：__________本借款合同（以下簡(jiǎn)稱“本合同”）由以下雙方于[合同簽訂日期]簽訂：借款人（以下簡(jiǎn)稱“甲方”）：甲方姓名：__________甲方身份證號(hào)：__________甲方地址：__________甲方聯(lián)系方式：__________甲方電子郵箱：__________出借人（以下簡(jiǎn)稱“乙方”）：乙方姓名：__________乙方身份證號(hào)：__________乙方地址：__________乙方聯(lián)系方式：__________乙方電子郵箱：__________1.DefinitionsandInterpretations1.1DefinitionsInthisAgreement,thefollowingtermsshallhavethemeaningsascribedtothembelow:"Loan"meanstheamountofmoneyborrowedtheBorrowerfromtheLenderunderthisAgreement."Borrower"meansthepartywhoreceivestheloanfromtheLender."Lender"meansthepartywhoprovidestheloantotheBorrower."InterestRate"meanstherateatwhichinterestischargedontheLoan."Default"meansthefailureoftheBorrowertofulfillanyofitsobligationsunderthisAgreement.1.2InterpretationsWordsimportingthesingularincludethepluralandviceversa.Referencestoanygenderincludeallgenders.HeadingsareforconvenienceonlyanddonotaffecttheinterpretationofthisAgreement.2.LoanAmountandPurpose2.1LoanAmountTheLenderagreestolendtotheBorrowerthesumof[具體借款金額](the"LoanAmount").2.2LoanPurposeTheLoanistobeusedtheBorrowerfor[明確借款用途]only.TheBorroweragreesnottousetheLoanforanyotherpurposewithoutthepriorwrittenconsentoftheLender.3.InterestRateandPayment3.1InterestRateTheInterestRateontheLoanis[具體利率]perannum.3.2PaymentScheduleTheBorrowershallrepaytheLoanandinterestinaccordancewiththefollowingschedule:[詳細(xì)列出還款計(jì)劃，包括還款日期和金額]3.3LatePaymentPenaltyIftheBorrowerfailstomakeapaymentwhendue,alatepaymentpenaltyof[具體滯納金比例]oftheoverdueamountshallbepayable.4.Repayment4.1RepaymentTermsTheBorrowershallrepaytheLoaninfullonorbefore[還款截止日期].4.2PrepaymentOptionTheBorrowermayprepaytheLoaninwholeorinpartatanytimewithoutpenalty.However,theBorrowershallgivetheLenderatleast[提前還款通知期限]days'priorwrittennoticeofitsintentiontoprepay.5.Security5.1CollateralTosecuretherepaymentoftheLoanandtheperformanceoftheBorrower'sobligationsunderthisAgreement,theBorroweragreestopledge[具體抵押物]ascollateral.5.2Guarantee[如有保證人，寫明保證人的相關(guān)信息和保證責(zé)任]6.RepresentationsandWarranties6.1Borrower'sRepresentationsTheBorrowerrepresentsandwarrantstotheLenderthat:(a)Itisalegalentitydulyorganizedandvalidlyexistingunderthelawsof[借款人所在國(guó)家或地區(qū)的法律].(b)IthasthepowerandauthoritytoenterintoandperformthisAgreement.(c)TheexecutionanddeliveryofthisAgreementandtheperformanceofitsobligationshereunderwillnotconflictwithorviolateanylaw,regulation,order,judgmentordecreeapplicabletoit.(d)AllinformationprovidedtheBorrowertotheLenderistrue,accurateandpleteinallmaterialrespects.6.2Lender'sRepresentationsTheLenderrepresentsandwarrantstotheBorrowerthat:(a)Itisalegalentitydulyorganizedandvalidlyexistingunderthelawsof[出借人所在國(guó)家或地區(qū)的法律].(b)IthasthepowerandauthoritytoenterintoandperformthisAgreement.(c)ThefundstobelentunderthisAgreementareitslegallyownedfundsandarefreefromanylien,encumbranceorotherthirdpartyrights.7.Covenants7.1Borrower'sCovenantsTheBorrowercovenantstotheLenderthat:(a)ItwillusetheLoanproceedsonlyforthepurposespecifiedinthisAgreement.(b)ItwillkeepaccurateandpleterecordsoftheuseoftheLoanproceeds.(c)Itwillplywithallapplicablelaws,regulationsandordersinconnectionwiththeuseoftheLoanproceedsandtheperformanceofitsobligationsunderthisAgreement.(d)Itwillnotcreateorpermittoexistanylien,encumbranceorothersecurityinterestontheCollateralexceptaspermittedunderthisAgreement.7.2Lender'sCovenantsTheLendercovenantstotheBorrowerthat:(a)ItwillmaketheLoanavailabletotheBorrowerinaccordancewiththetermsofthisAgreement.(b)ItwillnotunreasonablywithholditsconsenttoanyrequesttheBorrowerforawaiveroramendmentofthetermsofthisAgreement.8.EventsofDefault8.1DefaultEventsThefollowingeventsshallconstituteeventsofdefaultunderthisAgreement:(a)TheBorrowerfailstomakeanypaymentwhendueunderthisAgreement.(b)TheBorrowerbreachesanyofitsrepresentations,warrantiesorcovenantsunderthisAgreement.(c)TheBorrowerbeesinsolvent,filesapetitioninbankruptcyorissubjecttoanyproceedingunderanybankruptcyorinsolvencylaw.(d)TheCollateralismateriallydamagedorlost.8.2ConsequencesofDefaultIfaneventofdefaultoccurs,theLendermay,atitsoption,takeanyorallofthefollowingactions:(a)DeclaretheentireoutstandingamountoftheLoanandinterestimmediatelydueandpayable.(b)ExerciseanyrightsandremediesavailabletoitunderthisAgreementorunderapplicablelaw.(c)Seekdamagesforanylossessufferedasaresultofthedefault.9.Remedies9.1Lender'sRemediesIntheeventofadefaulttheBorrower,theLendershallhavethefollowingremedies:(a)ToacceleratethematurityoftheLoananddemandimmediatepaymentoftheentireoutstandingbalance,togetherwithinterestandanyotheramountsdue.(b)ToexerciseanyandallrightsandremediesprovidedlaworunderthisAgreement,includingbutnotlimitedtotherighttoseizeandselltheCollateral.(c)ToclaimdamagesforanylossessufferedasaresultoftheBorrower'sdefault.9.2Borrower'sRightsandObligationsTheBorrowerhastherighttoreceivetheLoaninaccordancewiththetermsofthisAgreement.TheBorrowerisobligatedtorepaytheLoanandinterestasscheduled,toplywithallthecovenantsandrepresentationsmadeinthisAgreement,andtoindemnifytheLenderforanylossesordamagesresultingfromtheBorrower'sdefault.10.Notices10.1NoticeRequirementsAllnotices,demandsorothermunicationsrequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredpersonally,sentregisteredorcourierservice,ortransmittedfacsimileoretotheaddressesornumbersspecifiedbelow:FortheBorrower:[借款人的聯(lián)系地址、電話、傳真和電子郵箱]FortheLender:[出借人的聯(lián)系地址、電話、傳真和電子郵箱]10.2MannerofNoticeNoticesshallbeeffectiveuponreceiptor,inthecaseoffacsimileore,uponconfirmationofsuccessfultransmission.11.GoverningLawandJurisdiction11.1GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[具體管轄法律].11.2JurisdictionAnydisputearisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtsof[具體管轄法院].12.Confidentiality12.1ConfidentialInformationThepartiesacknowledgethatinthecourseofperformingthisAgreement,theymayhaveaccesstocertainconfidentialinformationoftheotherparty.ConfidentialInformationshallincludebutnotbelimitedtotradesecrets,businessplans,financialinformationandcustomerlists.12.2ExceptionsTheobligationsofconfidentialityshallnotapplytoinformationthat:(a)Isorbeespubliclyknownthroughnofaultofthereceivingparty.(b)Islawfullyreceivedfromathirdpartywithoutrestrictionondisclosure.(c)IsindependentlydevelopedthereceivingpartywithoutreferencetotheConfidentialInformation.13.AmendmentandWaiver13.1AmendmentProcedureThisAgreementmaybeamendedormodifiedonlyawritte
