3.PurchasePriceandPaymentTerms

d)IthasnotenteredintoanyotheragreementsorcommitmentsthatmayaffecttheRightsorthisContract.

4.2PartyBwarrantsandrepresentsthat:

a)IthasthefulllegalcapacityandauthoritytoenterintothisContractandpurchasetheRights;

b)IthasnotenteredintoanyagreementsorcommitmentsthatmayconflictwiththisContract;

c)ItshallcomplywithallapplicablelawsandregulationsrelatedtotheRights.

5.DeliveryofDocumentsandMaterials

PartyAshalldeliverallnecessarydocumentsandmaterialsrelatedtotheRightstoPartyBwithin[Number]daysaftertheexecutionofthisContract.

6.TerminationandCancellation

6.1ThisContractmaybeterminatedbyeitherpartyupontheoccurrenceofanyofthefollowingevents:

7.GoverningLawandDisputeResolution
