2025商務(wù)英語(yǔ)口語(yǔ)高效談判：成功簽訂合同的關(guān)鍵技巧ContractAgreementThisContractAgreement("Agreement")isenteredintoasof(the"EffectiveDate"),byandbetween(the"PartyA"or"Provider"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat,and(the"PartyB"or"Client"),acompanyincorporatedunderthelawsof,withitsprincipalplaceofbusinessat.ThisAgreementgovernsthetermsandconditionsunderwhichPartyAwillprovidegoodsand/orservicestoPartyB.1.RecitalsPartyAisengagedinthebusinessofproviding(the"Goods/Services").PartyBhasexpressedaninterestinobtainingtheGoods/ServicesfromPartyA.ThepartieswishtoestablishtheirmutualrightsandobligationswithrespecttotheprovisionoftheGoods/Services.2.ScopeofServicesPartyAagreestoprovidethefollowingGoods/ServicestoPartyB:.ThespecificdetailsoftheGoods/Services,includingbutnotlimitedtoquantity,quality,anddeliverytimelines,areoutlinedinExhibitAattachedhereto.3.TermofAgreementThetermofthisAgreementshallcommenceon(the"CommencementDate")andcontinueuntil(the"ExpirationDate"),unlessterminatedearlierinaccordancewiththeprovisionshereof.4.PaymentTermsPartyBagreestopayPartyAthesumof(the"TotalPayment")fortheGoods/Services.Thepaymentscheduleisasfollows:Initialpayment:dueon.Subsequentpayments:on.Latepaymentsshallincurapenaltyofpereachdayofdelay,unlessotherwiseagreedinwriting.5.WarrantiesandRepresentationsEachpartywarrantsthat:IthastheauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.Allinformationprovidedbyitistrue,accurate,andcompletetothebestofitsknowledge.TheexecutionandperformanceofthisAgreementwillnotviolateanyapplicablelawsorregulations.6.ConfidentialityBothpartiesagreetomaintainconfidentialityregardingallnon-public,proprietary,orsensitiveinformationdisclosedduringthenegotiationandexecutionofthisAgreement(the"ConfidentialInformation").Neitherpartyshalldisclosesuchinformationtoanythirdpartywithoutpriorwrittenconsent.7.IntellectualPropertyAllrights,includingbutnotlimitedtocopyright,patent,trademark,andtradesecretrights,inanymaterialscreatedordevelopedbyPartyAinthecourseofprovidingtheGoods/Services(the"IntellectualProperty")shallremainwithPartyA.PartyBshallhaveanon-exclusive,royalty-freelicensetousesuchIntellectualPropertysolelyforthepurposeofthisAgreement.8.IndemnificationPartyBagreestoindemnifyandholdharmlessPartyA,itsofficers,directors,employees,agents,andaffiliatesfromanyclaims,damages,losses,orexpenses(includingreasonableattorneys'fees)arisingoutoforrelatedtoPartyB'suseoftheGoods/Services.9.ForceMajeureNeitherpartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyondtheirreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,strikes,orgovernmentalactions.10.TerminationEitherpartymayterminatethisAgreementwithimmediateeffectupontheoccurrenceofanyofthefollowing:Breachofcontractbytheotherpartythatremainsuncuredfordaysafterwrittennotice.Bankruptcyorinsolvencyoftheotherparty.Materialbreachofanytermhereof.11.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof,withoutregardtoitsconflictoflawsprinciples.12.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartiesregardingthesubjectmatterhereofandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.13.AmendmentsAnyamendmentstothisAgreementmustbeinwritingandsignedbybothparties.14.CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten.PartyA:Name:Title:Signature:Date:PartyB:Name:Title:Signature:Date:
