1.ScopeofAgency

(a)Thesaleandpurchaseofgoodsandcommodities;

(b)Theprovisionofservices;

(c)Thefinancingofprojects.

2.CommissionRate

TheCommissionRateshallbecalculatedonthebasisoftheactualsalespriceorotherincomederivedfromthetransactionsintroducedbyPartyB.TheCommissionRateshallbe_______%ofthetotaltransactionamount,unlessotherwiseagreedbybothparties.

3.PaymentofCommission

(b)PartyBshallkeepconfidentialthebusinesssecretsofPartyAandnotdisclosethemtoanythirdpartywithoutthepriorwrittenconsentofPartyA;

(c)PartyBshallprovideaccurateandcompleteinformationaboutthetransactionstoPartyA.

6.TermandTermination

7.ObligationsofPartyBandPartyC

(b)PartyBandPartyCshallkeepconfidentialthebusinesssecretsofPartyAandnotdisclosethemtoanythirdpartywithoutthepriorwrittenconsentofPartyA;

8.違約及限制條款

(a)IntheeventofabreachofthisContractbyPartyBorPartyC,PartyAshallhavetherighttoclaimdamagesfromthebreachingparty;

(b)PartyBandPartyCshallbeliableforanylossesincurredbyPartyAduetotheirnegligenceorfailuretoperformtheirobligationsunderthisContract;

(c)PartyBandPartyCshallnotengageinanyactivitiesthatmayconflictwiththeinterestsofPartyAwithoutthepriorwrittenconsentofPartyA;

9.TermandTermination

TheinvolvementofPartyCservestoenhancethecapabilitiesofPartyAbyprovidingadditionalexpertiseandsupport.ThepurposeofPartyCistoensurethatthetransactionsintroducedbyPartyBareconductedinamannerthatmaximizesthebenefitstoPartyA.ThedominanceofPartyAinthisContractistoprotectitsinterestsandensurethatthetransactionsareconductedinamannerthatisfavorabletoPartyA.Byhavingastrongcontractinplace,PartyAcanexerciseitsrightsandseekremediesintheeventofanybreachesorconflicts.

2.RoleofPartyC

PartyC,astheServiceProvider,shall:

(a)ConductthoroughmarketresearchtoidentifypotentialbusinesspartnersforPartyA;

(b)Performduediligenceonpotentialbusinesspartnerstoverifytheircredentialsandsuitabilityforpartnership;

(c)AssistPartyBinnegotiatingtermswithpotentialbusinesspartners;

(d)Coordinatetheexecutionofagreementsandensurecompliancewithallrelevantlegalandregulatoryrequirements.

3.CompensationandRightsofPartyB

(a)PartyBshallbeentitledtoacommissionof_______%ofthetotalvalueoftransactionsconcludedthroughitsefforts;

5.RightsofPartyA

(a)PartyAshallhavetherighttorequestPartyBtoterminatetheAgreementuponreasonablegrounds,suchasabreachofconfidentialityorfailuretomeetperformancestandards;

(b)PartyAshallhavetherighttorequestPartyCtoprovideupdatesonthestatusofsupportservicesprovidedtoPartyB;

6.LimitationsandRemedies

(a)IntheeventofabreachofthisAgreementbyPartyB,PartyAshallhavetherighttowithholdpaymentofcommissionuntilthebreachisremediedtothesatisfactionofPartyA;

(b)IntheeventofabreachofthisAgreementbyPartyC,PartyAshallhavetherighttoterminatePartyC'sinvolvementinthetransaction,andPartyCshallbeliableforanylossesincurredbyPartyAasaresultofsuchbreach;

7.TermandTermination
