租船合同取消協(xié)議英文版?ThisCharterPartyCancellationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[legalentitytype]organizedandexistingunderthelawsof[country/state]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyA")and[PartyBname],a[legalentitytype]organizedandexistingunderthelawsof[country/state]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"PartyB").I.Recitals1.PartyAandPartyBenteredintoacharterpartyagreement(the"OriginalCharterParty")dated[originalcharterpartydate]inrelationtothecharterof[descriptionofthevessel,includingvesselname,type,etc.].2.Dueto[reasonsforcancellation,e.g.,unforeseencircumstances,changeinbusinessplans,etc.],thepartieshavemutuallyagreedtocanceltheOriginalCharterParty.II.SubjectMatterThesubjectmatterofthisAgreementisthecancellationoftheOriginalCharterPartydated[originalcharterpartydate]regardingthecharterof[descriptionofthevessel,includingvesselname,type,etc.].Thevesselisdescribedasfollows:VesselName:[Nameofthevessel]VesselType:[Typeofthevessel,e.g.,bulkcarrier,containership,etc.]IMONumber:[InternationalMaritimeOrganizationnumberofthevessel]GrossTonnage:[Grosstonnageofthevessel]BuiltYear:[Yearthevesselwasbuilt]III.RightsandObligationsofthePartiesA.PartyA'sRightsandObligations1.RighttoTerminatePartyAhastherighttocanceltheOriginalCharterPartyinaccordancewiththetermsandconditionsofthisAgreement.2.ObligationtoReturnAdvancePaymentsPartyAshallreturntoPartyBanyadvancepaymentsreceivedundertheOriginalCharterParty,lessanyamountsthatPartyBowestoPartyAforservicesalreadyprovidedordamagesincurredasaresultofPartyB'sactionsuptothedateofcancellation.Suchdeductions,ifany,shallbeitemizedandsupportedbyrelevantdocumentation.3.ObligationtoProvideNoticePartyAshallprovidewrittennoticeofthecancellationtoPartyBassoonaspracticable,butnolaterthan[numberofdays]dayspriortotheintendedcancellationdate.Thenoticeshallstatethereasonsforcancellationandtheeffectivedateofcancellation.B.PartyB'sRightsandObligations1.RighttoReceiveReturnofAdvancePaymentsPartyBhastherighttoreceivethereturnofanyadvancepaymentsmadeundertheOriginalCharterParty,subjecttothedeductionsallowedtoPartyAaspertheaboveprovisions.2.ObligationtoCeasePerformancePartyBshallimmediatelyceaseallperformanceundertheOriginalCharterPartyuponreceiptofthecancellationnoticefromPartyA.PartyBshallnotundertakeanyfurtheractionsthatwouldbeincontraventionofthecancellationofthecharterparty.3.ObligationtoReturnVesselDocumentationPartyBshallreturntoPartyAallvesselrelateddocumentationinitspossession,includingbutnotlimitedtobillsoflading,charterpartyagreements,andanyotherdocumentsrelatedtotheoperationofthevesselundertheOriginalCharterParty.IV.ConsiderationInconsiderationofthemutualcancellationoftheOriginalCharterParty,thepartiesagreeasfollows:1.PartyAshallpaytoPartyBthesumof[amount]within[numberofdays]daysoftheexecutionofthisAgreement.ThispaymentrepresentsthenetamountpayabletoPartyBaftertakingintoaccountanydeductionsforservicesprovidedordamagesincurredaspertheprovisionsofthisAgreement.2.PartyBshallacceptthepaymentasfullandfinalsettlementofallclaimsarisingoutoftheOriginalCharterParty,exceptforanyclaimsthateitherpartymayhaveforfraudorwillfulmisconduct.V.RepresentationsandWarrantiesA.PartyA'sRepresentationsandWarranties1.PartyArepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtocanceltheOriginalCharterParty.2.PartyAfurtherrepresentsandwarrantsthattheinformationprovidedinrelationtothecancellationandthereturnofadvancepaymentsisaccurateandplete.3.PartyAwarrantsthatitwillindemnifyandholdPartyBharmlessfromandagainstanyandalllosses,damages,liabilities,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwithanybreachoftherepresentationsandwarrantiesmadeinthissection.B.PartyB'sRepresentationsandWarranties1.PartyBrepresentsandwarrantsthatithasthelegalrightandauthoritytoenterintothisAgreementandtoacceptthecancellationoftheOriginalCharterParty.2.PartyBfurtherrepresentsandwarrantsthatithasnottransferredorassignedanyofitsrightsorobligationsundertheOriginalCharterPartywithoutthepriorwrittenconsentofPartyA.3.PartyBwarrantsthatitwillindemnifyandholdPartyAharmlessfromandagainstanyandalllosses,damages,liabilities,andexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwithanybreachoftherepresentationsandwarrantiesmadeinthissection.VI.Confidentiality1.EachpartyshallkeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththeOriginalCharterPartyandthisAgreement,includingbutnotlimitedtobusinesssecrets,financialinformation,andvesselrelateddetails.2.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[numberofyears]years.3.Neitherpartyshalldiscloseanysuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.VII.GoverningLawandJurisdictionA.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[country/state].B.Jurisdiction1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[city/county,state/country].2.Eachpartyirrevocablysubmitstothejurisdictionofsuchcourtsandwaivesanyobjectiontothelayingofvenueinsuchcourts.VIII.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.Ix.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.x.AmendmentsandWaivers1.Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.2.Nofailureordelayonthepartofeitherpartyinexercisinganyright,power,orprivilegeunderthisAgreementshalloperateasawaiverthereof,norshallanysingleorpartialexerciseofanyright,power,orprivilegeprecludeanyotherorfurtherexercisethereofortheexerciseofanyotherright,power,orprivilege.xI.Assignmen
