1.Definitions
ForthepurposeofthisContract,thefollowingtermsandconditionsshallhavethemeaningsassignedtothem:

c."Incoterms"referstotheInternationalCommercialTerms,whicharetheinternationallyrecognizedtermsandconditionsforthedeliveryofgoodsininternationaltrade;
d."ContractPrice"meansthetotalpriceagreeduponbybothpartiesforthesupplyandsaleoftheProduct;
e."PaymentTerms"meansthetermsandconditionsagreeduponbybothpartiesforthepaymentoftheContractPrice;
f."DeliveryDate"meansthedateonwhichtheProductshallbedeliveredtoPartyB;
g."ForceMajeure"meansaneventorcircumstancesbeyondthereasonablecontrolofeitherparty,whichpreventsorhinderstheperformanceofitsobligationsunderthisContract.
2.ScopeoftheContract
ThisContractcoversthesupplyandsaleoftheProductfromPartyAtoPartyB,inaccordancewiththetermsandconditionssetforthherein.
3.QualityandQuantityoftheProduct
3.1TheProductshallcomplywiththequalitystandardsandspecificationssetforthintheattached"ProductQualityandSpecificationsSheet."
3.2ThequantityoftheProductshallbeasagreeduponbybothpartiesintheattached"ProductQuantitySheet."
4.Delivery
4.1PartyAshalldelivertheProducttoPartyBattheportofdestinationspecifiedintheattached"DeliveryPortSheet."
4.2Thedeliverydateshallbeasagreeduponbybothpartiesintheattached"DeliveryDateSheet."
5.PriceandPayment
5.1TheContractPricefortheProductshallbeasagreeduponbybothpartiesintheattached"ContractPriceSheet."
5.2ThePaymentTermsshallbeasagreeduponbybothpartiesintheattached"PaymentTermsSheet."
6.Insurance
6.1PartyAshallberesponsibleforobtainingandmaintaininginsurancecoveragefortheProductduringtransportation.
6.2Theinsurancepolicyshallbeissuedinaccordancewiththetermsandconditionssetforthintheattached"InsurancePolicySheet."
7.InspectionandClaims
7.1PartyBshallhavetherighttoinspecttheProductupondeliveryandtomakeanyclaimsfornon-conformityordamagewithin15daysofthedeliverydate.
7.2PartyAshallberesponsibleforsettlinganyvalidclaimsmadebyPartyBinaccordancewiththetermsandconditionssetforthintheattached"ClaimsandDisputeResolutionSheet."
8.ForceMajeure
8.1IntheeventofForceMajeure,eitherpartyshallbeexcusedfromfulfillingitsobligationsunderthisContract.
8.2TheaffectedpartyshallimmediatelynotifytheotherpartyoftheoccurrenceofForceMajeureandprovideevidencethereof.
9.GoverningLawandDisputeResolution
9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
9.2AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughamicablenegotiationsbetweentheparties.Ifthenegotiationsfail,thedisputesshallbesubmittedtothe[NameofArbitrationInstitution]forarbitrationinaccordancewithitsrules.
10.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.
11.AmendmentsandModifications
AnyamendmentsormodificationstothisContractshallbemadeinwritingandshallbeexecutedbybothparties.

3.2PartyAshalldelivertheProducttoPartyBattheportofdestinationspecifiedintheattached"DeliveryPortSheet"onorbeforetheDeliveryDate.
3.3PartyAshallprovidePartyBwithallnecessarydocumentationandinformationrequiredforcustomsclearanceandimportation.
3.4PartyAshallhavetherighttoterminatethisContractintheeventofPartyB'smaterialbreachofitsobligationsunderthisContract.
4.PartyB'sRightsandObligations
4.1PartyBshallhavetherighttoinspecttheProductupondeliveryandtomakeanyclaimsfornon-conformityordamagewithin15daysofthedeliverydate.
4.2PartyBshallpaytheContractPricetoPartyAinaccordancewiththePaymentTermsagreeduponbybothparties.
4.3PartyBshallberesponsibleforobtainingandmaintaininginsurancecoveragefortheProductduringtransportation.
5.PartyC'sRightsandObligations
5.1PartyCshallactasanintermediarytofacilitatethetransactionbetweenPartyAandPartyB,includingarrangingtransportation,customsclearance,andimportationoftheProduct.
5.2PartyCshallprovidePartyAandPartyBwithtimelyupdatesontheprogressofthetransactionandanyissuesthatmayarise.
5.3PartyCshallnotdiscloseanyconfidentialinformationprovidedbyPartyAorPartyBtoanythirdpartywithoutthepriorwrittenconsentofbothparties.
6.PaymentandInsurance
6.1TheContractPricefortheProductshallbeasagreeduponbybothpartiesintheattached"ContractPriceSheet."
6.2ThePaymentTermsshallbeasagreeduponbybothpartiesintheattached"PaymentTermsSheet."
6.3PartyAshallobtainandmaintaininsurancecoveragefortheProductduringtransportation.
7.LimitationofLiability
7.1PartyAshallnotbeliableforanylossordamagetotheProductcausedbyForceMajeureoranyothereventbeyonditsreasonablecontrol.
7.2PartyCshallnotbeliableforanylossordamageresultingfromitsfailuretoperformitsobligationsunderthisContract,excepttotheextentthatsuchfailureisduetothenegligenceorwillfulmisconductofPartyC.
8.TerminationandDefault
8.1IntheeventofPartyB'smaterialbreachofitsobligationsunderthisContract,PartyAshallhavetherighttoterminatethisContractimmediatelyandwithoutnotice.
8.2IntheeventofPartyA'smaterialbreachofitsobligationsunderthisContract,PartyBshallhavetherighttoterminatethisContractimmediatelyandwithoutnotice.
9.GoverningLawandDisputeResolution
9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
9.2AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughamicablenegotiationsbetweentheparties.Ifthenegotiationsfail,thedisputesshallbesubmittedtothe[NameofArbitrationInstitution]forarbitrationinaccordancewithitsrules.
10.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.
11.AmendmentsandModifications
AnyamendmentsormodificationstothisContractshallbemadeinwritingandshallbeexecutedbyallparties.

TheinclusionofPartyCasanintermediaryinthisContractservestoenhancetheefficiencyandreliabilityofthetransactionbetweenPartyAandPartyB.ByleveragingPartyC'sexpertiseandresources,PartyAcanensurethetimelydeliveryandqualityoftheProduct,whilePartyBcanbenefitfromthestreamlinedcustomsandimportationprocess.ThisarrangementallowsPartyAtomaintainitsfocusonproductionandqualitycontrol,whilePartyChandlesthecomplexitiesofinternationaltrade.ThepurposeofthisContract,withPartyAasthedominantparty,istoprotectandmaximizetheinterestsofPartyA,whileensuringthatPartyBreceivestheProductinaccordancewiththeagreed-upontermsandconditions.

4.PartyA'sRightsandObligations
4.1PartyAshallensurethattheProductisproducedanddeliveredtoPartyBinaccordancewiththequalitystandardsandspecificationssetforthintheattached"ProductQualityandSpecificationsSheet."
4.2PartyAshalldelivertheProducttoPartyBattheportofdestinationspecifiedintheattached"DeliveryPortSheet"onorbeforetheDeliveryDate.
4.3PartyAshallprovidePartyBwithallnecessarydocumentationandinformationrequiredforcustomsclearanceandimportation.
4.4PartyAshallhavetherighttoterminatethisContractintheeventofPartyB'sfailuretomaketimelypaymentorbreachofitsobligationsunderthisContract.
5.PartyC'sRightsandObligations

5.2PartyCshallprovidePartyAandPartyBwithtimelyupdatesontheprogressofthetransactionandanyissuesthatmayarise.
5.3PartyCshallhavetherighttochargeafeeforitsservices,whichshallbeagreeduponbyallpartiesintheattached"IntermediaryServicesFeeSheet."
6.PaymentandInsurance
6.1TheContractPricefortheProductshallbeasagreeduponbybothpartiesintheattached"ContractPriceSheet."
6.2ThePaymentTermsshallbeasagreeduponbybothpartiesintheattached"PaymentTermsSheet."
6.3PartyAshallobtainandmaintaininsurancecoveragefortheProductduringtransportation,asagreeduponbybothpartiesintheattached"InsurancePolicySheet."
7.LimitationofLiability
7.1PartyAshallnotbeliableforanylossordamagetotheProductcausedbyForceMajeureoranyothereventbeyonditsreasonablecontrol.
7.2PartyCshallnotbeliableforanylossordamageresultingfromitsfailuretoperformitsobligationsunderthisContract,excepttotheextentthatsuchfailureisduetothenegligenceorwillfulmisconductofPartyC.
8.TerminationandDefault
8.1IntheeventofPartyA'sfailuretodelivertheProductasagreed,PartyBshallhavetherighttoterminatethisContractandseekdamagesfromPartyA.
8.2IntheeventofPartyB'sfailuretomaketimelypaymentorbreachofitsobligations,PartyAshallhavetherighttoterminatethisContractandseekdamagesfromPartyB.
9.GoverningLawandDisputeResolution
9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
9.2AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughamicablenegotiationsbetweentheparties.Ifthenegotiationsfail,thedisputesshallbesubmittedtothe[NameofArbitrationInstitution]forarbitrationinaccordancewithitsrules.
10.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.
