CancellationAgreement

Recitals

WHEREAS,PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")on[dateoforiginalcontract];

WHEREAS,bothpartiesnowdesiretocanceltheOriginalContractandsetforththetermsandconditionsforsuchcancellation.

AgreementtoCancel

1.ThepartiesherebymutuallyagreetocanceltheOriginalContract,effectiveasofthedateofthisAgreement.AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseandterminateasoftheeffectivedate,exceptasotherwiseprovidedherein.

2.Eachpartyrepresentsandwarrantsthatithasnotassigned,transferred,orotherwiseencumberedanyofitsrightsorobligationsundertheOriginalContract,exceptasmayhavebeendisclosedtoandconsentedtobytheotherpartyinwritingpriortotheexecutionofthisAgreement.

ReturnofGoodsorServices

1.IfPartyAhasreceivedanygoodsorservicesfromPartyBundertheOriginalContract,PartyAshallreturnsuchgoodsintheiroriginalcondition(totheextentpossible)toPartyBwithin[numberofdays]daysoftheexecutionofthisAgreement.PartyBshallbearthecostofreturnshipping,unlessotherwiseagreeduponinwriting.

2.IfPartyBhasreceivedanygoodsorservicesfromPartyAundertheOriginalContract,PartyBshallreturnsuchgoodsintheiroriginalcondition(totheextentpossible)toPartyAwithin[numberofdays]daysoftheexecutionofthisAgreement.PartyAshallbearthecostofreturnshipping,unlessotherwiseagreeduponinwriting.

PaymentandReimbursement

1.PartyAshallpayPartyBanyoutstandingamountsowedtoPartyBundertheOriginalContractforgoodsorservicesreceivedandacceptedpriortotheeffectivedateofthisAgreement,within[numberofdays]daysoftheexecutionofthisAgreement.

2.PartyBshallreimbursePartyAanyoverpaymentsmadebyPartyAundertheOriginalContractwithin[numberofdays]daysoftheexecutionofthisAgreement.

Confidentiality

1.ThepartiesacknowledgethatduringthetermoftheOriginalContract,theymayhavehadaccesstoeachother'sconfidentialinformation.EachpartyshallcontinuetobeboundbyanyconfidentialityobligationscontainedintheOriginalContractwithrespecttosuchconfidentialinformation,notwithstandingthecancellationoftheOriginalContract.

2.Confidentialinformationshallincludebutnotbelimitedtobusinessplans,customerlists,financialinformation,technicaldata,andanyotherinformationthatisdesignatedasconfidentialbythedisclosingparty.

Non-CompeteandNon-Solicitation

1.IftheOriginalContractcontainednon-competeornon-solicitationclauses,suchclausesshallremaininfullforceandeffectforthedurationspecifiedintheOriginalContract,unlessotherwiseagreeduponinwritingbybothparties.

TerminationofRepresentationsandWarranties

1.AllrepresentationsandwarrantiesmadebythepartiesintheOriginalContractshallterminateasoftheeffectivedateofthisAgreement,exceptasotherwiseprovidedherein.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanylosses,damages,liabilities,orexpensesarisingoutofanybreachofsuchrepresentationsandwarrantiespriortotheeffectivedateofthisAgreement.

EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothecancellationoftheOriginalContractandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

AmendmentsandWaivers

1.Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

Severability

1.IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywayinanywaybeaffectedorimpaired.

GoverningLaw

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Governingjurisdiction].

Jurisdiction

1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].
