Force Majeure and Notice1：Force majeure means an event beyond the control of a Party, as a result of which the Party is unable to perform its obligations under this Contract. An event of Force Majeure includes, but is not limited to, prohibition or acts by government or public agency, riot, war, hostility, public disturbance, strikes, other labor disputes and work stoppages, failure or interruption of transportation or other utilities, epidemic, fire, flood, earthquake, storm, tidal wave or other acts of nature. Force majeure preventing a party from performing any of its obligation under this Contract, in whole or in part, may be asserted against the other party only if the prevented party gives notice by registered mail of the inception and cessation of the force majeure within fifteen (15) days in each case enclosing a confirmation by the proper authorities or published information attesting the reality of the facts and the accuracy of the data supplied. A party claiming force majeure has the burden to prove the direct relationship between the force majeure and the non-performance of its obligations under this Contract. 不可抗力是指在一方的控制能力之外的事件，并導(dǎo)致該方不能夠履行本合同項(xiàng)下的義務(wù)。不可抗力包括但不限于：政府和公共機(jī)構(gòu)的禁令和法令、暴亂、戰(zhàn)爭(zhēng)、敵對(duì)狀態(tài)、公共騷亂、罷工、其他的勞工糾紛和停工、交通或其他公共設(shè)施的癱瘓或中斷、流行病、火災(zāi)、地震、暴風(fēng)雨、海嘯或其他的自然災(zāi)害。對(duì)于使乙方受到阻礙而不能履行本合同項(xiàng)下的全部或部分的義務(wù)的不可抗力，受阻方應(yīng)在不可抗力發(fā)生和終止的十五（15）天內(nèi)，分別以掛號(hào)郵寄的方式將不可抗力的開始和結(jié)束時(shí)間明確通知另一方，并隨信附上有關(guān)機(jī)構(gòu)的證明或其公開發(fā)布的信息，以之證明事實(shí)的真實(shí)性和所提供的數(shù)據(jù)的準(zhǔn)確性。聲稱發(fā)生不可抗力的一方有義務(wù)證明不可抗力與其不能履行本合同項(xiàng)下的義務(wù)之間有直接聯(lián)系。不可抗力是指一方的不能控制的、導(dǎo)致該方不能夠履行其在本合同項(xiàng)下義務(wù)的事件。不可抗力事件包括但不限于：政府或公共機(jī)關(guān)的禁令或行為、動(dòng)亂、戰(zhàn)爭(zhēng)、敵對(duì)行動(dòng)、民眾騷亂、罷工、其他的勞動(dòng)糾紛和停工、交通或其他公用事業(yè)的停頓或中斷、流行病、火災(zāi)、水災(zāi)、地震、風(fēng)暴、海潮或其他自然災(zāi)害。一方因遭受不可抗力而不能全部或部分的履行其在本合同項(xiàng)下的任何義務(wù)，可以通知另一方不可抗力的存在，條件是受阻方應(yīng)在不可抗力發(fā)生和終止后十五（15）日內(nèi)，分別用掛號(hào)信向另一方發(fā)出該不可抗力的起始和終止的通知，并附上有關(guān)當(dāng)局的證明或其公開發(fā)布的信息，證明事實(shí)真相和所提供的材料的準(zhǔn)確性。聲稱不可抗力的一方有舉證責(zé)任，證明不可抗力與未履行本合同規(guī)定的該方義務(wù)有直接聯(lián)系。2：Should any Party be directly prevented from executing this Agreement or be delayed in performing this Agreement by any event of force majeure, such as earthquake, typhoon, flood, fire and war and other unforeseen events, the happening and consequences of which are unpreventable and unavoidable, the affected Party shall notify the other Parties without delay and, within fifteen (15) days thereafter, provide detailed information regarding the events of force majeure and sufficient proof thereof, explaining the reason for its inability to perform or the delay in the execution of all or part of this Agreement. A certificate issued by the Chamber of Commerce or other appropriate authority where such circumstances occur shall be sufficient proof of the existence of such circumstances and their duration. The Parties shall, through consultations, decide whether to alter the Agreement to reflect the effects of the event of force majeure on the performance of this Agreement or to terminate the Agreement in the event that such force majeure persists for a period of six (6) months or more. 如果任何一方受到如：地震、臺(tái)風(fēng)、洪水、火災(zāi)、戰(zhàn)爭(zhēng)或其他不可預(yù)見的事件等不可抗力的阻礙而不能履行或不能如期履行本協(xié)議，并且該等不可抗力的發(fā)生是不可阻擋和不可避免的，遭受方不能拖延，必須在不可抗力發(fā)生的十五（15）天內(nèi)及時(shí)通知另一方，向之提供與該不可抗力有關(guān)的詳細(xì)信息和充足證據(jù)，并解釋其不能履行或不能及時(shí)履行全部或部分協(xié)議的原因。對(duì)此來說，不可抗力發(fā)生地的商務(wù)部門或其他有關(guān)當(dāng)局的發(fā)放的證明該不可抗力的存在和延續(xù)時(shí)間的證明可作為充足的證據(jù)。另一方可以通過協(xié)商，以決定是否對(duì)協(xié)議進(jìn)行修改，使之反映出不可抗力對(duì)履行本協(xié)議的影響，或者，如果不可抗力持續(xù)六（6）個(gè)月或六個(gè)月以上，該方也可以就此終止本協(xié)議。如果任何一方因不可抗力事件，如地震、臺(tái)風(fēng)、水災(zāi)、火災(zāi)、戰(zhàn)爭(zhēng)、其發(fā)生和后果不可預(yù)防和不可避免的其他意外事件的直接影響，而不能履行或延遲履行本協(xié)議，受影響的伊方應(yīng)立即通知另一方，并在此后十五（15）日內(nèi)提供有關(guān)不可抗力事件的詳情和足夠的證明材料，解釋其不能履行或延遲履行本協(xié)議全部或部分條款的理由。不可抗力發(fā)生地的商會(huì)或其他有關(guān)部門出具的證明，應(yīng)足以證明不可抗力事件的存在和及其延續(xù)的時(shí)間。如果不可抗力事件持續(xù)時(shí)間超過六個(gè)月，雙方應(yīng)通過協(xié)商決定變更協(xié)議以反映不可抗力事件對(duì)履行本合同的影響，抑或終止本協(xié)議。3：If one Party is prevented from performing any of its obligations under this Agreement due to an event of force majeure, the time for performing the obligation under this Agreement specifically prevented from performance by such event of force majeure shall be extended by a period equal to the period of delay caused by such event of force majeure. The party claiming inability to perform its obligations due to an event of force majeure shall take appropriate measures to minimize or remove the effects of the event of force majeure and, withing the shortest possible time, do its best to resume performance of the obligation(s) affected by the event force majeure. If an event of force majeure occurs, neither party shall be responsible for any damage, increased cost or loss which the other party may sustain by reason of such a failure or delay of performance, and such failure or delay shall not be deemed a breach of this Agreement. All other obligations under this Agreement and the time for performance thereof shall not be affected thereby. 如果一方因不可抗力事件而未能履行其在本協(xié)議項(xiàng)下的任何義務(wù)，則在不可抗力事件結(jié)束后，該方履行其在本協(xié)議項(xiàng)下義務(wù)的時(shí)間應(yīng)向后順延，順延時(shí)間長(zhǎng)度與其受不可抗力事件影響的具體的時(shí)間長(zhǎng)度相同。聲稱因不可抗力事件而不能履行其義務(wù)的一方，應(yīng)采取適當(dāng)?shù)拇胧┰谧疃痰臅r(shí)間內(nèi)，盡量減少或消除不可抗力事件的影響，并盡最大努力繼續(xù)履行其受不可抗力事件影響未能履行的義務(wù)。一旦不可抗力事件發(fā)生，各方均不必為因未能履行或延遲履行義務(wù)而可能使另一方要承擔(dān)的任何損害、增加的費(fèi)用或損失負(fù)責(zé)，而且該等未能履行或延遲履行義務(wù)不能視為違反協(xié)議。本協(xié)議項(xiàng)下的所有其他義務(wù)和履行該等義務(wù)的時(shí)間均不受不可抗力事件影響。 如果一方因不可抗力事件而不能履行其在本協(xié)議項(xiàng)下的任何義務(wù)，受不可抗力事件影響的本協(xié)議項(xiàng)下的義務(wù)的履行時(shí)間應(yīng)予以延長(zhǎng)，延長(zhǎng)的時(shí)間相等于該不可抗力事件所導(dǎo)致的延誤時(shí)間。聲稱遭受不可抗力事件而不能履行義務(wù)的一方，應(yīng)采取適當(dāng)?shù)拇胧┮詼p少或消除不可抗力事件的影響，并努力在盡可能短的時(shí)間內(nèi)恢復(fù)履行受不可抗力事件影響的義務(wù)。如果發(fā)生不可抗力事件，任何一方無須因不可抗力事件未能或延遲履行其義務(wù)，而對(duì)另一方可能蒙受的任何損害、費(fèi)用增加或損失承擔(dān)責(zé)任，且該等未能履行或延遲履行不應(yīng)被視為對(duì)本協(xié)議的違約。本協(xié)議規(guī)定的所有其他義務(wù)和及其履行時(shí)間不受此影響。4：Notices or other communications required to be given by one Party pursuant to this Agreement shall be written in Chinese and may be delivered personally, sent by registered airmail (postage prepaid), by courier service or by facsimile transmission to the address of the other party set forth below or to such other address as may from time to time be designated by such party through notification to the other party. The dates on such notices shall be deemed to have been effectively given shall be determined as follow:(a) Notices given by personal delivery shall be deemed effectively given on the date of personal delivery, provided that receipt shall be acknowledged in writing by the receiving party;(b) Notices sent by registered airmail (postage prepaid) shall be deemed effectively given on the tenth (10th) day after the date on which they were mailed (as indicated by the postmark);(c) Notices sent by courier shall be deemed effectively given on the third (3rd) day after they were sent by courier service;(d) Notices sent by facsimile transmission shall be deemed effectively given on the first (1st) business day following the date of transmission, as indicated on the document in question. During the valid term of this Agreement, if any party changes its address at any time, it shall forthwith notify the other party in writing of such change. 依照本協(xié)議要求一方出具的通知或其它通訊，應(yīng)采取用中文寫就的書面形式，并通過專人送達(dá)、先付郵資的航空掛號(hào)郵件、航空特快專遞或是傳真依照下面所列出的另一方的地址（或另一方隨時(shí)用通知告知該方的地址）送交另一方。該等通知的生效日期的規(guī)定如下：(a) 由專人送達(dá)的通知，自送達(dá)之日起開始生效，由接收方簽署收據(jù)的除外；(b) 通過航空掛號(hào)的方式送達(dá)的通知，自該通知交付郵寄之日（以郵戳顯示日期為準(zhǔn)）的十日后開始生效；(c) 通過航空特快專遞送達(dá)的通知，自交付郵寄之日的三日后開始生效；(d) 通過傳真送達(dá)的通知，自傳真發(fā)送后的第一個(gè)工作日起開始生效，傳真發(fā)送的日期以文件上的日期為準(zhǔn)。在本協(xié)議的有效期內(nèi)，如果以方在任何時(shí)候變更其地址，應(yīng)提前以書面通知另一方。 一方根據(jù)本協(xié)議要求發(fā)出的通知或其它信件應(yīng)以中文書寫，可由專人遞送、以航空掛號(hào)（預(yù)付郵資）、快遞或是傳真方式發(fā)往收件方以下的地址，或該方不時(shí)地通知發(fā)件方的指定地址。通知視為有效送達(dá)的日期按以下方法確定：(e) 專人遞送的，在專人送達(dá)之日視為有效送達(dá)，但收件方應(yīng)書面確認(rèn)已收到通知；(f) 以航空掛號(hào)（預(yù)付郵資）郵寄的，在寄出日（以郵戳為憑）后的第十（日）視為有效送達(dá)； (g) 交快遞發(fā)送的，在快遞發(fā)送后的第三（日）視為有效送達(dá)； (h) 以傳真發(fā)出的，在傳送日（以所傳文件上的日期為憑）后的第一（1）個(gè)營(yíng)業(yè)日視為有效送達(dá)； 在本協(xié)議的有效期內(nèi)，如果以方在任何時(shí)候變更其地址，應(yīng)立即書面通知另一方。5：If one Party prevented from performing its responsibilities stipulated in this Contract because of an Event of Force Majeure, it shall notify the other Party in writing within fifteen (15) days after the occurrence of such Event of Force Majeure, and both Parties shall use reasonable endeavors to mitigate damages, to the extent possible. If an Event of Force Majeure occurs, neither Party shall be responsible for any damages, increased costs or loss which the other Party may sustain by reason of such a failure or delay of performance, and such failure or delay shall not be deemed a breach of this Contract. A Party claiming inability to perform due to an Event of Force Majeure shall take appropriate means to minimize or remove the effects of the Event of Force Majeure and, within the shortest possible time, attempt to resume performance of the obligation affected by the Event of Force Majeure. 如果一方因?yàn)椴豢煽沽κ录茨苈男衅湓诒竞贤幸?guī)定的責(zé)任，就應(yīng)該在該等不可抗力事件發(fā)生的十五（15）天內(nèi)將不可抗力事件的發(fā)生書面通知另一方，雙方應(yīng)在盡可能的范圍內(nèi)采取合理的措施減少損失。如果不可抗力事件發(fā)生，各方均不用對(duì)于因不可抗力事件的影響未能履行或延遲履行本合同，而可能使另一方遭受的任何損害、費(fèi)用的升高和損失承擔(dān)責(zé)任。聲稱因不可抗力事件未能履行合同的一方應(yīng)采取相應(yīng)的措施減少或消除不可抗力事件的影響，并努力在盡可能短的時(shí)間內(nèi)恢復(fù)履行受不可抗力事件影響的義務(wù)。若一方由于不可抗力事件無法履行本合同所規(guī)定的義務(wù)，應(yīng)在該不可抗力事件發(fā)生后的十五（15）天內(nèi)以書面形式通知另一方，且雙方應(yīng)采取合理措施盡量減少損害。若發(fā)生不可抗力事件，任何一方無須于因其未能履行或延遲履行本合同，而對(duì)另一方可能遭受的損害、費(fèi)用的增加和損失承擔(dān)責(zé)任。聲稱由于不可抗力事件未能履行合同的一方應(yīng)采取適當(dāng)?shù)姆绞綔p少或消除不可抗力事件的影響，并在盡可能短的時(shí)間內(nèi)，努力重新履行受不可抗力事件影響的義務(wù)。6：Any notice required to be given hereunder shall be considered properly given if sent by registered airmail or courier or by facsimile to the address of the other Party indicated below or to such other address as the add
